INTRODUCTION
A curriculum and syllabus of the discipline “Contract Law” are

prepared in accordance with the place and importance of the discipline in
structural and logical scheme, which is provided by the approved curricula.
This program is developed taking into account the specialty and
specialization of students, and also takes into account current trends in the
field of conclusion and execution of contracts.
Curriculum and syllabus consist of the following sections:
1. Purpose, objectives and results of study of the discipline “Contract
Law” and its place in the educational process.
2. Contents of the discipline.
3. Structure of the discipline and allocation of hours according to topics
(thematic plan).
4. Scope and content of lectures, seminars, student independent work.
5. A list of recommended sources.
1. PURPOSE, OBJECTIVES AND RESULTS OF STUDY OF DISCIPLINE

AND ITS PLACE IN THE EDUCATIONAL PROCESS
1.1. The purpose of the discipline “Contract Law” is the formation of

students’ theoretical knowledge about the essence, structure, typology of
contracts; formation of skills and practical application of theoretical legal
knowledge and self-study skills.
1.2. The objectives of the discipline are:
 study of the nature and specifics of economic obligations and business
contracts;
 analysis of legal regulation of contract relations;
 analysis of contract conclusion procedure and conditions of sale and
purchase contracts, lease, service provision, loan contracts, etc.
1.3.Learning outcomes. As a result of discipline study, students shall know:
basic concepts and components of business contracts; international conventions
and the legislation of Ukraine on business contracts; parties’ rights, obligations and
liability; peculiarities of different types of contracts, documents and applicants for
economic activity.
On the basis of the theoretical knowledge, students must be able to define: the
components of the international conventions on economic (business) obligations;
breach of a contract.
The discipline study is based on the study of such subjects as "Law",
"Economic Theory”, “Economy”, "Business Law".
Summary assessment takes the form of the exam.

2. CONTENTS OF THE DISCIPLINE

CHAPTER I. GENERAL PART
Topic 1. General provisions of economic obligations.

The Basic objectives and purpose of the discipline “Contract Law”.
The concept of an economic obligation. Types of an economic
obligations. The grounds of the obligations. Parties to an economic
obligation: creditor, debtor, third parties. Plurality of parties to the obligation:
shared, solidary.
Structure of contracts. The role of managers in drafting a commercial
contract. Points that are important to remember when negotiating contract.
Execution of an economic obligation. The principle of proper execution
and the principle of real execution. The subject, place, time and method of
execution of an obligation. Parties to an execution of obligations.
Replacement of parties to an obligation: cession rights and the conversion of
debt.
Remedies of ensuring of economic obligation’s execution. Types of
ensuring of obligation’s execution: penalty, pledge, retention, guarantee,
suretyship.
Responsibility for breach. Contractual liability. Termination (abrogation)
of economic obligations: grounds and means.

Topic 2. Legal regulation of business contracts.

Correspondence of an economic obligation and a business contract under
the laws of Ukraine. The concept of business contract and contract functions
in economic activity. Types of legal contracts and e-contract. The role of
electronic digital signatures in online contracts.
Classification of business contracts: on the moment of conclusion, on the
moment of cross obligation, on the distribution of rights and obligations, on
the form, on the aim of a contract, on the method of conclusion. The
preliminary contract. Form of a contract and the consequences of non-
compliance with contract form in economic relations.

Conclusion of a business contract. Offer and its types. Terms of validity

of an offer. Acceptance. Contents (provisions) of business contract. Reasons
and consequences of declaring the contract invalid and non-concluded.
Grounds and procedure of alteration of a business contract. The
procedure of termination (abrogation) of a business contract under the laws of
Ukraine.

Failure to perform obligations under the contract. Automatic discharge
of contract.

Breach of terms relating to time. Right to terminate the contract. A claim
for damages if loss caused.

consequences of violating the terms of execution. The concept of the estimate
and its types. Peculiarities of transfer work results and order of execution of
the Act of acceptance in the contract. The risk of accidental loss of property
or damaging property during construction works.
Peculiarities of contract for design and research work. Object and subject
of the contract. Execution, transfer and acceptance and payment for works on
a contract.

Storage Contract. Form of Storage Contract. The term of the contract and the
price of storage. Terms of obligations by the parties to the Storage Contract.
Liability for breach of Storage Contract. Special types of storage: storage in
warehouses, storage in luggage transport enterprises, protection of property
by government organizations, notary, etc.
Insurance contract, its essential terms and form. Types of insurance
contract. Legal regulations of insurance activity in the field of

Entities, which are parties of foreign economic agreement (contract).
A form of a foreign economic contract.

contract (contract). Quantity and quality of goods. According to Incoterms,
the basic terms of delivery of goods. Price and total cost of the contract
(contract). Terms of payment. Conditions for the transfer of documents and
the acceptance and delivery of goods. Packing and labeling of goods. Force
Majeure. Sanctions and complaints of goods. Settlement of disputes by

The concept and general characteristics of contract of loan. Essential
terms of the loan agreement. Novation in a loan relationship. Responsibility
for violation of the loan agreement.
Contract of Loan and Credit contract. Concepts and essential terms of
credit contract. The credit contract, the concept of financial institutions and
its types. The rights and obligations of the parties to loan contract. The
issuance of the credit under the laws of Ukraine. Types of credits and their
general characteristics. Currency of credit. Methods of ensuring of
compliance with credit.

Peculiarities of calculations using money orders, checks, letters of credit
