COMPANY LAW DRAFTING ASSIGNMENT

Amar, Akbar and Anthony were friends and wished to start their own company. They
approached you, a drafting expert to help them formulate a Memorandum of Association for
their company which was set to engage in the business of imports and exports of Cotton apparel
to the Asian Continent. The following details were provided by them – The structure of their
company was private and each of them contributed Rs. 1 Lakh towards the share capital of the
company.

being formed into a company in pursuance of this memorandum of association, and we
