Tutorial 7 : Partnership

1. Explain three elements of partnership based on Partnership Act 1961

2. Elaborate the meaning of section 4(c ) of the Partnership Act 1961 “ the receipt by a

person of a share of the profits of business is prima facie evidence that he is a partner in

the business”

3. Write notes on the following :

a. Duties of partners in contract

b. Liability of partners in criminal offences

4. Dissolution of partnership means bringing the partnership to an end. A partnership may

be dissolved in accordance to the Partnership Act 1961 or as being provided by

partnership agreement. In situation where the partnership agreement did not provide the

manner in which the partnership may be dissolved, the provision of Partnership Act 1961

may be apply. This means that the provision of the Partnership Act 1961 can be varied by

the partnership agreement.

Discuss the dissolution of partnership by order of court upon application by a partner as

provided by the Partnership Act 1960 and support your answer with decided cases.
