Case of Clause dealing with Change of Law in Turn Key Project
• For the turnkey construction of a platform complex on ONGC's
Bombay High (south) offshore site, the PSU had contracted
Sumitomo Heavy Industries Ltd in 1983 and the work, portions of
which were sub-contracted to McDermott International Inc (MII),
was completed by April 1984.
• Due to certain changes in tax laws, the government levied
additional tax on MII which was paid by Sumitomo. In turn,
Sumitomo sought reimbursement from ONGC citing a clause in
the agreement which said the PSU would pay for any unexpected
escalation of cost.
• When ONGC refused to pay, the Japanese firm invoked arbitration
clause. The PSU dragged its feet and it led to appointment of Sir
Michael Kerr as an umpire. Kerr accepted Sumitomo's claim and
by an award dated June 27, 1996, directed ONGC to pay for the
same.
