CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS

This Contract to Sell is made and executed this 31st day of May 2021 by and between:

IRMA LAO NEMIS, of legal age, married, a Filipino Citizen, and a resident of Brgy.
Kinabranan 2, Allen Northern Samar, hereinafter referred to as the “VENDOR”;

-AND-

JHON ALLEN B. BERBON and LOURDES CLARE BANJAWAN-BERBON, married to


each other, Filipino Citizens and residents of Brgy. Sabang Zone 1, Allen, Northern Samar, hereinafter
referred to as the “VENDEES”.

WITNESSETH
WHEREAS, the VENDOR is the absolute owner of two parcels of land by virtue of a
Holographic Will Executed by Luis Lao, the first parcel amassing a LAND AREA of THIRTEEN
THOUSAND THREE HUNDRED FORTY-EIGHT (13,348) SQUARE METERS located at
Lagundi, Allen, Northern Samar specifically described as:

“A piece of Coconut Land (Lot No. 878, Pls.-54) located at Lagundi, Allen,
Northern Samar covered by Original Certificate of Title No. 4274, containing an area of
Thirteen Thousand Three Hundred Forty-eight (13,348) Square Meters. All points are
marked on the ground by P.LS. Cyl. Cone. Bounded on the SW., along line 1 to 2 by Lot
693, Pls.-54; along line 2 to 5 by Lot 685, Pls.-54; along line 5 to 6 by Lot 879, Pls.-54;
and along line 6 to 1.”

WHEREAS, the VENDOR is also the absolute owner of the second parcel with a LAND AREA
of SEVEN THOUSAND FIFTY (7,050) SQUARE METERS more or less located at Lagundi Allen,
Northern Samar specifically described as:

“A parcel of coconut land located at Lagundi, Allen, Northern Samar covered by


Original Certificate of Title No. 4274, containing an area of Seven Thousand Fifty
(7,050) Square Meters more or less bounded on the North by Pacifico Ramosa (40
meters); on the East by Ester Blasquillo (94 Meters); on the South by Peliculo Lesigues
(75 Meters) and on the West by Severino Magdaraog and Peliculo Lesigues (110
Meters). Cement posts are erected at the corners of the whole parcel. There are cement
posts located at the north going to the eastern side and towards the south, and from there
to the west a tree called Balig-angan, then moving northward to a coconut tree, then to
the starting point of the cement post.”

TERMS AND CONDITIONS


WHEREAS, the VENDEES has offered to buy and the VENDOR has agreed to sell the above-
mentioned parcels of land under the terms and conditions herein below set forth:

NOW THEREFORE, for and in consideration of the total sum of Seven Hundred Thousand
Pesos (Php 700,000.00) Philippine Currency, and of the covenants herein set forth the VENDOR agrees
to sell and the VENDEES agree to buy the aforesaid parcels of land under the following terms:

1. The total consideration of SEVEN HUNDRED THOUSAND Pesos (Php 700,000.00) shall
be paid in two equal installments. The first installment amounting to Three Hundred Fifty
Thousand Pesos (Php 350,000.00) shall be paid in cash on May 31, 2021 or upon the
execution of this Contract to Sell. On the other hand, the second installment shall be paid in

cash and will be due on July 31, 2021 with an equal amount of Three Hundred Fifty
Thousand Pesos (Php 350,000.00);

2. Capital Gains Tax and Real Estate Tax shall be for the account of the VENDOR;

3. Documentary Stamps Tax, Registration Fee, registration expenses, and all other
miscellaneous fees and expenses shall be to the account of the VENDEES;

4. Possession to the subject property shall be delivered by the VENDOR to the VENDEES
upon full payment of the total consideration;

5. Upon full payment of the total price, the VENDOR shall sign and execute a DEED OF
ABSOLUTE SALE in favor of the VENDEES. The VENDOR shall likewise execute
and/or deliver any and all documents, including but not limited to the original copy of
Transfer Certificate of Title, Tax Declaration and all other documents necessary for the
transfer of ownership from the VENDOR to the VENDEES.

6. The above-mentioned parcels of land being adjacent to each other shall be


CONSOLIDATED in a single DEED OF ABSOLUTE SALE upon the total satisfaction of
the consideration of this contract.

IN WITNESS THEREOF, the parties have set their hands this 31st day of May 2021, at
Catarman, Northern Samar. Under the name of the vendor is her identification card which serves as a
competent proof of her identity. On the other hand, the vendees of this contract are personally known to
the Notary Public.

ACKNOWLEDGMENT

BEFORE ME, appeared the above stated parties showing their identification documents as stated
below their names proving their identities to me and known to me as the parties who executed this Deed
of absolute Sale and they acknowledge to me that this is their free and voluntary act and deed. This
document, consists of two (2) pages including this page where this acknowledgment is written, with every
page thereof duly signed by the parties including their instrumental witnesses, at the left margin thereof.
