or the asset of the partnership is sufficient enough to pay the partnership`s remaining
liabilities.

2.) Yes. E may demand the return of his contribution because the asset of the partnership is
sufficient enough to pay all the liabilities of the partnership (excluded the liabilities for
general and limited partner), all the partners have given their consent and are willing to
have the certificate amended but, the return of the contribution is a matter of right, on the
dissolution of the partnership, upon the arrival of the date specified in the certificate of
return and after he has given six months in writing to all partners.
