AFFIDAVIT OF NO-EMPLOYEES AND NON-OPERATION

I, WILSON P. NG, Filipino, of legal age, married and a resident of Mandaue City, after
being duly sworn according to law, do hereby depose and state: THAT –

1. I am the President of ESPRINT SYSTEMS INC., a corporation duly organized and

existing in accordance with Phil. laws, with principal place of business at Engy Tech
Bldg., Hernan Cortes St., Banilad, Mandaue City, Cebu;

2. As of February 1, 2018, Esprint Systems Inc with the branch located at G/F Engy Tech
Bldg., Hernan Cortes St., Banilad, Mandaue City, Cebu. has ceased its operations and is
in the process of winding up its current business as a restaurant;

3. Effective February 1, 2018, no employees will be retained by the branch, thus, we

would not be remitting any social benefits for and in behalf of anybody;

4. The corporation, however, has not formally ceased its corporate existence as the Board
may decide to continue operating the business should an opportunity come forward to do
so in the future.

5. I am executing this affidavit to attest to the truth of the foregoing facts, for the purpose of
informing the concerned government agencies that the corporation shall not be remitting
any social benefits and the like dues to lack of operation and employees and for whatever
legal purpose it may serve.
