AND WELEASE AGKEEMENT This Talent Consent and Release Ayreement (‘Agreement’) fs made at Murnbal on this Z3cd day of December 2020 by and hetvieen Sal Sarasvathl____ herein ("Protagonist") and WhiteHat Fducation Services Private Lirited(“Company’) 1, The Protagonist grants consent to the use of Protayynist’s name, volee, iniay: and any and all attributes of his/her personality, in, on ar in connection with any filrn, audiotape, videotape, audiowisual work, photograph, illustration, animation, oF broadcast, in any media or embodiment, now known of unknown, including, without limitation, al formats of computer readable media, produced by or for the benefit of the Company. The Protagonist further grants consents to the use of the Protayonist’s nasne, voice, image, likeness, and any and all attributes of the Protagonist’s personality in any advertising or promotional material (hereinafter referred to as “Project Teacher Stories") created or used in connection with the Company's and/ or its brand and each such ftem of advertising or promotional material will be considered a "Work" for purposes of this Agreement. 2. Furthermore, in consideration of use of the Protagonist’s name, voice, image, likeness, and any and all atributes of his/her personality as part of the Project, and vathout any further consideration from the Company, the Protagonist hereby grants permission to the Company, its representatives, affiliates, business and commercial partners etc. (the “Company Affiliates’) as well as the representatives of such Company Affiliates, to utlize the appearance of the Protagonist in the Project in any and all manner and media and grant all rights of every kind and character whatsoever in perpetuity in and relating tw the performance, appearance, name and/or voice of the Protagonist and the results and proceeds thereof (the “Performance’) in connection with the Project. The Protagonist further grants the right to use the Protegonist’s name, voice, image, Iizeness, and any and all attributes of his/her personality as provided hereinbefore, to the Production Company to the extent that it may be utilized on a global scale and such grant of rights shall not be restricted to any particular geographical location. 3. The Protagonist acknowledges and agrees that the Work (the products and results of the services to be rendered by the Protegonist) is a work made for hire and the Protagonist agrees that the Work (and all rights therein, including, without limitation, copyright) belongs to and shall be the sole and exclusive property of the Company. 4. If for any reason the Work would not be considered a work made for hire under applicable law, the Protagonist hereby irrevocably assigns, and transfers to the Company, its successors and assigns: (2) any and all claims of entire right, title, and interest in and to the copyright in the Company's brand10. 11. {h)the exclusive and perpetual right throughout the world to use, print, produce, publish, cony, display, perform, exhibit, transmit, broadcast, disseminate, market, ks from nster, modify, and create derivative wo now known or unknown, for any purpose sell, lease, yy media or form Gompany’s brand? in whatsoever, ‘The Protagonist waives any right to inspect, examine or approve the content of Company's brand ‘The Protagonist axrees that the Company will have no obligation to utilize the authorizations and rights that the Protagonist grants to the Company hereunder. ‘The Protagonist hereby releases, discharges, and agrees to hold harmless the Company, its legal representatives and assigns, all persons acting under its authority, and those for ‘whom it is acting, from all claims, causes of action and liability of any kind, now known or unknown, in law or in equity, based upon or arising out of any Project or Work related to the Company's brand or this Agreement including, without limitation, claims of libel, slander, invasion of privacy, right of publicity, defamation, trademark infringement, and copyright infringement, The Protagonist agrees that the Company shall have no obligation towards the Protagonist and shall not be held responsible in respect of any adverse public opinion, trolling and/or creation of online memes with respect to any advertising or promotional material which the Company may create in respect of the Company's brand on social media (Facebook, Instagram, Twitter) or similar digital platform where in the Protagonist’s name, voice, image, likeness, and any and all attributes of the Protagonist’s, personality is used or referred to. ‘The Protagonist represents and warrants that he/she is over the age of eighteen (18) years and has the right to contract in Protagonists own name. The Protagonist further Affirms that the authorizations and rights granted hereunder do not conflict with or violate the rights of any third party. ‘The Protagonist has read the above authorization, release, and Agreement, prior to its execution; the Protagonist fully understands the contents thereof. This Agreement will be binding upon Protagonists heirs, successors, representatives, and assigns. Waiver of Intellectual Property: The Protagonist agrees that any and all ideas, concepts, processes, discoveries, improvements, and inventions conceived, discovered, made, designed, researched or developed by the Protagonist either solely or jointly with others, during the Protagonist’s engagement with the Company which relate to the Company's business or resulting from any work the Protagonist does for the Company (collectively the “Intellectual Property”), are the Intellectual Property of the Company. ‘The Protagonist hereby irrevocably assigns and grants to the Company all Protagonist’s right, title, and interest in and to such Intellectual Property (including any moral rights thereto). The Protagonist agrees to deliver to the Company all papers, documents, files,electronic data or media, reasonably requested by the Company in connection therewith. Without limiting the foregoing, the Protagonist acknowledges that any and all Intellectual Property, and any and all other property of the Company protectable by patent, copyright or trade secret law, developed in whole or in part by the Protagonist in connection with the performance of services to the Company, are the sole property of the Company. 12, The Protagonist represents and warrants: (I) that execution of this license, release, and waiver will not cause or create any contfct with, breach of or default of any contract by which the Protagonist is bound; (i) that the Protagonist will comply with all applicable laws and regulations; (ii) that the Protagonist will keep participation confidential and will not disclose any information gained from participation with anyone outside of the Company except to agents or professional advisors who need to know it and who have agreed in writing, or are otherwise bound, to keep it confidential; and (iv) that the Protagonist will provide services to the Company as an independent contractor and not as the Company's employee. The Protagonist will not be entitled to any compensation, ‘options, stock or other rights or benefits accorded to the Company employees, the Protagonist waives any right to them and promises never to claim them. The Protagonist agrees that there is no obligation to use the authorization granted by the Protagonist hereunder. The terms of this authorization commence on the date below and continue in perpetuity. 13.This Agreement shall be governed in all respects by the laws of India. Any and all disputes arising out of this Agreement shall be resolved mutually and amicably within 30 days, failing which the Protagonist and the Company unconditionally and irrevocably ‘consent to the exclusive jurisdiction of the courts of Mumbai. 14, This Agreement hereto supersedes any and all other agreements, either oral in writing, between Protagonist and the Company and contains the entire agreement between the Protagonist and the Company with respect to the subject matter hereof. This Agreement may be executed in any number of counterparts and by the Parties to it on separate counterparts, each of which shall be an original but all of which together shall constitute one and the same instrument. The delivery of signed counterparts by electronic mail in "portable document format” (“pdf*) shall be as effective as signing and delivering the counterpart in person. By signing this Agreement, the Parties hereby acknowledge and agree to be bound by the terms & conditions set out herein.
