AFFIDAVIT OF UNDERTAKING

WE, Spouses IRENEO H. ATIENZA and FABIANA L. ATIENZA, both

Filipinos, both of legal age, and residents of Dapdap District, Tagaytay City, Cavite,
Philippines, after having been duly sworn in accordance with law, hereby
depose and state:

1. That we are the buyers of a real property located at Lot 9 Blk. 18 La Trinidad
Subd., Barangay Cabuco, Trece Martires City, Cavite under Transfer Certificate
of Title No. T-41082 under the name of REUEL O. AVENA;

2. That due to our old age and disinterest to use the above said property we sold
the above said property to Spouses PEDRO D. MILLENDEZ JR., and CORAZON
T. MILLENDEZ;

3. That we hereby declare under oath that the Notary Public who appears and
Notarized the Deed of Absolute Sale between REUEL O. AVENA as SELLER
and Spouses PEDRO D. MILLENDEZ JR., and CORAZON T. MILLENDEZ as
Buyers has no obligations and liabilities in any misrepresentation to the above
said DEED;

4. That we likewise undertake to answer for all liabilities that may arise pursuant or
in connection with the aforesaid transactions;

5. That we are executing this affidavit to affirm the truth of the foregoing statements
under penalties of perjury, and for any legal purpose it may serve best.
