AGREEMENT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Agreement, made and executed by and between:

LOLITA RAMOS LIZANO, of legal age, single, Filipino and


a resident of Kamias, Quezon City, hereinafter known as SELLER,

and

NORMA GALVANTE SORIANO, of legal age, single,


Filipino and a resident of Mayon, Quezon City, hereinafter known
as BUYER.

WITNESSETH THAT:

1. That FOR AND IN CONSIDERATION of the sum of ONE


MILLION FIVE HUNDRED THOUSAND PESOS (P 1,500,000.00), Philippine
Currency to be paid as hereinafter provided, the SELLER hereby agrees to sell
unto the BUYER, the following real estate property:

Description
Townhouse and Lot

A two-storey townhouse with a total floor area of Seventy (70)


square meters more or less and a Thirty-five (35) square meter
parcel of land where the former is erected and located at Block 4
Lot 5 Model B, Quezon City Ville I, Sityo Mabilog, Barangay Culiat,
Quezon City.

More details of the said property are contained in the attached document,
a photocopy of Transfer Certificate of Title No. 004-201-0004031 (Annex “A”)

2. That the BUYER hereby agrees to purchase said real estate


property at the consideration of ONE MILLION FIVE HUNDRED
THOUSAND PESOS ( P 1,500,000.00), Philippine Currency.

a) Upon the execution of this AGREEMENT the sum of Fifty


Thousand Pesos (P 50,000.00) as earnest money / reservation fee shall be
paid by the BUYER unto the SELLER.

b) The balance of ONE MILLION FOUR HUNDRED FIFTY


THOUSAND PESOS (P 1,450,000.00) shall be paid by the BUYER unto
the SELLER on October 15, 2010. Deadline for the full payment shall be
extended not later than December 15, 2010.

c) The SELLER shall deliver the instruments of sale and the


moniments of title upon the full payment of the total balance of ONE
MILLION FOUR HUNDRED FIFTY THOUSAND PESOS
(P1,450,000.00)

d) BUYER’s failure to comply the above shall result to forfeiture


of the Earnest Money / Reservation Fee.
3. That capital gains tax and annual real estate taxes shall be for
SELLER’S account.

4. That documentary stamps, transfer tax, notarial fees, registration


fees, and other miscellaneous expenses for ownership transfer shall be for
BUYER’s account.

5. That the SELLER warrants her title over above-described property


with full right to dispose property free from all liens and encumbrances.
