SETTLEMENT BY ARBITRATION: Any claim or controversy that arises out of or relates to this agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the United Kingdom Arbitration Association. Judgment upon the award rendered may be entered in any court with jurisdiction. 413, LIMITED EFFECT OF WAIVER BY COMPANY: - Should Company waive breach of any provision of this agreement by the Employee, that waiver will not operate or be construed as a waiver of further breach by the Employee. 16, SEVERABILITY: If,for any reason, any provision of this agreement is held invalid, all other provisions of this agreement shall remain in effect. If this Agreement is held invalid or cannot be enforced, then to the full extent permitted by law any prior agreement between the Company (or any predecessor thereof) and the Employee shall be deemed reinstated as if this agreement had not been executed. 1. TERMINATIONOFEMPLOYMENT Without cause, GSS Marine Services UK may terminate this agreement at any time upon 30 days! written notice to the Employee. if the Company requests, the Employee will continue to perform his/her duties and may be paid his/her regular salary up to the date of termination addition, the Company will pay the Employee on the date of the termination a severance allowance of £84,000.00 GBP.Employee may terminate employment upon 30 days written notice to the Company. Employee may be required to perform his or her duties and will be paid the regular salary to date of termination but shall not receive severance allowance Notwithstanding anything to the contrary contained in this agreement, the company may terminate the Employee's employment upon 30 days' notice to the Employee should any of the following events occur. (a)The sale of substantially all of the Company's assets to a single purchaser or group of iated purchasers; or The Company's decision to terminate its business and liquidate its assets; (b)The merger or consolidation of the Company with another company. (c) Bankruptey or chapter 11 reorganization, 41.DEATH BENEFIT: Should Employee die during the term of employment, the Company shall pay to Employee's estate any compensation due through the end of the month in which death occurred. MOBILIZATION To enable you relocate, Three months’ salary: relocation allowance which cover the cost of your flight: miscellaneous expenses you may ineur in trying to acquire required documents for work permit application, will be paid immediately you satisfy the United Kingdom Home Office work permit requirements. 6, WORK LOCATION You will report from GSS Marine Services UK. The first two months of contract is probation, and during such period training will be done to cover unfamiliar tasks areas as may be contain in the expected duties to be performed by employee. Upon resumption, the personnel will be on a rotational period of 28days on and 28days off. Any extra hour worked will be treated as overtime and will be adequately compensated. L_MOVING EXPENSES The employee will be reimbursed by the employer for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage charges: procurement of travel 3. EXPECTED DUTIES BOSUN Plan the daily work schedule and give task to the deck crew. Check the work if it complies with the approved operating procedures. Regular check up of the vessel and maintain areas of the ship; cleaning and painting; that are not maintained by the engineering department. Maintain the hull of the vessel and execute a formal preventive maintenance Program. Operate basic function of the windlass which includes letting go and heaving up an anchor, Lead firefighter and other emergency measures encountered by the ship. Responsible for the ship's anchors, cordage, colors, deck crew and the ship's boats while on board. Rig the ship while in dock. 4. REMUNERATION AND OTHER BENEFIT GSS Marine Services UK shall pay to EMPLOYEE the sum of £6,430.00 (Six Thousand Four Hundred and Thirty Pounds only) monthly basic salary, net after all UK work taxes have been deducted -Salary is payable at regular payroll periods of 28 days. (A).Quality single or family housing shall be provided by EMPLOYER or in the alternative the sum of £1,500.00 Pounds per month shall be paid to you as Housing Allowance. (B)The sum of £2,000.00 Pounds shall be paid to you for personal effects shipment and excess baggage allowance. (C) GSS Marine Services UK shall provide you access to some of the finest social and recreational facilities in United Kingdom. (D) GSS Marine Services UK will provide the employee with comprehensive health care for the terms of contract and follow-on care for injuries suffered during the term of contract for employer and family (E)The sum of £2,000.00 Pounds per month shall be paid to you as Educational Assistance Benefit as family status contract (F)Performance Bonuses: Ten percent of your annual basic salary shall be paid (G) £2,500.00 Pounds flat rate travel / entertainment allowance shall be paid by your employer for each international trip. Travel shall be by business / first class. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel / entertainment allowance.
