This SUPPLEMENTARY DEED OF LIMITED LIABILITY PARTNERSHIP made and

executed this on 26th March, 2021

Shri HARISHCHANDRA DILIPSINH CHAUHAN, (PAN-APVPC9617F, DOB-

16/08/1985) occupation: business, Resident of Chitrakut-1, Lic Society, Block No

PARTNER NUMBER FIFTH, (which expression shall, unless repugnant to the

The parties of the First to Fifth shall collectively be referred to as “The partners” of
M/S. “RENEURJA POWER LLP” (Here in referred to as LLP)

AND WHEREAS, the Existing Partners have expression of desire and consented on
26th March, 2021, and agreed to admit the new incoming partner to the existing
LLP, the Fifth Party entering into Agreement for admission as New Partner, and
Retiring of existing partner with effect from 26th March, 2021.

AND WHEREAS, Shri. Grishma Chandrakant Shah, Fifth Party, New Incoming
Partner who wish to join this LLP as a Partner.

AND WHEREAS, Shri. Vikram Singh Chouhan, Third Party, Retiring Partner, who
wish to resign from this LLP as a Partner.

AND WHEREAS, Parties herein to wish to introduce/ re-define/ delete/ alter/

modify/ amend the terms and condition of the agreement with respect to the LLP
vide this supplementary agreement.

Now this Deed Witnesses’ as follows:

1. This Agreement is Supplemental to the LLP Agreement dated 29th October, 2020
made and executed between Existing Partners.

2. From the Date thereof, the said New Partner shall be partner with the Existing
Partners subject to the terms and conditions of the above said LLP Agreement
except so far as the same are varied by this Agreement.

3. That the parties herein agree to amend the clause 5 of the agreement pertaining
to the “contribution”. Now, the clause 5 of the agreement shall be replaced and
read as under:

(5) Contribution of partners: fixed capital/contribution account:

The Revised Capital Contribution of the LLP shall be Rs. 10,00,000 including
New Partners’ Contribution:

Notwithstanding anything herein contained, any loss occasioned due to the

dishonesty, gross, or willful act, neglect or default of any partner shall be made
good to the LLP by him alone and shall not be borne by other partners.

5. That the parties herein agree to amend the clause 11 of the agreement pertaining
to the “Sharing of profit or Loss”. Now, the clause 11 of the agreement shall be
replaced and read as under:

(11) Sharing of profit or loss

After meeting all expenses, provisions and income Tax of LLP, the
profit/Loss of LLP shall be divided among the partners specified below:

6. That the parties herein agree to amend the clause 14 of the agreement pertaining
to the “Partners remuneration”. Now, the clause 14 of the agreement shall be
replaced and read as under

(14) Partners Remuneration:

The working partners shall be paid remuneration for the services rendered
by them for conducting the affairs of business as per mutual understanding
of partners but within the limits prescribed under section 40(b) of the
Income tax Act. The total remuneration payable to the working partners
shall be ascertained as under:

Book profit Remuneration

1.in the case of book profit of Rs. Within the limit of Rs. 150000/- or at
3,00,000/- or in case of loss the rates of 90% of the book profit,
whichever is more.
2. in the case of book profit is more Rs. 270000/- plus 60% excess over rs.

Here the book profit shall be the profit as defined section 40(b) of the income tax
act and the remuneration to the working partners shall be credited to the capital
account of working partners at the end of year as under:

Provided that the above working shall stand modified with the changes made in
this behalf in the Income tax Act, 1961 from time to time.
That the partners shall be entitled to increase, reduce or waive the above
remuneration and may agree to pay remuneration to the other partner or partners.
The parties hereto also agree to revise the mode of calculating the above
remuneration and decide to pay salary and grant other benefits as may be
mutually decided from time to time with the consent of all partners.

7. The Registered Office of the LLP shall be on at C/O RAJM AUTOMOBILES, NR

KATARIYA AUTO MOTA MAVA, KALAWAD ROAD RAJKOT Rajkot GJ 360005 IN,
and or at such other place, as may be mutually agreed upon.

8. That the partners shall hereto will continue to work for gain and agree to be
bound by the terms of the principal agreement.

9. Except as modified by this Agreement, the LLP Agreement of dated 29TH

October, 2020 shall hereafter be read and construed as if the same had been
executed by the Existing Partners and New Partner hereto.

In Witness whereof, the parties hereto have to set and subscribed their hands, the
day and year first hereinabove written.
