correctional services @ rn. 4° SENTECH MEMORANDUM OF AGREEMENT (MOA) Entered into between THE GOVERNMENT OF THE REPUBLIC OF SOUTH AFRICA through the DEPARTMENT OF CORRECTIONAL SERVICES established in terms of the Correctional Services Act (No. 111 of 1998) as amended, herein represented by Mr. Arthur Fraser in his capacity as the National Commissioner and he being duly authorized thereto (herein after referred to a: “the DCS") and SENTECH SOC LTD a company registered as such in accordance with the company laws of the Republic of ‘South Africa, with registration number: 1990/001791/30, in terms of the Sentech Act (No, 63 of 1996) as amended, herein represented by Mr. Mlamli Booi in his capacity as the Chief Executive Officer and he being duly authorized thereto (hereinafter referred to as “SENTECH”) ( Ne GR 4. PREAMBLE WHEREAS; 14 12 13 1.4 SENTECH is a Schedule 3B State-owned Company (SOC), operating in the Information, Communications and Telecommunications (ICT) sector mandated for providing broadcasting signal distribution services as a ‘common carrier to licensed television and radio broadcasters. As holder of Individual Electronic Communications Network Services (-ECNS) and an Individual Electronic Communications Services (I-ECS), SENTECH also provides open access and interoperable communications platform services that enable affordable universal access to digital content services, without compromising the core objectives of any or all Parties’ existing telecoms infrastructure. ‘The DCS' mission is to contribute to a just, peaceful and safer South Africa through effective and humane incarceration of inmates, rehabilitation and social reintegration of offenders. ‘The DCS expressed the need to provision an independent DCS Secure Virtual Private Mesh Network which will allow for sovereign secure encrypted connectivity between all DCS sites and the DCS National Command Centre. The Secure Virtual Private Mesh Network will interconnect all technologies used to monitor, control, manage and administer systems where a high level of communication security is essential to protect the information from the DCS sites being transmitted and received, In view of the parties’ mandates and cognizant of government intention espoused in the Constitution of the republic of South Africa Chapter 3 - Co-operative Government 41(1)(h), this agreement provides for: 1.4.1 The Parties to enter into this MOA, to identify, define their joint actions and collaborative efforts required to implement their respective strategic electronic communications network infrastructure projects and to ensure integrated long- term support and alignment to national goals on an ‘if and ‘when’ needed basis as agreed to between parties and further detailed in this agreement 1.4.2. The Parties agree that they are entering into the MOA in order to make the best use of state assets in line with the government policy according to the Presidenti DCS_SENTECH_MOA ho, Review Committee (PRC), the purpose of which is to leverage on Government assets for major network infrastructure projects. 1.4.3 Furthermore, the Parties are interested in extracting maximum operational efficiencies by prioritizing the usage of the new build infrastructure within set parameters so as to prevent duplication of infrastructure and extract maximum fiscal efficiency in the usage of SOC assets. 1.4.4. The Parties do hereby agree to enter into this MOA 2. DEFINITIONS AND INTERPRETATION In this Agreement the following definitions will apply: 24 22 23 24 28 26 27 “Alternate! Proxy” means a temporary representative appointed through a written delegation with full rights of representation and decision making; “The/ This Agreement” means this MOA and any/all annexure(s) attached hereto; lateral Committee” means institutional and managerial representatives appointed by both parties to identify and oversee implementation of agreed programmes as established under clause 7 below; “Bilateral Programmes” means such programmes or a collection of related projects of strategic nature identified and approved by the Bilateral Committee from time to time, for which DCS will follow due processes to secure the necessary approvals and funding to execute such; attached hereto and marked Annexure A “Confidential Information” means all information which is confidential or proprietary in nature to a Party including, to the extent that it is not freely and publicly available, commercial, financial, technical, scientific and research information, trade secrets, passwords, or other secret codes, information disclosed with the permission of third parties in which third parties have confidential rights, information legally protected from Public disclosure, any information the unauthorized disclosure of which could reasonably be expected to cause harm or risk to the owner of the information and any other information designated by the disclosing Party as confidential or which is manifestly confidential; “Day” means any day in the Republic of South Africa that is not a Saturday, Sunday or officially recognized public holiday; “Due Date” means the payment date of an invoice, being thirty (30) days from the date DCS_SENTECH_MOA 3 We 28 29 2.40 241 2.42 specified in the invoice; “Effective Date” means the date of signature of this Agreement by the Party signing last in time; “Funds” means such monies as may from time to time be approved by DCS for programmes under this MOA and is in line with the provisions of the Public Finance Management Act (Nos. 1 and 29 1999) as well as the Treasury Regulations issued thereunder from time to time “Intellectual Property Rights” means all rights recognized and protected as such under South African law, including without limitation, copyright, trademarks, designs, patents and know-how; “Party” means either of the signatories to this Agreement and “Parties” means both of them collectively, and shall be deemed to include their respective successors and permitted assigns; Programme Coordinators means technical representatives appointed by both parties for purposes of coordinating and implementing agreed programmes 3. OBJECTIVES OF THE AGREEMENT This MOA sets out the scope and principles of this agreement: 3.4 3.2 33 To identify, define and document areas of responsibility and co-operation of which DCS and SENTECH will establish a strategic partnership through which SENTECH will provide long-term, ongoing and operational support to DCS; Establish operational structures that will advise the Parties regarding their collaboration and cooperative efforts; and ‘Serve as justification for the contracting of strategic programmes defined through the Bilateral Programmes as defined in Annexure A on an ‘if and ‘when’ needed basis. 4, ENFORCEMENT, DURATION AND TERMINATION 44 42 This MOA shall become effective on the Signature Date by all Parties and shall remain force until terminated by either party upon 90 (ninety) days’ written notice to the other party; Upon termination of this MOA, the Parties shall be released from all further obligations arising from this MoA; DCS_SENTECH_MOA 4 (S 4.3. The individuals signing this MOA on behalf of their respective entities represent and warrant (without personal liability therefore) that upon the signature of each, this MOA shall have been duly executed by the entity each represents. 5. SCOPE OF THE AGREEMENT 5.1 The Parties acknowledge that this MoA is enforceable and may deal with the financial and contractual implications of their collaborative efforts, and that such issues will form the subject-matter of a separate contractual agreement where required. Subject to all internal governance process being followed by all the parties included in MOA; 5.2 The Parties intend to enter into a formal negotiation(s) on a project by project basis, from the Signature Date of this MoA until the date that they conclude a substantive, definitive agreement or agreements relating to the Objective (the "Commercial Agreements") or until the negotiations are terminated; 5.3. DCS REQUIREMENTS 5.3.1. The DCS has unified communications requirements for their correctional facilities for which it shall provide written User Requirements Specifications for related services as detailed in Annexure A 5.4 SENTECH CAPABILITIES 5.4.1 _ is the custodian of the vast and varied infrastructure platforms in South Africa, that it utilizes for broadcast signal distribution and for wireless communication and to fulfill the SA Connect policy goals; 5.4.2 has the capability and will seek to attain radio frequency spectrum (as and when required) to rollout wireless access for last mile connectivity; 5.4.3 _ has access to a number of Satellite transponders that enables multimedia access “from anywhere in the country; 5.4.4 has the capability to operate and manage various types of radio networks; 5.4.5 has the capability to develop various content and multimedia platforms including the operations of a Network Operations Centre. 5.5 The Parties record by their signature hereto that this document is intended to promote a business relationship in good faith, for the benefit of both the Parties. DUTIES OF THE PARTIES 6.1 The funds shall be paid by the DCS to SENTECH for a specific Bilateral Programme as agreed 6.2 Each p by parties from time to time on as and when needed basis arty shall ensure it complies with the provisions of the agreement, The Public Finance Management Act (No. 1 of 1999), The National Treasury Regulations and Directives issued in terms of the PFMA and the Preferential Procurement Policy Framework Act (No. 5 of 2000) and the regulations and directives issued in terms thereof. 6.3 The parties shall adhere to the following working method, regulating the relationship between parties: 6.341 DCS’ AREA OF RESPONSIBILITY: 6.3.1.1 6.3.1.2 6.3.1.3 6.3.1.4 6.3.1.5 6.3.1.6 6.3.1.7 6.3.1.8 The DCS shail be responsible for providing access to the correctional facilities for site survey for required services The DCS shall be responsible for providing the event Artwork (e.g. logos, website content) at least 48 hours before the event; The DCS shall be responsible for ensuring that a valid broadcasting license and spectrum license is obtained should it require a FM broadcast service; In collaboration with SENTECH, develop and sign off specifications related to content digitization process Consider each proposal and quotation received from SENTECH following a request submitted to SENTECH by the DCS ‘Submit a written confirmation of acceptance or appointment if the proposal and quotation submitted by SENTECH, has been approved by the duly delegated authority within DCS. Sign off project handover reports and certify for payments that the agreed project outcomes were achieved Effect payment to SENTECH in accordance with prescribed procedures applicable in government, for every milestone and/or outcome achieved, as detailed in each bilateral programme DCS_SENTECH_MOA 6 wh CG 6.3.2 SENTECH'S AREAS OF RESPONSIBILITY Shall include: 6.3.2.1 The deployment of private electronic networks to enable delivery of multimedia content on behalf of DCS. 6.3.2.2 The maintenance, repairs and monitoring of the newly build networks on a project by project basis as governed by a service level agreement; 6.3.2.3 The provision of advisory services in instances of multimedia, hosting and the management of the 3" Party Tower Management services (active and passive) including payments and collections of such fees on behalf of DCS; 6.3.2.4 In collaboration with each other, the Parties further agree that they will, during their collaboration efforts, exchange information relating to (amongst others): i. network plans and timescales. ii, site information; servitude availability and access; and iv. technology standards 7. CO-ORDINATION OF THE PARTIES ACTIVITIES 7. CONSTITUTION OF THE BILATERAL COMMITTEE 7.1.1. The Parties will form a Bilateral Committee for the purpose of participating in the proceedings of the implementation of this agreement, constituted with four (4) permanent members one of whom shall at least be @ senior manager: i, Two (2) DCS representatives ji, Two (2) SENTECH representatives 7.1.2, The DCS shall chair the Bilateral Committee while SENTECH shall serve as the vice-chair 7.1.3. A quorum for the Bilateral Committee meeting shall be constituted by at least two (2) representatives of each party present in a meeting as appointed in terms of 7.1.1 7.1.4 The Bilateral Committee may co-opt additional members on an ad hoc basis 7.2 FUNCTIONS OF THE BILATERAL COMMITTEE ‘Shall include: bes, SENTECH MOA ah , 7.2.1. exercising an oversight and monitoring role on the agreed bilateral programmes to be implemented 7.2.2. Evaluating and directing the progress of the parties with respect to fulfiling the objectives of this agreement 7.2.3 appointing the programme coordinators to manage and prioritize the performance of its tasks in terms of this MOA 7.2.4 providing strategic direction to the programme coordinators in respect of envisaged, ussed and tabled at the planned, or anticipated bilateral programmes to be meetings of the Bilateral committee 7.2.5 scheduling meetings once every two months, or on an ad-hoc basis 7.2.6 address and resolve any issues escalated by the prgramme coordinators 84 82 83 BREACH Should any Party (“the defaulting Party") commit a breach of any of the provisions of this MOA, then the other Party/ies (‘the aggrieved Party’) shall be obliged to give the defaulting Party 14 (fourteen) days’ written notice or such longer period as may reasonably be required in the circumstances, to remedy the breach. If the defaulting Party fails to comply with such notice, the aggrieved Party shall be entitled to cancel this MOA against the defaulting Party or to claim immediate payment and/or specific performance by the defaulting Party of all the defaulting Party's obligations whether or not the due date for payment and/or performance shall have arrived, in either event without prejudice to the aggrieved Party's rights to claim damages. There aforegoing is without prejudice to such other rights as the aggrieved Party may have at law; provided always thet, notwithstanding anything to the contrary contained in this MOA, the aggrieved Party shall not be entitled to cancel this MOA for any breach by the defaulting Party unless such breach is a material breach going to the root of this MOA ‘capable of being remedied by payment in money, or if it is capable of being and remedied by payment in money, the defaulting Party fails to pay the amount concerned within 14 (fourteen) days after such amount has been finally determined. DCS_SENTECH MOA ie 8 Je 9. 9.4 9. 9. 92 9.2 9.3 CONFIDENTIALITY The Parties hereby undertake for the continuance of this MOA and for a period of 2 (two) years from the termination of this MOA to the other to: 1.1 keep confidential all information (written, including information contained in electronic format, or oral) conceming the business and affairs of the other that it shall have obtained or received from the other Party and all information relating to this MOA (the information"); not without the others’ written consent, which consent will not be unreasonably withheld to disclose the information in whole or in part to any person save its employees involved in the implementation, of this MOA and who have a need to know the same; and 1.2 use this information solely in connection with the implementation of this MOA and not for its own or the benefit of any third Party. ‘The provisions of 9.1 shall not apply to the whole or any part of the information to the extent that itis: 9.1.1 already known to the recipient without obligation of confidence; 9.1.2 independently developed by the recipient; 9.1.3 publicly available without breach of this MOA; 9.1.4 rightfully received from a third Pat 9.1.5 released for disclosure by the disclosing Party with its written consent; or 9.1.6 required to be disclosed in a response to a valid order of court or other 9.1.7 governmental agency or if disclosure is otherwise required by law. ‘The Parties hereby undertake to make all relevant employees and agents aware of the confidentiality of the information and the provisions of this clause 9 and without prejudice to the generality of the aforegoing to take all such steps as shall from time to time be necessary to ensure compliance by its employees and agents with the provisions of this clause 9; None of the Parties may use the other Parties information disclosed except for the purpose stipulated in this MOA. Ash I (N 10 INTELLECTUAL PROPERTY 10.1. The ownership of all intellectual property rights will remain vested with the Party owning same and if new intellectual property is developed in the course of the Parties dealing with each other, then the Parties will jointly register and own the new intellectual property. 10.2 Neither Party shall have the right to dispose of or exploit the intellectual property rights in any manner or form. 10.3 Should either Party wish to make use of the other Party's intellectual property, written consent must first be obtained from such other Party, 41 GOVERNING LAW AND ARBITRATION 11.1. The MOA shall be governed by and the rights and obligations of the Parties hereto shall be construed in all respects in accordance with the Laws of the Republic of South Africa. 11.2. Ifany dispute or difference arises out of or in connection with the MOA, the Parties shall in good faith use all their respective reasonable endeavours to resolve the dispute or difference (referred to below to as a “Matter’) amicably and as soon as reasonably possible by referring the Matter to the respective senior representatives. If the said senior representatives do not reach unanimous agreement on the Matter within 30 business days (or such longer period as may be agreed in writing by all of the said senior representatives) of the date on which the matter was referred to them, then any Party may refer the Matter to arbitration in accordance with Clause 11.3 11.3. Any dispute, difference or claim arising out of or in connection with the MOA (including any disputes as to the existence, scope, validity or termination of the Memorandum or of this Clause 11) shall be finally resolved by an arbitrator appointed by the Arbitration Foundation of Southern Africa (‘AFSA”) and will be conducted in accordance with the rules of AFSA. 14.4 The place of arbitration shall be Johannesburg, Sandton or Pretoria, and English shall be the language of arbitration, being the language of the Agreement and the correspondence between the Parties. The arbitral award shall be issued in English. The DCS_SENTECH_MOA 10 115 11.6 11.8 11.9 11.10 Parties agree that arbitration proceedings are to be held in camera and shall be confidential, and only the Parties and/or their legal representatives, and limited senior representatives, shall be present. It is the intention of the Parties that the arbitration shall, where possible, be held and concluded within 20 (twenty) working days after it has been initiated. Any costs order awarded by the arbitrator shalll be on a scale as between attorney and client. ‘The arbitrator shall have the power to give default judgment if either Party fails to make submissions on due date and/or fails to appear at the arbitration or fails to pay its contribution towards the costs of the arbitration, Subject to the finalisation of any review or appeal proceedings permitted under the rules of AFSA, the decision or award resulting from the arbitration shall be final and binding, and may be made an order of any court of competent jurisdiction at the instance of either Party to the Dispute. With effect from the date of the arbitral award or, in case of the settlement of any Dispute, with effect from the date of any such settlement, neither Party shall have any further right and/or claim (including, without limitation, any right pursuant to a subrogation) against the other Party in connection with or relating to the Dispute in question. Notwithstanding the foregoing, nothing in this clause shall be construed as precluding either Party from applying to court for a temporary interdict or other relief of an urgent nature, pending the decision of the award of the arbitrator in terms of this clause, provided the terms of this clause 11 have been materially complied with by the Party seeking such DCS_SENTECH_MOA " as @ 14.41 12 12.4 13 13.4 relief, and further providing such Party has been attempting to resolve the dispute in good faith before seeking such relief. ‘The provisions of this clause shall survive termination of this Agreement and continue to bind the Parties. FORCE MAJEURE If vis major or force majeure or (‘the interrupting circumstances") causes delays in or failure or partial failure of performance by either Party of all or any of its obligations hereunder, this Memorandum, or as the case may be, the affected portion thereof shall be suspended for the period during which the interrupting circumstances prevail. Written notice of the interrupting shall be dispatched by the Party seeking to rely thereon (on whom the onus shall rest) to the other Parties as soon as reasonable possible after the ferrupting circumstances commencement thereof. Written notice of the cessation of the i shall be given by the Party who relied thereon within 15 (fifteen) day after such cessation. Neither Party shall subsequently be obliged to comply with the obligations suspended during such period. For the purposes hereof vis major and force majeure include acts or ‘omissions of any government, government agency, provincial or local authority or similar authority, any laws or relations having the force of law, civil strife, riots, insurrection, sabotage, acts of war or public enemy, illegal strikes, interruption of transport, lockouts, flood, storm, fire or any other circumstances beyond the reasonable control of the Party claiming force majeure or vis major and comprehended in the terms force majeure or vis. major. Telephone Number (011) 471 4400, Facsimile Number (011) 471 4507 13.4 Each of the Parties may by notice in writing to the other Parties of them alter their address set out in clause 13.1 and 13.2 to another address within the Republic of South Africa which is not @ post office box or a poste restante or similar; 13.5 Any correspondence, if posted by pre-paid registered post from an address within the Republic of South Africa to the addressee at its domicilium address for the time being shall be deemed to have been received by the addressee on the 14 (fourteenth) business day after the date of such posting; 13.6 Notwithstanding anything to the contrary contained or implied in this Memorandum, a written notice or communication actually received by one of the parties from another, including by way of facsimile or email transmission, shall be adequate written notice or ‘communication to such Party; 13.7 If any notice is sent by facsimile/email it will be deemed, until and unless the contrary is proved to have been received on the date recorded on the transmission slip; 13.8 If any notice is delivered by hand, it will be deemed to have been received on proof of the date of delivery. 14 GENERAL 14.1. This MOA constitutes the entire agreement between the Parties with regard to the subject matter thereof and no other conditions, warranties, guarantees and representations shall 13 we N DCS_SENTECH_MOA 14.2 143 144 145 146 15. 15.1 be of any force or effect other than those, which are included herein. No alteration or variation to, or consensual cancellation of this MOA shalll be of any force or effect unless it is recorded in writing and signed by all the Parties to this Memorandum. No failure by a Party to enforce any provision of this MOA shall constitute a waiver of ‘such provision or affect in any way a Party's right to require performance of any such provision at any time in the future, nor shall the waiver of any subsequent breach nullify the effectiveness of the provision itself. In the event that any of the terms of this MOA are found to be invalid, unlawful or unenforceable, such terms will be severable provided that the remaining provisions shall remain of full force and effect. If any invalid term is capable of amendment to render it valid, the Parties agree to negotiate an amendment to remove the invalidity. The Parties shall each pay their own costs of negotiating, drafting, preparing and implementing this Memorandum and the appendices to it. No Party may assign, sub-contract or transfer in any way any of its rights or obligations under the MoU without the prior written consent of the other Party. LIABILITY It is agreed and understood that, both in performing the MOA and during the execution of the formal contract, if applicable, in no event shall any Party be liable for any indirect and/or consequential damages, including but not limited to indirect losses, loss of profit, loss of production, loss of revenue, cost of idle personnel and ‘equipment. DCS_SENTECH MOA 16. PROTECTION OF THE CORPORATE IMAGE OF THE PARTIES 16.1. The Parties shall at all times take reasonable measures to protect the corporate image of all Parties. 417 AUTHORITY 17.1. (as duly authorised) 2. o [ At SIGNED at__ (RETO Ci on 2)" of Meu 20294 For: SENTECH SOC LIMITED AS WITNESSES; ‘Name: {V\ hoor (as duly authorised) DCS_SENTECH_MOA 16 “ANNEXURE A” BILATERAL PROGRAMMES BACKGROUND ‘The Department of Correctional Services (DCS) is seeking to have a strategic Partnership with SENTECH to collaborate on development of 4IR smart technology infrastructure to carry multimedia services in support of DCS strategic and operational needs on an “if and when needed” basis, uti 19 SENTECH networks of towers, communication infrastructure and expertise. SENTECH will provide solutions and expert support in areas of the programmes as described in the Annexure, which will evolve from time to time. Work to be undertaken will be within the framework of a portfolio of programmes, linked to a set of medium term to long term three [(3) to five (5)] year cycle objectives identified and agreed upon by the DCS and SENTECH. Work will be undertaking in consultation and collaboration with the bilateral Committee setup by DCS and SENTECH. Each programme will be contracted through a bilateral programme specific agreement in terms of which projects, tasks and activities identified from the context provided will be authorized through work authorities between DCS and SENTECH. PROBLEM STATEMENT DCS strives to position itself as an enabler to ensure that internal communication is extended to the offender and remand detention populations as well as those in the system of community corrections. The Department of Correctional Services lacks credible and consistent multimedia platform that allows for sending messages to officials, offenders and remand detainees. This limitation causes DCS to be unable to fulfil its strategic role, which includes centralizing all communication within DCS and its shareholder. Without proper and reliable communication channels, it will be difficult and almost impossible for DCS to fulfil its mandate. Relevant stakeholders such as public education, spiritual care, psychological services have an obligation to serve offenders in their various fields but due to COVID 19 regulations they are unable to reach the entire population of offenders to deliver key information and messages. The following programmes are Identified which may become the subject of subsequent agreement between the parties as further defined in the bilateral programme specific agreement @ SOLUTION APPROACH AND SEGMENTATION, A broad framework for co-operation between DCS and SENTECH is depicted by Figure 1 and 2 below, Figure 1: Segments of co-operation between DCS and SENTECH Figure 2: DCS and SENTECH co-operation roadmap In the next two years the co-operation will focus on creating a solid foundation for future-proof moder connectivity infrastructure for delivering multimedia services and applications to all DCS facilities, by so doing enabling for 4IR readiness. Starting from 2022, the focus will be enabling an infrastructure for smart correctional services technologies in collaboration with other DCS partners. The ultimate is advanced use cases to improve management of correctional services. The following programs predominately fall within the first segment, creating a solid foundation for future-proof modern connectivity infrastructure for delivering multimedia services and applications to all DCS facilities: f 6S. SENTECH MOA AMS 7 / ®* Programme 1: Content and Multimedia Development ‘Service Description: FM BROADCASTING FM broadcasting is a method of radio broadcasting using frequency modulation (FM), it uses radio spectrum in ranges from 87.5 to 108MHz which is a finite and limited resource. ‘The FM spectrum is managed and licensed by ICASA to minimize interference and ensure radio spectrum is used to its most efficient extent and benefit for the public. Only a certain number of broadcast radio and television stations in a geographical area may use the spectrum without causing interference with other stations' signals. The FM Radio is the most popular medium in broadcasting because of inexpensive establishment and availability of receivers.
