These terms and conditions (“terms”) set out the basis on which Speedaf Express will transport packages, documents and envelopes ("packages"). These terms are supplemented by the current applicable Speedaf Express Service and Tariff Guides (the Guides”), The Guides contain important details about the services of Speedaf Express which the shipper should readand which form part ofthe agreement between Speedaf Expressand the shipper. B. Depending on the country where the shipmentis presented to Speedaf Expres for carriage, the term “Speedaf Express” willmean and the hipper's contract will be with whichever ofthe following of the folowing companies is applicable. C.—_ Where carriage by air involves an ukimate destination or stop outside the country of origin the Warsaw Convention may apply. All packages covered under aWaybillshallbe considereda single shipment. 2 ScopeofService Unless any special services are agreed, the service to be provided by Speedaf Express is limited to the pickup, transportation, customs clearance where applicable and delivery of the shipment. The shipper acknowledges that shipments willbe consolidated with those of other shippers for transport and that Speedaf Express may not monitor the inbound and outbound movement of individual shipments at ll handing centers. Speedaf Express is nota common carrier and reserves the right nits absolute discretion to refuse cariage to any package tendered toe for ‘transportation 3. Conditions of Carriage ‘This section sets out various restrictions and conditions which apply to the carriage of packages by Speedaf Express. Ialso explains what the consequencesare ofthe shipper presenting packages for carriage which do not meet these requirements. 3.1 ServiceRestrictionsand Conditions Packages must comply with therestrictionsin paragraphs () to (jv) below, 0 Packages mustnat weigh more than 31.5 kilograms or 70 [bs ) or 70 ilograms (or 150s.) (depending onthe country where the shipmentis presented to Speedaf Express for cariageand the country of destination, as specified inthe Guides) or exceed 270 0832 33 34 35 centimeters (or 108 inches) inlength ora total of330 centimeters (or |30 inches) inlengthand girth combined. (Packages must not contain any ofthe prohibited articles listedin the Guides including (butt limited t) articles of unusual value (suchas works ofart, antiques, precious stones, stamps, uniqueitems, gold or siver), money or negotableinstruments (such as cheques, bills of exchange, bonds, savings books, pre-paid credit ards, share certificates or other securities), lrearmsand dangerous goods Packages must not contain goods which might endanger human or animal fe or any means of transportation, or which might otherwise taint or damage other goods being transported by Speedaf Express, or the carriage, export or import of which is prohibited by applicable law. “The shipper shall be responsible for the accuracy and completeness of the particulars inserted in the Waybill and for ensuring that all packages set outadequate contact details or the shipper and receiver of the package and that they are so packed, markedand labelled, thelr contents s0 described and cassifed and are accompanied by such documentation as may (in each case) be necessary to make them suitable {or transportation and to comply with the requirements ofthe Guides and applicable law, Unless a differen service leveliscleary selected con the Waybill or other applicable Speedaf Express shipping documentation, shipments willbe carried under the Express service (where available tothe selected destination) andall applicable charges willbe calculated accordingly. “The shipper guarantees that all packages presented for carriage under these terms comply withthe restrictions in paragraphs (to (ii) above “and have been prepared in secure premises, by hm (in the case ofan individual shipper) or by reliable staff employed by him and have been protected against unauthorised interference during their preparation, storage and transportation to Speedaf Express. Speedaf Express relies ‘on this guarantee in accepting any package for carriagehereunder. Perishable and temperature sensitive goods willbe transported provided thatthe shipper accepts that this is tits risk, Speedaf Express does not provide special handling for such packages. Refusal and Suspension of Carriage 0 IWitcomes tothe attention of Speeds Express that any package does not meet any ofthe above restrictions or conditions or that any COD amount stated on a COD Waybill exceeds the limits specified in paragraph 7, Speedaf Express may rofuse to transport ‘the relevant package (or any shipment of which tis apart) and, f carriage i in progress, Speedaf Express may suspend carriage andholé the package or shipmentto the shippers order, Gi) Speedaf Express may also suspend carriage if ie cannot effect delivery at the third attempt, if the receiver refuses to accept delivery, fis unable to effect delivery because ofan incorrect address (having used all reasonable means to find the correct address) or because the correct address is found to be in another country from that set out on the package or Waybill or if cannot collactamounts duefromthe recelver on delivery (ii) Where Speedaf Express is entitled to suspend carriage ofa package or shipment, itis also entkled to retumit to the shipper atits own discretion ‘The shipper will be responsible forthe reasonable costs and expenses of Speedaf Express (including storage), for such losses, taxes and ‘customs duties as Speedaf Express may suffer and forall sims made against Speedaf Express because a package does not meet any of the restrictions, conditions or representations in paragraph 3.1 above or because of any refusal or suspension of carriage or return ofa package or shipment by Speedaf Express which sallowedby this paragraph 3, In the case of the return of a package or shipment, the shipper will also be responsible for paying all applicable charges calculated in accordance with the prevaling commercialrates of Speedaf Express, If che shipper tenders to Speedaf Express a package which fall to comply with any ofthe restrictions or conditions in paragraph 3.1 above without Speedaf Express express written consent, Speedaf Express wil not meet any loss howsoever arising which the shipper may suffer in connection with the carriage by Speedaf Express of such package (regardiess of whether tat fallure to comply has caused or contributed to the loss and notwithstanding any negligence, except willl misconduct, of Speedaf Express or any negligence, including wilful misconduct, ofits employees, contractors or representatives) and, if Speedaf Express does suspend carriage for areason allowed by these terms, the o36 37 52 53 1 shipper shall not be entitied to any refund on the carriage charges it has paid. Speedaf Express may bring a claim in respect of such non- compliance. having suspended carriage ofa package or shipment in accordance with these provisions, Speedaf Express is unable within a reasonable ‘ime to obtain the shippers instructions on disposition ofthe package or shipment, or to identily the shipper or any other person entitled to the goods (having f necessary, opened the package), Speedaf Express shal be entitled to destroy or sell the package or shipment, atts absolute discretion, The proceeds of ay such sale shal first be applied ta any charges, costs or expenses (Including interest) outstanding in respectofthe package or shipment or otherwise fram the shipper concerned. Any balance shallbe held tothe shippers order Speedal Express reserves the right, but is not obliged, to open and inspect or scan by means of x-ray any package tendered to it for ‘transportationatany time. Customs Clearance Where a package requires customs clearance, i i the shippers responsibilty to provide complete and accurate documentation for the purpose but Speedaf Express willuniess instructed otherwise acts the shippers agent in obtaining customs clearance. Provided that, in the ‘case of shipments wase points of dispatch and destination are both within the same customs area, Speadaf Express will only perform ‘customs clearance if instructed to do s0, The shipper also agrees that Speedaf Express may be considered a being the receiver of the package for the solepurpote of appointing customs broker to carry out ary customs clearance tothe extent permitted by law. Payment “The rates for carriage and other services are set out inthe Guides and unless paid before shipment, ll charges must be paid within 7 days of receipt of invoice or within such other period as the shipper may have agreed in writing with Speedaf Express. Speedaf Express may verily ‘the actual andlor dimensional weight of packages and, greater than the declared weight, invoice on such basis Unless proved otherwise, an invoice shall be considered or this purpose ta have been received three business days following the date ofinvoice, lf Speedaf Expressie required to pay any taxes, duties or levies on behalf of the shipper, receiver or some other party, and Speedaf Expressis Unable to recover such amount on request from the relevant person, that amount willbe payable by the shipper on demand. This also applies In eases where thereceiveror.inthe case of third-party billing the third part fallsto pay any charges which they are duet pay any sum isnot paid by the shipper, receiver or some other party under these terms, Speedaf Express may hold any packages itis carrying Lntiitreceives paymentin full or may sll such packages and se the proceeds to make good the debt taitin accordance with applicable local law. Any unpaid balance willremain payable, Interruption of Service Speedaf Expressis unable t start or continue with carriage ofthe shipper’ package forareason beyondits control, Speed Express willnot bein breach of ks agreement with the shipper but Speedaf Express wil ake all steps that are reasonably practicable inthe circumstances to commence or continue the carriage. Examples of events beyond Speedaf Express controlar disruption to air or ground transportation due tobad weather fire, flood, war hostltes, vl disturbances, acts of government or other authorities (including without imitation, customs) and labour disputes or obligations affecting Speedal Express or some other party Collecton Delivery (COD) For certain destinations as advised by the local Speedsf Express cal centre, Speedaf Express offers a COD service on payment of an additional charge a set out in the Guides, Ifthe shipper makes use of this service, subject tothe provisions set out below (including those relating to currency conversion) Speedaf Express willcollecton behalf ofthe shipper the COD amount stated onthe Waybil COD amounts must be specified on the Waybill in NGN. Where any of the COD amounts specified on the Waybil, collected from the recelver and/or pad tothe shipper ae in efferent currencies from each other, the conversion(s) will be made at such exchange rate(s) as Speedal Express may reasonably determine. ‘Speedaf Express does not accept responsibilty for any currency exchangers. (Cash COD - Where Speedaf Express is instructed on the WayAill in accordance with applicable Speedaf Express guidelines to accept cash only, Speedaf Express will collect only cash, in the currency ofthe country of destination. Where cash is collected, the maximum amount72 73 74 75 a2 83 a4 as collectible that form on behalfofashipper shallbe the local currency equivalent of USD 5,000 per receiver per day. If he shipper specifies a COD amount that exceeds these limits, Spaedaf Express wil automaticaly be entitled to accept cheques forthe whole or any parcofthatamount. Payment of Collected COD Amounts - Where Speadaf Express collects cash, Speedaf Express will pay to the shipper an equivalent amount in the local currency ofthe country where the shipment was presented to Speedaf Express for transportation, Speedaf Express may make such payments of COD amounts by ether wire transfer to any bank account notified to Speedaf Express by the shipper or issuing a chequein favour ofthe shipper ‘Ay cheques in favour ofthe shipper, issued ether by Speedaf Express as set out above or by the receiver and collected by Speedaf Express pursuant to Section 7.2, may either be forwarded tothe shipper by regular mala the shippers risk or handed over tothe shipper orto any ‘other person appearing have authority toaccept the cheque onthe shippers behalt. In the event of non-receipt bythe shipper of COD amounts the shipper must nati Speedaf Express in writing within 45 days ofthe date of delivery ofthe package concerned. ‘The shipper wil indemnify Speed Express forall losses, expenses or any claims made agninst Speedaf Express by the receiver or a third party, arising where Speedaf Express does not deliver a package because the receiver dees nat pay the COD amountin the appropriate form or refuses toacceptthe package. ‘The liability of Speedaf Express in respect of the amount to be collected shallot exceed either the applicable maximum amount collectible under these terms or the COD amount indicated on the Waybil, whichever the lesser, Further, the COD amount shall not in any event exceed the value ofthe goods at their destination plus applicable carriage charges. For the avoidance of doubt, a COD amount does not constitute declaration ofa value forthe purpose of paragraph 8.4 or otherwise and therefore: shallnotaffectthe lability of Speedaf Express for any loss, damage or delay tothe goods themselves. Speedaf Express does not accept any responsibly for any dishonest or fraudulent acts on behalf ofthe receiver including, utnotlimitedto, presenting fraudulent cheque or one which slater dishonored, or for cheques incorrectly completed by the receiver ability Where the Warsaw or CMR Conventions or any national laws implementing or adopting these conventions apply (for convenience referred {0.5 Convention Rules) or where (and to the extent that) other mandatory national aw applies, the lability of Speedaf Express is governed byandwillbe limited according to the applicable rules, Where Convention Rules orather mandatory national laws do not apply, Speedaf Express will nly be lable for falure to act with reasonable care and sil and ts lability shall be exclusively governed by these terms and (ave in the case of personal injury or death imited to proven damages ofthe local currency equivalent of USD 00 per shipment, unless ahigher value has been declared by the shipper under paragraph BA below. Ifthe claimant (or any person from whom he derives his right o claim) has caused or contributed to any loss, damage or delay toa shipment ‘or package, any liability Speedaf Express may incur in respect thereof (imited.as above) may be reduced or extinguished in accordance with the law applicable to such contributory negligence. Subject tothe provisions of paragraph 8.5, the shipper may obtain the benefit ofa greater imit of lability than Speedaf Express provides under paragraph 8.2 above or than may be provided by Convention Rules or other mandatory national law, The shipper may do so by declaring a higher value on the Waybill and paying an additional charge as stated in the Guides. I the shipper declares a higher value for carriage and pays the applicable charge, then Speedaf Express’ lability shall be limited to proven damages not exceeding the sum 0 declared. The value ofthe goods concerned shall notin any event exceed the limits specified paragraph 3.1(i), Save where Convention Rules or other mandatory national laws require otherwise, Speedaf Express does not accept responsibility for purely economic losses, such as the costs of any alternative means of transport, loss of profits, oss of business opportunities or loss of revenue resulting from loss of use arising from any las of or damage or delay toa shipment or package, whether or nota value has been declaredin respectofthe relevant shipment under paragraph 84Speedaf Express shall not be lable for any damage to or loss ofany packaging, Delivery Speedaf Express may deliver a shipment to the receiver named on the waybill or to any other person appearing to have authority to accept delivery ofthe shipment on the receivers behalf (uch as personsat the same premisesas the receiver or neighbors of the recever).Speedat Express may use an electronic device to obtain proof of delivery andthe shipper agrees that it will not object to Speedaf Express relying ona printed copy of thisas evidence merely onthe grounds thatthe information concernedis abtained and stored in lactronic form. Save where Convention Rules or other mandatory national laws require otherwise, Speed Express accepts no responsibility in any Circumstances to suspend carriage, redirect delivery (whether to diferent receiver or address from that named on the Weybill or returna package tots shipper and, inthe event that it should attemptbut fall to doo, shallhave no lability for any losses thereby occasioned DataProtection ‘The shipper agrees that Speedsaf Express and other companies in the Speedaf Express group of companies worldwide, including companies in countries which may not have the same level of data protection asthe country where the shipment s presented to Speedaf Express for ‘carriage, may use any data provided by the shipper to Speedaf Express for management analysis and monitoring, the purchase and supply of ‘customer materials, administration of customer accounts and the advertising of services and products provided by Speedaf Express ‘companies. The shipper has certain rights under the law (exerisable by contacting Specdaf Express) to have access to, rectly object tothe use for direct marketing of,or delete personal data held by Speedaf Express about Chims Procedure ‘All claims against Speedaf Express must be notified in writing as soon as reasonably practicable and in any event within 14 days of receipt in the case of damage (inckuding partial loss ofa shipment) andlinthe case of delay within 2 days ofthe goods being placed atthe cisposal ofthe person entitled to delivery andin the case of oss within 60 days of the goods being consigned with Speedaf Express for carriage, Inaddition, Speedaf Express will have no lability in connection with any shipment unless lagal proceedings are brought and written notice of them i given to ie within elght months ater delivery of the goods concerned or, nthe case of non-delivery, within eight months from the scheduled date for delivery. This term shall not affect any rights the shipper may have under Convention Rules or other mandatory nationallaws.
