Following up on the previous meeting, here we submit a
Proposal for Taxation Services with the following
description:
A. SCOPE OF WORK
The services that we will provide for the company are Tax
Objection and Tax Appeal for year 2019. The following
types of taxes as follow :
 PPh Pasal 21
 PPh Pasal 23
 PPh Pasal 26
 PPh Final 4(2)
 PPh Badan
 PPN
 PPn JKP dari Luar Pabean
B. FEES AND PAYMENT SCHEDULE
1. Professional fees are:
 PPh Pasal 21 is Rp160.000.000
 PPh Pasal 23 is Rp160.000.000
 PPh Pasal 26 is Rp160.000.000
 PPh Final 4(2) is Rp160.000.000
 PPh Badan is Rp600.000.000
 PPN is Rp500.000.000
 PPn JKP dari Luar Pabean is Rp150.000.000
Professional fees be billed 40% while this proposal is
signed, 30% when tax appeal submitted to court and
30% when tax court is began.
2. Success Fee is 10% (ten percent) of the amount of
reduce from tax obligation that company must
paid based on tax assement letter and tax
objection/appeal decision.
3. Out of Pocket Expenses (OPE).

C. MANAGEMENT RESPONSIBILITIES
We would like to say that our ability to complete the work
in a timely manner depends on the availability and quality
of the data, information, and/or documents provided by the
company.
The company management has the responsibility to
provide us with necessary and relevant data, information,

B. BIAYA DAN JADWAL PEMBAYARAN
1. Professional fee adalah :
 PPh Pasal 21 sebesar Rp160.000.000
 PPh Pasal 23 sebesar Rp160.000.000
 PPh Pasal 26 sebesar Rp160.000.000
 PPh Final 4(2) sebesar Rp160.000.000
 PPh Badan sebesar Rp600.000.000
 PPN sebesar Rp500.000.000
 PPN JKP Luar Pabean sebesar Rp150.000.000
Ditagih sebesar 40% saat proposal/perjanjian ini
ditandatangani kedua belah pihak, 30% ketika
permohonan banding dikirim ke Pengadilan Pajak
dan 30% ketika sidang Pengadilan Pajak dimulai
2. Success Fee sebesar 10% (sepuluh persen) dari jumlah
kewajiban pajak yang dapat dikurangi berdasarkan
jumlah surat ketetapan pajak dan keputusan
keberatan/banding.
3. Biaya OPE.

C. TANGGUNG JAWAB MANAJEMEN
Kami ingin menyampaikan bahwa kemampuan kami untuk
menyelesaikan pekerjaan secara tepat waktu bergantung
pada ketersediaan dan kualitas data, informasi, dan/atau
dokumen yang disediakan oleh Perusahaan. Manajemen
Perusahaan memiliki tanggung jawab untuk menyediakan
semua data/informasi, dan/atau
 PT. TATA ADHIGANA TANAKA
and/or documents. Therefore, we are not responsible for
losses arising from the company's failure to provide
relevant, accurate, and complete information.
The company will assign the person in charge of the task,
namely:
 as a person in charge (PIC),
 assisting in the review of our work, and
 fill out, collect, and maintain data, information,
and/or documents to meet the applicable
regulatory requirements.
D. CONFIDENTIALITY AND INFORMATION
SECURITY
We shall keep confidential and not disclose or use any
information provided pursuant hereto except concerning
the performance of our duties under the engagement
without the company’s prior written consent.
This restriction does not apply to information which is
already in our possession through prior engagement by
the Company or any of the Company’s affiliates which is
not subject to a confidentiality obligation, which is or
becomes publicly available or available to any third party
without restriction or breach of confidential undertaking,
or which is or becomes available to us without restriction
or breach of confidential undertaking from a source other
than the Company or the Company’s representatives.
We may also disclose information to the extent required
by order of any court or regulatory authority of competent
jurisdiction, but we shall give the Company to the extent
practicable under the circumstances, advance written
notice to permit the Company to contest the order. We
may disclose information furnished hereunder to any
employee, representative, or partner of the firm in the
course of his duties. We shall ensure that no such person
shall disclose or use such information except as provided
herein. We shall not disclose this engagement to any
person without the Company’s prior written consent.

kegagalan perusahaan untuk memberikan informasi
yang relevan, akurat, dan lengkap.
Perusahaan akan menugaskan penanggung jawab
dengan tugas, yaitu:
 sebagai person in charge (PIC),
 membantu penelaahan hasil pekerjaan kami, dan
 mengisi, mengumpulkan, dan memelihara data,
informasi, dan/atau dokumen untuk memenuhi
persyaratan peraturan yang berlaku.
D. KERAHASIAAN DAN KEAMANAN INFORMASI
Kami akan menjaga kerahasiaan dan tidak
mengungkapkan atau menggunakan data, informasi,
dan/atau dokumen apa pun yang disediakan
berdasarkan proposal ini, kecuali mengenai kinerja
tugas kami dalam perjanjian tanpa persetujuan tertulis
dari perusahaan.
Pembatasan ini tidak berlaku untuk data, informasi,
dan/atau dokumen yang telah kami miliki melalui
keterlibatan penyediaan jasa sebelumnya dengan
Perusahaan atau afiliasi Perusahaan yang tidak tunduk
pada kewajiban kerahasiaan, yang tersedia untuk
umum; atau tersedia untuk pihak ketiga tanpa
pembatasan atau pelanggaran dari upaya rahasia atau
yang tersedia untuk kami tanpa batasan atau
pelanggaran terhadap upaya rahasia dari sumber selain
dari Perusahaan atau perwakilan Perusahaan.
Kami juga dapat mengungkapkan data, informasi,
dan/atau dokumen sesuai yang diperlukan atas perintah
pengadilan atau otoritas yang berwenang dari
yurisdiksi yang kompeten, tetapi kami akan
memberikan pemberitahuan tertulis terlebih dahulu
kepada Perusahaan dan memberikan sebagaimana
yang dapat dipraktikkan dalam keadaan tersebut. Kami
dapat mengungkapkan data, informasi, dan/atau
dokumen yang diberikan oleh Perusahaan kepada
karyawan, perwakilan, atau mitra perusahaan mana
pun dalam rangka menjalankan tugas kami. Kami
memastikan bahwa tidak ada orang yang akan
mengungkapkan atau menggunakan data, informasi,
dan/atau dokumen tersebut, kecuali sebagaimana
ditentukan di sini. Kami tidak akan mengungkapkan
pengikatan ini kepada siapa pun tanpa persetujuan
tertulis sebelumnya dari Perusahaan.

E. LIMITATION OF LIABILITY AND
INDEMNIFICATION
The Company shall not submit any claims of any kind in
connection with the services which have been provided.
This condition shall continue to be effective even after the
completion of the assignment. Our maximum liability to
the Company and third parties howsoever arising, in
connection with the services provided under this proposal
shall be limited to the fee paid to us for the provision of
the services or performance of the work which gave rise to
the claim of liability.
Our work depends significantly on the information, which
shall be furnished to us by the Company upon which we
have no authority to verify or validate. As such, the
Company is required to provide relevant, accurate, and
complete information in connection with our assignment.
Any decision made with our assignment will be discussed
and approved by the Company. Accordingly, we shall not
be held liable for any losses or legal consequences
resulting from a failure to provide relevant, accurate, and
complete information, and the said decision which has
been made and approved by the Company. We shall not be
liable for any delays or failures in performance due to
circumstances beyond our control (force majeure).
F. VALIDITY OF THE PROPOSAL
This proposal shall remain valid for thirty (30) days from
its receipt and must be signed within the said period.
Otherwise, the terms of this proposal shall be reviewed
again and may be subject to change.
G. TERMINATION
This proposal may be terminated at any time by either
party upon thirty (30) days prior written notice in the
event of a professional conflict or in the event either party
fails to comply with the terms of this proposal, and the
failure continues for a period of thirty (30) days following
receipt of written notice specifying the failure.
The Company shall pay us for all services rendered and
expenses incurred as of the date of termination and shall
reimburse us for all reasonable costs associated with any

Perusahaan tidak akan mengajukan klaim dalam
bentuk apa pun sehubungan dengan layanan yang telah
disediakan dalam Proposal ini, dan kondisi ini akan
terus berlaku bahkan setelah penugasan selesai.
Tanggung jawab maksimum kami kepada Perusahaan
dan pihak ketiga sehubungan dengan layanan yang
disediakan dalam Proposal ini akan terbatas pada biaya
yang dibayarkan kepada kami untuk penyediaan
layanan yang dimaksud dalam proposal ini.
Pekerjaan kami sangat tergantung pada data,
informasi, dan/atau dokumen yang akan diberikan
kepada kami oleh Perusahaan yang mana kami tidak
memiliki wewenang untuk memverifikasi atau
memvalidasi. Dengan demikian, Perusahaan
diharuskan untuk memberikan data, informasi,
dan/atau dokumen yang relevan, akurat, dan lengkap
sehubungan dengan penugasan kami. Setiap keputusan
yang dibuat sehubungan dengan penugasan kami akan
dibahas dan disetujui oleh Perusahaan. Oleh karena itu,
kami tidak akan bertanggung jawab atas kerugian atau
konsekuensi hukum apa pun yang disebabkan oleh
kegagalan untuk memberikan informasi yang relevan,
akurat, dan lengkap; dan/atau keputusan tersebut yang
telah dibuat dan disetujui oleh Perusahaan. Kami tidak
akan bertanggung jawab atas keterlambatan atau
kegagalan dalam penyediaan jasa dalam proposal ini
karena keadaan di luar kendali kami atau keadaan
kahar (force majeure).
F. VALIDITAS PROPOSAL
Proposal ini akan tetap berlaku selama 30 (tiga puluh)
hari sejak diterima dan telah ditandatangani dalam
periode tersebut. Dalam hal sebaliknya, ketentuan
proposal ini dapat berubah dan akan ditinjau kembali.
G. PENGAKHIRAN
Proposal ini dapat diakhiri kapan saja oleh salah satu
pihak setelah 30 (tiga puluh) hari sebelumnya
menyampaikan pemberitahuan secara tertulis dalam
hal terjadi konflik profesional atau dalam hal salah satu
pihak gagal untuk memenuhi persyaratan proposal ini,
dan kegagalan berlanjut untuk suatu periode 30 (tiga
puluh) hari setelah diterimanya pemberitahuantertulis
yang menyebutkan kegagalan.
Perusahaan akan membayar kami untuk semua
layanan yang diberikan dan biaya yang dikeluarkan
pada tanggal penghentian, dan akan mengganti kami
untuk semua biaya yang wajar terkait dengan

termination. Except for matters related to confidentiality
or intellectual property rights or any other matters
outside the commercial dispute sphere (e.g., tax
compliance), the Parties shall first attempt to resolve any
dispute or alleged breach amicably and use a mutually
acceptable alternative dispute resolution process.
H. GOVERNING LAWS AND DISPUTE
RESOLUTION
This proposal shall be governed by the Laws of the
Republic of Indonesia. In the event of any dispute occur
relating to the implementation of and/or any discrepancies
occur from the interpretation of covenants of this
agreement, the Parties shall settle it by amicable
resolution.
If the amicable resolution does not settle the dispute, the
Parties agree to bring the dispute before the District
Court. The Parties agree to choose an irrevocable legal
domicile at the Registrar Office of North Jakarta District
Court.
I. ACKNOWLEDGEMENT
If the above terms satisfy your requirements, please affix
your signature on the two (2) original copies of the
proposal and return them to us. However, should there be
any part of the proposal that is not acceptable to you,
please notify us immediately.
J. ADDENDUM
Other things that have not been regulated in this proposal
will be arranged and agreed upon in the addendum by the
Parties and also treated as an integral part and has the
same legal effect to this proposal.
We the undersigned, agree to the terms and conditions
above:

penghentian apa pun. Dikecualikan untuk hal-hal yang
berkaitan dengan kerahasiaan atau hak kekayaan
intelektual atau hal-hal lain di luar lingkup sengketa
komersial (misal: kepatuhan pajak), kedua belah Pihak
pertama-tama akan berusaha menyelesaikan setiap
sengketa atau dugaan pelanggaran secara damai dan
menggunakan proses penyelesaian sengketa alternatif
yang dapat diterima bersama.
H. HUKUM YANG BERLAKU DAN RESOLUSI
SENGKETA
Proposal ini diatur oleh Hukum Negara Republik
Indonesia. Dalam hal terjadi perselisihan yang
berkaitan dengan pelaksanaan dan/atau perbedaan
yang terjadi dari interpretasi perjanjian ini, Para Pihak
akan menyelesaikannya dengan resolusi yang damai.
Dalam hal resolusi damai tidak menyelesaikan
perselisihan, Para Pihak setuju untuk membawa
perselisihan ke Pengadilan Negeri. Para Pihak setuju
untuk memilih domisili hukum yang tidak dapat
dibatalkan di Kantor Panitera Pengadilan Negeri
Jakarta Utara.
I. PENGAKUAN
Dalam hal persyaratan di atas memenuhi persyaratan
Anda, kami mohon bubuhkan tanda tangan Anda pada
dua (2) salinan asli proposal dan mohon dapat
kembalikan kepada kami. Namun, dalam hal terdapat
bagian dari proposal yang belum dapat diterima oleh
Anda, mohon kiranya dapat segera menghubungi kami.
J. TAMBAHAN
Hal-hal lain yang belum diatur dalam proposal ini akan
diatur dan disepakati dalam adendum oleh Para Pihak
dan diperlakukan sebagai bagian yang tidak
terpisahkan serta memiliki efek hukum yang sama
dengan proposal ini.

syarat dan ketentuan di atas:
