1. Executive Summary
The Hon’ble Prime Minister launched the National Skill Development Mission (NSDM – known henceforth as, the
Mission) on July 15th, 2015. The Mission will provide the overall institutional framework to rapidly implement
and scale up skill development efforts across India. The vision, objectives and design of the Mission draw upon
lessons learnt from the implementation of skill development efforts over the past decade. It seeks to provide
institutional capacity to train approximately 403 million people by the year 2022.

The Mission Framework for Implementation provides strategic direction to State governments to establish a clear
line of action for meeting their skilling targets in ways that are sensitive to their own requirements yet provide
uniformity in developing a strong national institutional framework. The Framework outlines the overall vision
and objectives of the Mission and specifies its institutional structure (at the national, state and district levels),
outlines its strategy (by focusing on the launch of its core sub-missions) and articulates its financial model.

Skill development is listed as an activity under Schedule VII of the Section 135 of the Companies Affairs Act, 2013
for Corporate Social Responsibility (CSR) projects. MSDE has formed a separate cell (“CSR Cell”) at NSDC, to
facilitate corporates and foundations to contribute to the mission under CSR and other funds.

Guidelines under the Act apply for all CSR contributions under such projects. This handbook will provide broad
guidelines for CSR contribution towards reaching the stated objectives under the Mission, including its sub-
missions. While the handbook provides general guidelines, each project goes through a rigorous process from
concept stage onwards.

National Skill Development Corporation (NSDC) is a Public-Private-Partnership (PPP) under the Ministry of Skill
Development & Entrepreneurship (MSDE). NSDC, is a Section 8 not for profit company registered under the
Companies Act. 51% of the shareholding in NSDC is held by various industry bodies and 49% shareholding is held
by Government of India. NSDC solicits funds directly into NSDC through bipartite agreements, and through
tripartite agreements involving the National Skill Development Fund (NSDF). Project partners largely include
public sector enterprises, private companies and corporate foundations (“Funding Organization”)

This Manual has been developed to provide broad guidelines for CSR projects in skill development, and the role
of MSDE/NSDC and various agencies in ensuring successful implementation.

The Ministry invites all corporates, foundations and public sector enterprises to play an active role in furthering
the Skill India initiative.

2. Industry Partnerships & CSR - The Concept and Objective

2.1 The Concept


Schedule VII of the Companies Act 2013 enlists activities which may be included by companies as Corporate Social
Responsibility.

They are activities relating to:


(i) eradicating extreme hunger and poverty.
(ii) promotion of education.
(iii) promoting gender equality and empowering women.
(iv) reducing child mortality and improving maternal health.
(v) combating human immunodeficiency virus, acquired immune deficiency syndrome, malaria and
other diseases
(vi) ensuring environmental sustainability.
(vii) employment enhancing vocational skills.
(viii) social business projects.
(ix) contribution to the Prime Minister's National Relief Fund or any other fund set up by the Central
Government or the State Governments for socio-economic development and relief and funds for the
welfare of the Scheduled
Castes, the Scheduled Tribes, other backward classes, minorities and women.
(x) such other matters as may be prescribed.
(xi) Apprenticeship Training

Note: As per circular dated 12/02/2016 of Ministry of Corporate Affairs, Industries/establishments are permitted
to utilize their CSR funds for Apprenticeship Training which include expenditure on Basis Training and Stipend
payable to Apprentices under Apprentices Act 1961. (Amended 2014)

Skill India Mission is an initiative of the Government of India which has been launched to empower the youth of
the country with skill sets which make them more employable and more productive in their work environment.

The Industry Partnerships & CSR vertical in NSDC is works towards helping the underprivileged to sustainably
enhance living standards and raise the nation’s human development index through promotion of education
and training, promoting gender equality, empowering women, and employment enhancing vocational skills.

With Industry Partnerships & CSR, we are committed to:

Inclusion and Diversity through Affirmative Action


National Policy for Skill Development and Entrepreneurship, 2015 of the Ministry of Skill Development &
Entrepreneurship lays an emphasis on the skilling of socially and geographically disadvantaged and
marginalized groups. In line with the national policy, the CSR and Industry Partnership team has special focus
on “Affirmative Action” and skill development initiatives for vulnerable groups including but not limited to
Persons with Disabilities (PwDs), Scheduled Castes, Scheduled Tribes, minority communities, nomadic tribes,
transgenders and widows, through its diversity and inclusion segment. Following are the key focus areas for
inclusion and diversity segment:
• Promoting inclusion and diversity in skill development as per government mandate;
• Identifying key challenges faced by vulnerable communities in accessing skill development schemes
and offering customized skill development programs, resulting in increased participation of these
communities in the workforce;
• Establishing Centres of Excellence for promoting skill development of vulnerable groups;
• Advocating for scaling up the skill development of vulnerable groups with multiple agencies.

2.2 Strategy and Models


The CSR & Industry Partnership team collaborates with Funding Organizations in two ways. Both are mentioned
below:

1. Bi-Partite Collaboration of NSDC - Funding Organization


• Funding Organisation contributes funds directly to the National Skill Development Corporation
(NSDC) to meet and fulfil CSR commitments under the Companies (Corporate Social Responsibility)
Act, 2013.
• Sponsor candidates for skilling programs in operational areas/regions of the Funding Organisation’s
choice and in priority areas/sectors (programs focused on livelihoods, persons with disabilities,
minorities, special areas, etc.)
• Operationalize Project through a bipartite agreement between Funding Organisation and NSDC
• Funding Organisation may offer existing facilities and machinery for on-the-job training wherever
available
• Implement the project through NSDC Training Partners with project management support by NSDC
at a PMU fee of 8% - 10% of total commitment of the projects. The slabs are mentioned below:
o For Proposals of value <= INR 50 Lacs - 10% Management Fees above
o For Proposals of value > INR 50 Lacs and <= INR 1 Crs – 9% Management Fees
o For Proposals of value > INR 1 Cr – 8% Management Fees
• Align all skill development programs to the National Skills Qualification Framework (NSQF) leading
to certification from Sector Skill Councils

2. Tri-Partite Collaboration of NSDC – NSDF – Funding Organization


• Funding Organization contributes funds directly to the National Skill Development Fund (NSDF) to
meet and fulfil CSR commitments under the Companies (Corporate Social Responsibility) Act,
2013.
• Sponsor candidates for skilling programs in operational areas/regions of Funding Organization’s
choice and in priority areas/sectors (programs focused on livelihoods, persons with disabilities,
minorities, special areas, etc.)
• Operationalize Project through a tripartite agreement between Funding Organization, NSDF and
NSDC
• Funding Organization may offer existing facilities and machinery for on-the-job training wherever
available
• Implement the project through NSDC Training Partners with project management support by NSDC
at a PMU fee of 8% - 10% of total commitment of the projects. The slabs are mentioned below:
o For Proposals of value <= INR 50 Lacs - 10% Management Fees above
o For Proposals of value > INR 50 Lacs and <= INR 1 Crs – 9% Management Fees

The following models exist for collaboration with Funding Organizations under the Skill India initiative. A quick
overview of each of the models is presented below.

1. Sponsorship of Candidates for Skill Development


• Skilling programs in priority areas/sectors: Short Term Training of fresh candidates or
Recognition of Prior Learning (RPL) certification programs for employees (including contractual
workers) for NSQF-alignment. Focus on livelihoods, persons with disabilities, minorities etc. in
preferred geographical area.
• Skilling towards management of COVID – 19 crises: Skilling, up-skilling, re-skilling of paramedical
staff in healthcare module, Production of PPE kits/Masks/sanitizers etc.
• Upskilling /rehabilitation of Returning Migrant Workers: Skilling/Upskilling in Digital literacy, Skill
Training basis market need assessment in the place of residence, self-employment/micro
enterprise.
• Skilling with focus on Nano Entrepreneurship for rural & urban youth: Promoting training leading
to setting up of nano entrepreneurship, Promoting incubation & acceleration for setting of micro

enterprise, Promoting training in innovation/need – seed matching for self-employment,


Promoting technology entrepreneurship: from Lab to market.

2. Setting up Skill Centre of Excellence (CoE)/Support Trade-Specific Labs/ Right to use Land, Building,
Machinery
• Setup/upgrade a skill development facility to be Centre of Excellence (CoE) focused in
sectors/areas of strategic importance.
• The CoE to be of a state-of-the-art aspirational centre with advanced skill equipment with support
from sector relevant industry, for promoting higher level of skilling in the country.
• The combination of technical knowhow of Skills along with sector expertise assuring a highly
aspirational centre with supreme training quality.
• Co-brand CoE with Skill India.
• Corporate can setup/ donate labs to support skill development programs addressing industry
need for skilled manpower at trade-level.
• Corporate, NSDC and the SSC can jointly identify training centers to upgrade/augment labs in such
centers.
• Corporate can jointly monitor with NSDC to make certain such centers are delivering as per plan
and on quality standards set forth.
• Government schemes (like PMKVY) may be converged in such centers where focus is on
underprivileged youth, to offset the cost of training and assessment.
• Provide right of usage to an appropriate facility to be used as a skill development centre.
• Support existing programs through basic setup costs and equipment donation to offset training
programs that are cost intensive.
• Provision of land usage for specific programs like Driver Training Centers, Construction-related
trades, etc. with high employment potential.

3. Skill Advisory
• NSDC to act as the Knowledge/Advisory Partner to Industry to support in the establishment of the
infrastructure & Implementation of the project
• Establish collaboration with foreign partners to develop transnational standards through G2G/B2B
partnerships with the support of NSDC for skills training related content

4. Apprenticeship training
(Utilization of CSR funds for Apprenticeship training under ‘Skill training’ already covered under item no.
(ii) of Schedule VII of the Companies Act.)
• CSR funds for Apprenticeship training to include expenditure on Basic Training and stipend payable
to apprentices under Apprentices Act 1961.
• Expenditure on Apprenticeship training over & above of 2.5% i.e., minimum mandate as per
Apprentices Act, can be utilized under CSR funding

5. Ancillary Models & Products

• Value chain creation, Market linkages and E-commerce:


o Skill project design towards establishing connect with the supply chain with focus on
marketing, effective commercialization, and production of market viable products.
o Assistance in providing market linkages and inclusion of the product on possible e-
commerce avenues.
• Digital literacy and Marketing:
o Providing training in market led Digital Training modules to increase employability
o Additional certification from SSC & leading corporates, providing Market driven modules
like Facebook etc.
o Enabling entrepreneurs at the grass root level, to leverage e - commerce platforms like
Amazon, Flipkart etc.
• Counselling & Awareness on Safety, Inclusion & Diversity:
o Counseling on Market led modules on Career counselling, Gender Sensitization,
Sensitization towards Persons with Disability, Greening & Sustainability
o Awareness on Safety, Inclusion & Diversity
o Multi Certification from SSC & leading corporates providing Market driven modules
• Financial Inclusion of Women & Girls:
o Training of Women in Science, Technology, Engineering and Math (STEM).
o Contribution towards Female Labor Force Participation/ inclusive diversity.
o Support skilling of women in non-conventional trades.
• Vocational Education/Skilling in Schools:
o ToT of Teachers
o Setting up of labs at schools
o Vocational Skilling for school students
o NSQF aligned certification
• Community based Skill training:
o On the job and leadership training to the rural entrepreneurs as individuals or groups such
as Self-Help Groups/ Village Organizations, Producer groups and Federations for capacity
building, enterprise building towards making them capable entrepreneurs.
o Advisory services & mentorship to rural entrepreneurs.
• Increasing Impact through Training of Trainers:
o Through its Takshashila Portal, NSDC can train trainers across sectors and trades, map the
touch points and the number of beneficiaries who are in turn being impacted through these
professionals.

6. Digitization and development of E – content /modules


• Conversion of Content to Web Based Digital Content.
• Enabling Technological tools to support dissemination of skilling resources and content-
o Creation and maintenance of eLearning portals, eLearning app, platforms for student
aptitude and accomplishment checks,
o e-assessments and e-certification,

o Data analysis, reporting and monitoring etc.

7. Research and Analytics


• Support study to map the impact of digital learning on varied outcomes, with a focus on gender
• Role of digitally delivered skilling interventions in enabling women for work opportunities, including gig
economy jobs and entrepreneurship.
• Facilitate study of differences in Female Labor Force Participation Rate across states in the country –
which vary from as low as 4% in Bihar to 51% in Meghalaya.
• Utilize data from research to contextualize strategies to encourage women participation into the
workforce by enhancing their skill sets through formal skilling.
• Study the linkages between skilling and education in driving equal gender participation.

3 Roles and Responsibilities

NSDC shall facilitate end to end implementation of skill development projects through implementation
partners. The division in terms of responsibilities pertaining to both the NSDC and its Partners are as under: -

3.3 NSDC CSR Team

There is CSR team at NSDC to guide and monitor the entire CSR and Industry Partnerships initiative. The team is
so structured that there will be an official who would specially be available to guide and coordinate at the
regional level and there would a central team to manage the activity.

4 Process Methodology

The CSR Cell at NSDC will be supported by a Project Management Unit, and project-based consultants hired
for the specific project.

4.1 Advocacy
The Ministry of Skill Development & Entrepreneurship leads advocacy to solicit funds from public sector units
(PSU) in India and private enterprises to contribute towards skill development under CSR activities. Such
advocacy activities are carried out with industry associations, Central Government ministries with PSUs under
their ambit, with foundations, and other intermediary organizations catalyzing CSR funds for social
development. NSDC participates in such engagements and undertakes advocacy for soliciting such funds
through forums, workshops, industry presentations and discussions, and other such modalities.
NSDC will undertake advocacy and communication for all CSR projects as per its branding and communication
guidelines. Where there is further requirement by Funding Organization, such activities may be discussed in
project formulation stage and adequate budget will be allocated for such activities.

4.2 Project Initiation


All projects will commence only upon formal request from Funding Organization either to MSDE or NSDC
directly. This request will be in line with objectives set forth by the Company Board, where applicable, under
the Act, and through a CSR Committee reporting into the Board. All requests may only arise from members of
this Committee or Board, or through officers who have been deputed by such a Committee/Board.
Upon receipt of request, a representative from the NSDC CSR cell will reach out to the Funding Organization
to initiate discussions. These discussions may be in-person, or over the phone or through online medium. The
initial discussion will be to identify broad areas of partnership, locations if any, trades, target segments, and
other key project requirements. Various models of engagement under such partnership will be explored to
ensure maximum impact on the Mission, in line with the Funding Organization’s objectives. All conversations
will be carried out by the Single Point of Contact (SPOC) assigned to this project by Head – CSR, NSDC. Each
Funding Organization is also required to assign a Central SPOC and region-specific SPOCs, where possible, to
ensure smooth implementation of the Project.

4.3 Project Proposal Building


Based on the broad understanding of the contours of the specific Project, a bipartite or tripartite MOU is
agreed upon between all parties involved. A draft proposal with the project brief, budget, disbursement-linked
milestones, disbursement schedule, selection of partners, and other terms is agreed upon prior to proceeding
further. Sector Skill Councils (SSC) may be involved in proposal building, budgeting and other associated
activities where relevant. The Project proposal may consider various models available for collaboration, and
augment based on needs and other parameters identified at this stage, to ensure quality and high impact.

4.4 Project Approval and Agreement (Memorandum of Understanding/MoU) Signing


The operational parameters are approved by the Project Head and a draft MOU is prepared by the CSR cell
which is then sent to the legal team at NSDC to ensure compliance. In case of tripartite MoU, the final copy is
sent to NSDF for their approval. Upon approval by all the parties – Funding Organization, NSDC & NSDF (in
tripartite MoUs), the same is signed by competent authorities of all stakeholders involved.

4.5 Project Management and Monitoring


Where NSDC undertakes responsibility for all project management, the following activities may be performed
by NSDC on behalf of the Funding Organization.

1 Formation of Project Steering Committee, for large multi-year commitments


2 Preparation of Implementation Plan with timelines under various models (for details, please see Industry
Partnership Models)
3 Skill gap assessment, as per skill gap reports or baseline study (where applicable)
4 Trade mapping to existing capacity
5 Training partner selection (as per selection criteria and selection process agreed upon in MOU)
6 Final validation of training partners (as per selection criteria) and approval from Funding Organisation
7 Signing of service level agreements (SLAs) with implementation agencies, viz., NSDC approved training
partners or Non NSDC Partners (upon approval from Senior Head - CSR).
8 Submission of training plan calendar to Funding Organisation as per agreed SLAs
9 Submission of beneficiary and training information in skill development management system (Skill India
Portal) at NSDC
10 Project reporting to PMU

Depending on the Industry Partnership Models selected by the Funding Organization, appropriate activities
will be carried out during project preparation and implementation.

4.6 Project Implementation


NSDC is not a training organization. NSDC has a network of training partners who have been approved upon
due diligence carried out by leading consulting firms with final approval by the NSDC Board. One or more
Training Partners (TP) will be selected to meet the Project objectives-based criteria listed under “Partner
Selection Criteria”. (Refer Point 7) TPs may include for-profit and non-profit entities.

NSDC has seeded the creation of 38 Sector Skill Councils (“SSC”) across various sectors, which are non-
statutory certification bodies, led by the industry and with members from relevant industry associations and
companies. SSCs are mandated to provide Assessment & Certification services to all training programs
undertaken under the National Skills Qualification Framework (NSQF).

Where NSDC-approved TPs may not be available to undertake training programs or capacity creation is quite
low in certain sectors, NSDC may seek list of Training Partners from relevant SSCs to undertake such
programs/projects.

NSDC will sign a Service Level Agreement (SLA) with each of the selected TPs for the specific project to
undertake such programs as agreed under the Agreement.

4.7 Project Impact Assessment


Project impact assessment is carried out as part of the agreed terms. A report on Impact Evaluation is
submitted upon completion of project. A report is submitted to Funding Organization on progress of project
and course corrections are discussed and ratified for further streamlining of projects.

NSDC gets third party call validation for mapping the impact of the project. The call validation may take place
during the project tenure (in case the scale is large) or at the end of the project (in case of smaller projects).
The outcome of the exercise is mapped through the responses captured through a set questionnaire, which
may vary slightly for every project.

However, at funders discretion a comprehensive Impact Assessment can also be facilitated by NSDC if the cost
implications are covered in the MoU by the funding organization. In such cases, NSDC CSR cell onboards a
third-party organization through an RFP, limited mostly, to undertake the study.

Other Key Areas

4.8 Fund Flow and Usage


The fund flow and usage are agreed upon during the signing stage and where NSDF is a receptacle to receive
funds, a project plan is submitted for withdrawal of funds, and for subsequent requests, project update along
with further plans where relevant are sought. All funds released from NSDF follow guidelines set forth by
NSDF.
Where fund flows from NSDC to implementation agencies, i.e. TPs, requests are made by the CSR cell to NSDC
Finance as per process. (Refer to point 6)
At the training partner level, reports are submitted both towards operational and fund usage to the NSDC CSR
PMU. All disbursements are linked to achievement of milestones set forth in the SLA, and where deviation,
corrective measures are taken to ensure smooth implementation.

Note: Funds are disbursed by NSDC/NSDF to the TPs, only upon submission of necessary documents as per
process mentioned in Clause 6)

4.9 PSUs under Central Government/State Government


In projects with public sector enterprises/agencies that fall under Central Ministries or State Government,
such projects are reviewed by the competent authority at the Ministry/Government level. NSDC provides
periodic updates where sought and participates in such review meetings.

4.10 Joint Ventures for Overseas Standards and Jobs


In projects where international collaboration is sought by corporate partner, selection of international and
domestic training partners will be discussed on case basis.

A systematic process is essential to achieve the objective behind conducting the Training Initiative at the pan-
India level. This requires effective planning and review of each session that the TP conducts.
The Process Flowchart (or Project Life-Cycle) is mentioned below, while a detailed checklist that serves as a
reference guide for each Project Head is enclosed as an Annexure.

5 Branding and Communication

The Branding pertaining to the project becomes important as it will be designed such that it motivates and
educates the candidates/youth attending the training sessions and registers to be different in style from the
regular branding formats followed elsewhere under Skill India activities. The training sessions and the branding
integrated with them would aim to instill a feeling of being ‘Empowered Drivers of Change’ in the mind of the
attendees, together with promoting the initiative.
Standardized branding guidelines to be followed by TPs, during the execution of a training session
• CSR Cell to provide branding template to training partner under every project with logos of funding
organisation, Skill India, NSDC, Training Partner placed in order of prominence. Respective project head
to facilitate the provision of template post getting in touch with NSDC Media, PR &Advocacy team.
• Project Head to facilitate logo of funding organisation and permission to duly use their name or not
during different stages of project life cycle.

• Approved Training Partner to facilitate adequately sized, prominently visible standee of the branding

• CSR Project heads to ensure such posts by respective training partners are re-shared by NSDC to increase the
reach.
• All content on the collaterals shared by NSDC will be adapted in the regional language as well, by NSDC for
better comprehension.

6 Selection Criteria for Training Partner under CSR

6.1 Background:
The role of the Training Partner being one occupying utmost prominence in carrying out the skill development
programmes (hereafter referred as “Project”), the process encompassing their selection requires great
emphasis and due diligence. Selection of an apt Training Partner in line with the CSR funder’s (hereafter
referred as ‘Client’) requirements results in better coherence in the execution of the project. NSDC carries out
one of the following processes for selection of the Training Partner:

6.1.1 Method 1: Selection through NSDC affiliated Training Partner

Step A
NSDC maintains a catalogue of affiliated Training Partners. The affiliation process ameliorates NSDC’s
understanding of the interested partners’ capabilities and competencies to carry out the skill training program.
These organizations are granted affiliation post evaluation of their application. The evaluation is based on the
following broad parameters –

a. CSR team sends an email to all the affiliated TPs informing them about the specific CSR project for which
the selection process has been initiated. The TPs through that email are requested to send a proposal
expressing their interest in carrying out the project.
b. Analysis of submitted proposal in detail from both financial and social perspective. The assessment is done
to check if the proposal is outcome oriented and should focus on employability through placement in
industry and/or self-employment opportunities.
c. Assessment of the applicant management team’s credentials, educational qualifications and prior
experience in skill development activity to understand their commitment towards the proposed project.
d. Financial due-diligence of the entity and its sister/group concerns, if any, to understand the financial
capability to invest in proposed project.
e. Legal due-diligence from compliance perspective is also conducted, which entails analyzing the auditor’s
comments and observations in financial statements, constitutional documents of the entity, key contracts
and pending litigations, if any.

Step B
Under the CSR mandate, the above list of Training Partners is further drilled down based on the following broad
aspects inclusive of them having:
• Availability of Pradhan Mantri Kaushal Kendra (PMKKs)1 with the Training Partner.

In line with the Ministry of Skill Development and Entrepreneurships’ (MSDEs) vision of transforming India as the skill Capital of the world, State of the art
Model Training Centers (MTCs) referred to as Pradhan Mantri Kaushal Kendra (PMKKs) are planned to be established in every district. PMKK aims to create
benchmark institutions that demonstrate aspirational value for competency-based skill training and focus on elements of quality, sustainability and connect
with stakeholders in skills delivery process.

• Conducted fee-based training programs


• Executed Government schemes such as Pradhan Mantri Kaushal Vikas Yojana
• SMART (Skill Accreditation and Management of Training Centers) accredited 5 star and 4 star centers. It
may be noted that in cases with reference to geographical constraints, 3-star accredited centers may also
be considered.

In case, spare capacity under relevant sectors/job roles is available at PMKKs, targets shall be allocated to
respective PMKKs. In this scenario Step C shall be skipped.

Step C
The affiliated Training Partner(s) are then shortlisted with regards to the geography/sector/job role as specified
by the Client’s requirements. The shortlisted Training Partners are further relatively ranked as per the scoring
matrix based on the following criterion:
• Number of candidates trained in the sector/ job role: Weightage 2
• Number of candidates placed in the sector/ job role: Weightage 2
• Training Centers presence in the geographies desired by the Client: Weightage 2
• Experience in relevant Sector/s: Weightage 3
• Experience of working with vulnerable communities (depending upon project’s requirement):
Weightage 1

Based on the relative ranking method, the list of top Training Partners is presented to the Client for finalization
of one or more Training Partner(s) for execution of the Project. It may be noted that Training Partner which
have PMKKs in the desired location are given preference, irrespective of the ranking score obtained.

Step D
Workshop with the shortlisted Training Partner(s) will be conducted for evaluation and final selection basis
below ranking matrix. The workshop is conducted in the presence of CSR team/Committee comprising of 5
members of which member/s may be from other teams in NSDC.
The Client is also invited to be present for the presentation, however their presence is desirable not mandatory
in the process.

The TP must score a minimum mark of 70 (Weighted average, of scores of all selection committee members) as
per Procurement norms of NSDC to be finalized for implementing the project.

6.1.2 Method 2: Selection through Sector Skill Council’s (SSC) 2recommendation-


In absence of suitable NSDC affiliated Training Partner(s) in the desired geographies/ sectors/ job roles/ target
communities, NSDC may seek recommendation of the concerned SSC(s) for identification of Training Partner(s).
Post identification, the partner will be required to get its Training Centre accredited through SMART. Step D as
described in Method1 is then followed to complete the selection process of Training Partner(s).

6.1.3 Method 3: Selection based on Funding Organisation’s recommendation.


In some cases, the Client may recommend a specific organization to be considered for executing the Project
based on its past satisfactory experience with the organization. In case the organization is not affiliated with
either NSDC or SSC, it may be considered for Project delivery, provided it gets its Training Centre accredited
through SMART for meeting necessary quality compliances. The funding organization in such scenarios must
express the desire to go ahead with a particular training partner in writing over email or through a letter for
CSR cell to go ahead with the Funding organisation’s recommendation.

Note: Post the selection of the Training Partner(s), a Service Level Agreement (SLA) is signed between NSDC
and the selected Training Partner(s) entrusted with the execution of project deliverables as agreed under the
MoU signed with the Client.

6.1.4 Method 4: Selection of Training Partner(s) under Startup Green Channel Partnership
NSDC partnership through Startup Green Channel route is a fast-track program for startups, NGOs and civil
society organizations to become a partner with NSDC for CSR funding.

The objective is to provide ease of partnership with startups which want to be associated with NSDC under CSR.

Mandatory Eligibility criteria for the entity:

Eligibility Criteria
1. Must be a registered not for profit entity in India (Society, Trust or a Section-25/ Section-8 company)
2. Must have a valid 12A/12AA registration of Income Tax 1961.
3. Have a valid 80G tax exemption certificate
4. Have annual reports for the last 3 years and audited financial statements for the last 3 years
5. Have filed Income Tax Returns for the last 3 years

About Sector Skill Councils (SSCs):
The National Policy on Skill Development and Entrepreneurship, 2015 laid out Skill India Mission, and envisaged the creation of SSCs by NSDC. NSDC has
initiated and incubated 38 SSCs with initial seed funding to facilitate their growth and enable them to achieve self-sustainability in a time bound manner.
SSCs are non-statutory certification bodies, led by the industry and with members from relevant industry associations and companies and play a vital role
in bridging the gap between what the industry demands and what the skilling requirements ought to be.

1. The entity should have experience in education/ vocational education space/ digital skilling/ skilling.
2. Ability to promote nano entrepreneurship/ entrepreneurship.
3. Experience in training/working with women in Science, Technology, Engineering and Math (STEM)/
contributing towards Female Labor Force Participation/ inclusive diversity.
4. Entities which are academic institutions/ colleges serving in education/ vocational spaces.
5. Entities with experience in community outreach/ evangelism in impacting large section of communities
which includes marginalized and underserved sector of the society.
6. Entity should have prior work experience working with MNC/corporates/ government agencies/ skilling
bodies and bodies of repute.
7. Availability of requisite training infrastructure in required sector(s) / job role(s).
8. Presence of the entity in required geographies.
9. Experience in relevant sector(s)/ job role(s).

6.1.5 Method 5: Selection of Training Partner under Employer Led Partnership


In Employer Led Partnership, apart from above four types of Training Partners, an Employer can also become
the Training Partner if it is willing to do so and fulfill the criteria defined for the same.

NSDC partnership with Employer, through Employer Led Partnership route is a fast-track program for Employer
to become a partner with NSDC under CSR funding. The objective is to provide ease of employers to train
candidates as per their requirement.

An employer, who contract, to recruit more than 500 candidates, in next one year thorough NSDC ecosystem,
and willing to train candidates as per their requirement, along with training contains defined by NSDC, can
request NSDC, to become its Training Partner.

Mandatory Eligibility criteria for the entity

Eligibility Criteria
1. The employer applying to become Training Partner for its own requirement, will be considered only, if
it commits to give placement to minimum 80% of the trained candidates.
2. Must be a registered profit entity in India (LLP, Private Limited, Public Limited, Public Sector Unit)
3. Must have a valid Incorporation Certificate, PAN Number and CIN number.
4. Does not have any pending criminal/ FCRA cases against it in court.
5. The organization must not be blacklisted by any government agency, NSDC, donor or international
agency.
6. The organization must not have any negative media coverage, or any other controversy associated with
it.
7. The organization should not have any political or religious affiliations.
8. The entity should, not mandatory, have a minimum 1 year of work experience in creating livelihood
opportunities, business incubation, education, vocational space, technology, entrepreneurs, skilling,
training and development, diversity & inclusion, STEM or other niche areas, basis the demand of the
‘Client’/project.
9. Following two financial conditions are required to be fulfilled by the “employer” in both the below
mentioned categories:
a. Minimum average turnover of INR 5 crores during last 3 consecutive financial year.
i. The turnover should be supported with CA certificate specifying annual and average
turnover on the basis of audited financials, copy of audited financial statement along
with audit report and submitted ITR for the relevant Financial Years.
b. Minimum employee strength of 250 employees as on last financial year.
i. CA certificate specifying employee strength as on last financial year along with ESI/PF
return and employee TDS return submitted by the employer for Quarter ending March
of last financial year.
c. In case organization existence is less than 3 years then average turnover shall be considered
basis number of years of existence of the Organisation.

d. In case of aggregator platforms, strength of independent service providers/micro


entrepreneurs’/partners associated/signed-up with them shall be considered instead of
employees’ strength.
i. Aggregator refers to an online platform that provides a marketplace/acts as an
intermediary that provides the means for independent service providers to connect
with end users for the provision of services.
ii. The documents considered as valid proof of association with the Aggregator platform
may involve, but is not limited to - Contract Letter/Letter of Association stating the
name of candidate, date of on boarding/association with the Aggregator’s platform, of
the service providers/micro entrepreneurs’/partners associated with them, along with
payment statement/bank statement of the service providers/micro-
entrepreneurs’/partners reflecting monthly credit of earnings and/or certificate
reflecting monthly earnings, and/or other relevant credentials/details of the
partner/micro-entrepreneurs/partners.
e. For listed entities on BSE and/or NSE or organisations with an average turnover of at least INR
100 Cr during latest 3 consecutive financial years or aggregator platforms, CA certificate
specifying employee strength as on last financial year shall be considered. ESI/ PF return and
employee TDS return submitted by the employer is not mandatory for such organizations.

Optional Eligibility criteria for the entity (Entity must qualify for any 3 out of the below mentioned
conditions):

1. Ability to promote nano entrepreneurship/ entrepreneurship.


2. Prefer training/working with women in Science, Technology, Engineering and Math (STEM)/
contributing towards Female Labor Force Participation/ inclusive diversity.
3. Entities which are academic institutions/ colleges serving in education/ vocational spaces.
4. Entities with experience in community outreach/ evangelism in impacting large section of communities
which includes marginalized and underserved sector of the society.
5. Entity should have prior work experience working with MNC/corporates/ government agencies/ skilling
bodies and bodies of repute.
6. Availability of requisite training infrastructure in required sector(s) / job role(s).
7. Presence of the entity in required geographies.
8. Experience in relevant sector(s)/ job role(s).

6.2 Allocation of targets

6.2.1 Allocation of targets to selected Partners


Training targets are allocated to selected Training Partner(s) by calculating annual job role wise capacity
considering below:
• Duration of job role/s as per QP-NOS
• If a component wishes to have a program with a longer program
• Total duration of training hours per day with maximum being as 8 Hrs/day
• Total Number of training days considered as 240 per year

a) NSDF has been incorporated as a trust under the Indian Trusts Act 1882 to act as the receptacle for
funds for NSDC from Government sources, bilateral / multilateral and other agencies with the main
object to enhance, stimulate and develop the skills of Indian youth force through various sector specific
programs.
b) NSDC is a non-profit company incorporated under the Companies Act, 1956 (“Act”) and has the license
under section 25 of the said Act and established as a public private partnership with the object of
developing unskilled and semi-skilled labour force into productive and skilled labour and to establish,
manage, run and support institutes and polytechnics for achieving this objective.
c) The main objective of NSDC is to enable young people to access employment opportunities provided
by economic growth and make that growth more inclusive and shared with focus on underprivileged
sections of society and backward regions of the country thereby enabling a move out of poverty;
similarly, focus significantly on the unorganized or informal sector workforce.

e) Based on the above understanding, the Parties hereto mutually agree that __________ shall contribute
funds to NSDF to be used and utilised for the purpose of “Imparting Skill Development training
________________________(Location) through skilling partners of NSDC”, (Hereinafter referred to as

f) Under the Project, NSDF shall disburse the said funds to NSDC and NSDC shall, inter alia, through its
Approved Training Partners, get the Project implemented for the skill training of ________ youth,
through its Approved Training Partners within the duration of the Project and work towards
achievement of the aim of the Project to instil economic security and stability among youths through
skill training and holistic development facilitating enhanced access to opportunities in Industry jobs and
through self-employment.
g) As per the mutual discussions between the Parties, the following activities have been identified for the
Project:
i) Project is to be executed as per the Common Norms for Skill Development published by
Government of India in the gazette notification
ii) Identification of NSDC Training Providers (based on quality & experience)
iii) Implementation of Training
iv) Assessment by the Assessment Agencies empanelled by Sector Skill Councils (SSCs)
v) Certification by the SSC on completion of the training & clearing the assessment
vi) Placement of certified number of candidates.
vii) Report Submission

2.1 It is agreed that ___________shall disburse the said funds to NSDF in such mode and manner as
provided in Schedule II to achieve the objectives as detailed in Schedule I enclosed with this
Agreement.
2.2 That NSDF shall thereafter release the said funds to NSDC in such mode and manner as described in
Schedule III enclosed to this Agreement. NSDC shall undertake and complete its obligations under the
Agreement within the budget as agreed and provided under Schedule IV enclosed with this Agreement
2.3 It is agreed between the parties that the Project shall cover the Location and target of ___ youth to
skill during the scheduled period of the project.
2.4 ___________shall not provide additional funds in respect of work done outside the scope of work and
time schedule plan and takes no responsibilities whatsoever for such work.
2.5 Term and duration of the Agreement: The project shall be completed within 12 Months from the
Execution date of Agreement, which may be extended for a further period by mutual consent of all
Parties in writing. The Parties shall strictly adhere to and follow the timelines as agreed between them
under Schedule VI of this Agreement.

3.0 Roles and Responsibilities of ___________

3.1 ___________will nominate a Nodal officer for the Project.


3.2 ___________shall make the payment to NSDF in terms of the Project and in as many installments as
laid down in Schedule II of this Agreement.
3.3 ___________shall extend all cooperation as may be required for successful implementation of the
Project.
3.4 ___________undertakes to adhere with various obligations as undertaken under the Project,
including but not limited to the terms of payment, adherence to the process as laid down under the
Project etc.
3.5 ___________shall have the absolute right to monitor the progress of the Project to ensure that the
activities are being undertaken under the Project completely as per the agreed terms of the present
Agreement.

4.0 Role and Responsibilities of NSDC

4.1 NSDC will issue the installment request letters to _____________ on behalf of NSDF on the basis of
milestones achieved. The payment made by ___________to NSDF in terms of the Project shall be
disbursed by NSDF to NSDC as per Schedule III. Thereafter NSDC will disburse the payments in the
form and manner as decided under the Contractual Obligations in terms of the Project guidelines.
4.2 NSDC shall collaborate with its training partners (selected by the Selection Committee as per the
partner selection parameters clearly set out under Schedule V of this Agreement) for the purpose of

the undertaking of skill training programmes as per the Project details contained under the Schedule
I herein.
4.3 NSDC, being a facilitator, shall strive to ensure that the objectives of the Project are met based on the
process as laid down under the Project. NSDC will ensure that all training programs identified are as
per Qualification Pack (QP)/National Occupation Standard (NOS) standards set forth by the Sector Skill
Councils (SSC) resulting in certification as per SSC certification standards.
4.4 Based on the location, NSDC shall endeavor to connect with the training partners who can provide
training in that location or its vicinity.
4.5 NSDC shall suggest the names of the training partners based on quality parameters /Location defined
in the further sections as based on Selection Criteria (SC) agreed upon between NSDC and
___________.
4.6 NSDC through a Service Level Agreement (SLA) shall mandate the Approved Training Partners to
ensure a transparent and fair selection of candidates, in association with the ___________ Nodal
Officer, after due publicity about the programme, through banners, posters, pamphlets, making
announcements etc., in the areas to be informed by the ___________ Nodal officer, for sourcing the
candidates.
4.7 NSDC shall provide a Monthly Progress Report (MPR) including training calendar, progress of training
programs, candidate details, dropouts, site visit reports, etc.
4.8 NSDC, through a SLA shall mandate the Approved Training Partners to ensure quality standards as per
NSDC Standards & Quality Assurance guidelines and provide training as per NSDC/ Sector Skill Council
Standards in line with National Skills Qualification Framework (NSQF).
4.9 NSDC, through a SLA shall mandate the Approved Training Partners to strive for placement of at least
70% of the successful trainees in wage employment/self-employment. The criteria for successful
placement provided under ‘Outcome of Skill Development’ in the Gazette Notification H-
22011/2/2014SDE-1 15 July 2015 will be considered.
4.10 NSDC, through a SLA shall mandate the approved Training Partners to indemnify and hold harmless
___________& NSDC from any loss suffered by them on account of breach of SLA or any claim/action
initiated by the third party, including any claim/damage to the beneficiaries arising out of the training
or placement provided under the training programme.
4.11 NSDC shall exercise the full administrative control over the Approved Training Partner. NSDC, through
a SLA shall mandate the Approved Training Partners to adhere to all the guidelines given to them for
smooth execution of the project.
4.12 NSDC, through its Skill India Portal (SIP) will provide ___________monthly details progress of Project
along with the candidate details.
4.13 NSDC shall make available SLA contracts with Approved Training Partners on Project deliverables to
___________. The SLA shall cover quality aspects, methodology of implementation, and should
ensure comprehensive training as per industry requirement of the said region.
4.14 NSDC shall coordinate Project monitoring & reporting and make available resources for project
coordination and reporting during duration of Project. ___________shall have the right to monitor
the progress of the Project at any point during the Term of the Project.
4.15 NSDC shall co-brand ___________in all Project related coverage and publicity for the Project for
___________through its social media platform and PR team.

4.16 NSDC through a SLA with Approved Training Partners shall mandate adequate publicity of the CSR
initiative of ___________by the Training Partner in all the public related activities of this project, as
illustrated below:
(i) The logo of ___________and phrase of “under CSR initiative of ___________will be printed on
the Project/Material at the time of publicity of the training programmes.
(ii) The name of ___________will also be indicated on course certificates.
(iii) During the training programme, the name of ___________as sponsoring agency shall be
displayed by the respective training institute at its centres where the project will be implemented.
(iv) The trainees will be made aware that this programme is funded by ___________.
(v) During publicity campaign of NSDC/training partner, the name & logo of ___________shall be
displayed as the sponsoring organization.
4.17 NSDC shall undertake to make the payment to Approved Training Partners, etc. as per agreed terms
and conditions with the Approved Training Partner.
4.18 NSDC shall ensure that the training/skilling under the Project is strictly completed within the budget
as provided in Schedule IV.
4.19 NSDC shall ensure submission of closure report within 30 (Thirty) days of completion of the entire
training program with ___________. If ___________wants an Impact Assessment study, the same
shall be conducted by ___________through an independent agency at the end of the project.

5.0 Role and responsibilities of NSDF

5.1 NSDF shall transfer the agreed amount to the bank account of NSDC as indicated by NSDC as per the
agreement for smooth implementation of the Project.
5.2 NSDF shall monitor and extend all necessary cooperation to NSDC for fulfillment of the objectives of
the Project.

6.0 Contractual Obligations

6.1 NSDC shall select as per their due diligence procedure and will provide the details of the selected
training Partner to ___________.
6.2 NSDC shall select the training partners based on the Selection Criteria as described in Schedule V of
this Agreement, located within the geographical area intimated by ___________for the
implementation of the Project and the training partners as approved by NSDC shall be known as
“Approved Training Partners”.
6.3 ___________shall transfer the funds under this Agreement to the NSDF as per Schedule II.
6.4 The funds disbursements shall be made in Indian Rupees.
6.5 NSDF will submit the name and details of the Bank including the IFSC Code, PAN number for release
of funds through e-banking.
6.6 ___________will not be responsible for any vendor payment, no bill, invoice will be generated by any
vendor / sub vendor in favor of ___________.

6.7 Utilization certificate will be submitted by NSDC for the amounts released prior to request for the next
installment. A consolidated utilization certificate, duly certified by the Chartered Accountant will be
submitted by NSDC at the completion of the Project.
6.8 In the event of excess release of funds to the Project, ___________is entitled to receive unutilized funds
from NSDC for such excess disbursements.
6.9 NSDC will submit to the ___________the statement of expenditure of funds received from the
___________through NSDF for the execution of the Project till the date of completion of this Project
or termination of this Agreement, whichever is earlier. ___________or its representative may carry
out an audit of the Approved Training Partners implementing the Project through utilization of the
funds given to them for execution of the Project.

7.0 Reports

7.1 NSDC shall submit monthly progress report of the Project to ___________as mentioned in clause 4.7.
The report may also include details of financial assistance advanced to each of the Approved Training
Partners under the Project and recommendations made by NSDC along with photographs of training
activities etc. as per the NSDC PR guidelines.
7.2 Final Comprehensive Completion Report of the programme/Project will be submitted by NSDC within
3 (three) months of completion of the Project, to assess the impact of the program funded by
__________. A report clearly indicating activities undertaken and objectives attained and details of
the number of beneficiaries under the Project providing their names, age, sex, category as
SC/ST/Others would be required to be submitted by NSDC to ___________.

8.0 Force Majeure:

8.1 If the performance of the Agreement by either party is delayed, hindered or prevented or is otherwise
frustrated by reason of “Force Majeure”, which shall mean war/ hostilities, riot or civil commotion,
fire, flood or earthquake, tempest, lightening or other natural physical disaster(s); restrictions
imposed by the government or other statutory bodies which prevents or delays the execution of the
Project, any event beyond the control of the parties to the Agreement, then the party so affected shall
promptly notify the other party in writing specifying the nature of the Force Majeure and of the
anticipated delay in the performance of the Agreement. From the date of the notification, either party
may either terminate the Agreement forthwith or suspend the performance of the Agreement for a
period not exceeding 6 (six) months.
8.2 If at the expiry of the second period of suspension, the reasons for the suspension still remain, the
parties shall treat the Agreement as terminated due to Force Majeure. In the event of termination,
unspent amount will be disbursed back to ___________without any financial loss to NSDC.

9.0 Accounts, Records and Audit

9.1 NSDC undertakes and represents that the amount disbursed by ___________through NSDF shall be
utilized only towards the purpose as said above and for no other activity.

9.2 ___________shall be entitled to monitor the various centers and their authorized representative may
undertake planned / surprise visit to inspect the progress of the Project and ensure proper
implementation of the same.
9.3 ___________shall be entitled to seek clarifications/information whatsoever from NSDC with respect
to Project. Any such clarifications/information sought by ___________shall be responded by NSDC
within 15 (fifteen) working days. However, where the information sought by ___________is of the
nature that NSDC would have to seek the same from the Approved Training Partner(s),
___________shall give sufficient time to NSDC to arrange for such information therefrom.
9.4 ___________shall, at its discretion, undertake inspection/evaluation of the impact/progress of the
Project. Such inspection shall be carried out anytime during the tenure of the Project. NSDC and the
Approved Training Partners shall, as and when required, provide ___________representative(s)
reasonable cooperation and access to their records for such inspection carried out in connection with
this Agreement.
9.5 NSDC, shall upon receipt of prior notice, will permit and make suitable arrangements for
___________’s representatives, at such intervals as ___________may determine for smooth and
successful completion of the project:
9.5.1 To visit and inspect the site where the training is being imparted by the Approved Training Partner
under the Project, the skill development training assets to carry out technical, financial and legal
inspections; and
9.5.2 To examine the Approved Training Partner’s books of records, account and documents relating to the
Project; to make copies therefrom; at all times upto the completion of Project without causing any
disturbance to the implementation of the Project;
9.6 Parties confirms that all information provided to other Party or its representatives, in connection with
the Project, whether before or after the execution of this Agreement, by or on behalf of that Party is
true, correct and complete in all respects on the date thereof and is not false or misleading in any
respect nor incomplete by omitting to state any fact necessary to make such information not
misleading in any respect.

10.0 Impact Assessment

10.1 ___________shall have the right to carry out impact assessment study of this Project through an
internal team or by a third party, after the completion of the Project and NSDC agrees to extend
cooperation and access to relevant records and documents to ___________and its representative in
this respect.

11.0 Termination

11.1 In case of non-adherence to provisions of Agreement by NSDC, ___________ may serve a written notice
of 30 (thirty) days period to rectify the non-adherence to the provisions of Agreement by NSDC. In case
of continuing unsatisfactory performance beyond 30 (thirty) days, ___________ shall have the right to
terminate the Agreement without any further notice. In this eventuality, NSDC without any formal
demand shall be liable to refund all the payments made to it on the date of termination without any

financial loss to NSDC. However, ___________ shall inform NSDC for such refund of payments through
the termination notice.
11.2 NSDC may, by itself or on intimation by ___________terminate the Service Level Agreement in the
event the Approved Training Partner is found involved in any manner or form in corrupt practices or
misappropriating the funds/ misutilization of funds, which have been marked for the Project and the
involved party will not be allowed to further participate in the Project.
11.3 Either Party may terminate this Agreement by giving 30 (thirty) days written notice to the other Party.
In this eventuality, NSDC shall be liable to refund all the payments made to it on the date of
termination without any financial loss to NSDC.

12.0 Conflict of Interest


12.1 Neither Parties shall engage in any personal business or professional activities, during the course of
this Agreement, which conflicts with or could potentially conflict with the objective of the Project.
12.2 Subject to clause 12.1 above, parties shall immediately inform the other parties of any such conflict
and suggest/ take immediate remedial measures to ensure that the Project is completed as per the
terms and conditions agreed upon.

13.0 Disclosure of information


13.1 None of the parties shall, during or after the termination of the Agreement, disclose to any third party,
any confidential information arising from the Agreement, other than as required for the proper
performance of their respective duties hereunder or as may be required by a court or arbitral tribunal
of competent jurisdiction except as per the applicable laws.
13.2 For the purposes of the Agreement the term “Confidential Information” shall mean any information
disclosed by one Party (the “Disclosing Party”) to the other Party (the “Receiving Party”) under this
Agreement, whether in writing, orally, visually, in the form of samples, models or otherwise, provided
that such information, if written, is marked as being Confidential or Proprietary and if oral, visual or
other non-written form, is designated as Confidential Information at the time of disclosure and is
confirmed by the Disclosing Party as such in writing within fifteen (15) days of its being disclosed. All
the protection and restrictions in this Agreement as to the use and disclosure of Confidential
Information shall apply during the said period of fifteen (15) days.
13.3 The obligations and restrictions provided in this Clause shall not apply to information which the
Receiving Party can show:
13.3.1 to have been in the unrestricted possession of the Receiving Party at the time of
disclosure hereunder; or
13.3.2 to have been or become available to the public otherwise than by breach of this
Agreement; or
13.3.3 to have first been lawfully obtained from a third party, without notice of such
restrictions as to use and disclosure; or
13.3.4 to have been developed by the Receiving Party, independently of any Confidential
Information.

14.0 Settlement of disputes

14.1 Parties shall endeavor to amicably resolve any dispute arising from this Agreement. In the event the
Parties are unable to amicably resolve the dispute arising out of the Agreement, the dispute shall be
referred to arbitration by a Sole Arbitrator to be conducted in accordance with the Arbitration and
Conciliation Act, 1996. The seat of arbitration shall be Delhi. The conduct of arbitration proceedings
shall be in English and the award passed by the sole arbitrator shall be binding on all parties.
14.2 Subject to 14.1 above, all disputes arising between the parties shall be subjected to the jurisdiction of
the Courts in Delhi/New Delhi only.

15.0 Compliance with Anti -Corruption Laws

15.1 All Parties shall comply with all applicable laws and regulations, including but not limited to applicable
anti-bribery or anti-corruption laws or regulations, of the territory in which they operate.
15.2 A violation of this provision constitutes a material breach of this Agreement and either party may
terminate this Agreement immediately, with no opportunity to cure, in accordance with the
termination clause of the Agreement.

16.0 General Conditions:

16.1 Nothing contained in this Agreement shall be construed or have effect as constituting a relationship
of employer and employee or principal and agent or trustee and agent between ___________, NSDC
and NSDF.
16.2 NSDC will keep ___________informed on any new training batches through the Monthly Progress
Report (MPR) along with center contact details to facilitate involvement of ___________ officials in
obtaining first hand feedback of selection process and conducting of the training programmes.
16.3 In course of the training programme, NSDC shall provide adequate slot(s) to ___________in its
training module to enable ___________, to share their views with the trainees.

16.4 Notices:
16.4.1 The Project may be centrally coordinated by the Officer-in-charge of ___________for this Project and
all communications in this regard are to be addressed to him. However, a local Nodal Officer for each
site, where the Project is being executed, will be identified and communicated to NSDC separately
within a fortnight of signing of the Agreement.
16.4.2 NSDC shall provide a single point of contact (SPOC) within NSDC and all the notices shall be issued to
him at the address mentioned hereinabove. The Approved Training Partner’s center
manager/coordinator will act as the Nodal Officer for each site, for any correspondence at local level
with ___________officials.
16.4.3 Details of Names, Phone Number, email Id of concerned officers from ___________NSDC and
Approved Training Partners shall be made available to each party before commencement of training.
16.5 NSDC, through its Approved Training Partners, endeavor to provide quality training and placement to
the trainees and ___________ role shall be purely that of a supporter. Approved Training Partners,
through legally enforceable SLA with NSDC, shall be solely and exclusively responsible for all acts and
omissions of its staff and any persons, associations, institutions engaged by Approved Training

Partners whether or not in the course of implementing the Project and for the health, safety and
security of such persons or entities and their property.
16.6 NSDC shall promptly notify ___________of any proposed change, for approval of ___________, in the
nature or scope of the Skill Development Programme and of any event or condition which might
materially and adversely affect the Skill Development Programme.
16.7 Without prejudice to the other provisions of this Agreement, in the event the implementation of the
Project is not as per the scope of work and targets, ___________shall reserve the right to withhold or
reduce the amount/installment amount applied for by NSDC or stop further disbursements of
amount/ installments to NSDC and release of the further installment amount shall be made upon
remedying of the unsatisfactory work and on resolution of the outstanding queries by NSDC to the
satisfaction of ___________.
16.8 NSDC shall ensure implementation of the project as per the scope of work & targets within the
monetary value specified in this Agreement. NSDC shall also ensure that if, under any circumstances,
a deputed training partner is by any means not able to achieve or execute the scope of work in terms
of quality/targets provided under this Agreement, NSDC, will line-up alternate training partners within
a reasonable frame of time, without any additional financial implication to ___________for seamlessly
implementing the project as per the said scope of work and targets, and without any academic loss to
each beneficiary of the project.

17.0 Amendment

17.1 No modification or amendment of this Agreement and no waiver of any of the terms or conditions
hereof shall be valid or binding unless made in writing and duly executed and mutually accepted by
___________and NSDC. The amendments shall be documented and shall ipso facto become the
integral part of this Agreement.

SERVICE LEVEL AGREEMENT

This Service Level Agreement (“SLA”) is entered on this ……………….. at New Delhi by and between:

National Skill Development Corporation (CIN: U85300DL2008NPL181612), a company, registered under the
Companies Act, 1956, having its registered office at 301, West Wing, Worldmark I, Aerocity, New Delhi –
110037 (hereinafter called “NSDC” which expression shall unless repugnant to the context or meaning
thereof be deemed to mean and include its successors and assign) of the First Part;
AND
………………………………….., a …………….(CIN No………<If company>..……), registered under ……………………………….,
having its registered office at ………………………………………………………………………….. (hereinafter called “Training
Institute” which expression shall unless repugnant to the context or meaning thereof be deemed to mean
and include its successors and permitted assign) of the Second Part.

NSDC and Training Institute are individually referred to as “Party” and collectively referred to as “Parties”.

WHEREAS …………………………………………… (hereinafter called “……………”), in discharge of its obligation towards


Corporate Social Responsibility under Companies Act, 2013 and rules made thereunder, has agreed to
contribute funds to National Skill Development Fund (hereinafter called “NSDF”) to be used and utilised for
the purposes of implementation of “Imparting Skill Development training to …………………….. Indian youths
through the skilling partner of NSDC in………………………………(“Location”) (hereinafter referred to as the
“Project”).

AND WHEREAS NSDF, NSDC and ………………………. have entered into a Memorandum of Understanding dated
……………………… (“MOU”) thereby recording the various terms and conditions as agreed amongst the parties
in this regard;

AND WHEREAS under the said Project, ……………. shall contribute funds for the Project to NSDF which shall
be further disbursed by NSDF to NSDC, and NSDC shall through its approved training partners, get the Project
implemented by providing skill training and placement to youth and women, and work towards achievement
of the aim of the Project to instil economic security and stability among youth through skill training and
holistic development facilitating enhanced access to opportunities in Industry jobs and through self-
employment;

AND WHEREAS in pursuance on the terms and conditions of the MOU, the “Training Institute” has also been
identified as an “Approved Training Partner” of NSDC for the purposes of executing the Project as per the
terms of the MOU;

AND WHEREAS the Training Institute has offered to provide the services / training, as detailed in Annexure I
(hereinafter referred to as “Training Programme”) attached to this SLA, and NSDC has accepted the offer
subject to the terms and conditions hereinafter appearing.

NOW THIS AGREEMENT WITNESSES AND IT IS HEREBY MUTUALLY AGREED BETWEEN PARTIES HERETO AS
FOLLOWS:

1. Objectives of SLA:

1.1 To create an environment which is conducive to a co-operative relationship between the parties to
ensure the effective support for the implementation of the Project and Training Programme;
1.2 To document the responsibilities of all parties taking part in the SLA;
1.3 To ensure that the Training Institute achieves the provision of a high quality of service / training being
imparted for the trainees in terms of the standards set by ..................... / NSDC as communicated to
the Training Institute;
1.4 To define the commencement of the SLA, its initial term and the provision for reviews;
1.5 To define in detail the service to be delivered by the Training Institute and the level of service which
can be expected by ..................... and NSDC, thereby reducing the risk of misunderstanding;
1.6 To detail via a question list, information required from the Training Institute to extract from the
students trained by the Training Institute;
1.7 To institute a formal system of objective service level monitoring ensuring that reviews of the SLA
are based on factual data;
1.8 To provide a common understanding of service requirements/capabilities and of the principles
involved in the measurement of service levels;
1.9 To provide for all parties to the SLA a single, easily referenced document which caters for all
objectives as listed above.

2. Period of Service Level Agreement

2.1 The SLA shall commence on the date of its signing by the Parties (in case of signing by the Parties at
two different dates, the later date) and shall remain in force till ……………………………………….., which
may be extended for a further period by mutual consent of all Parties in writing unless it is
prematurely terminated in accordance with the terms of this SLA. The Parties shall strictly adhere to
and follow the timelines as agreed between them under this SLA.

3. Roles and Responsibilities of the Parties

3.1 The Training Institute undertakes to provide all the required skills, knowledge, care and diligence in
the provision of training to the trainees selected under the Project and Training Programme.
3.2 The Training Institute will establish contact with the ..................... Nodal Officer, (to be obtained from
..................... and intimated by NSDC) at the earliest for smooth co-ordination of implementation of
the Project.

3.3 The Training Institute agrees to set up the skill development centres at such location which is near
..................... areas of operation as agreed upon between ..................... and NSDC.
3.4 The Training Institute undertakes that the training programmes shall adhere to QP/NOS standards
set forth by the relevant Sector Skill Councils(SSCs) resulting in third-party assessment and
certification as per SSC guidelines.
3.5 The Training Institute undertakes to provide NSDC and ....................., the monthly MIS containing the
following details:
• Training Calendar
• Training Programmes – completed, ongoing, commencing during the month
• Completed – Candidate details (completed/dropout), assessment date, certification status
• Ongoing – Trainee details, dropouts, etc.
• Commencing – Selection date, location, local point of contact
• Photographs of the current batch and videos of all important events like selection, assessment
etc.
3.6 The Training Institute shall provide the mode of selection and list of trainees for approval by
..................... and NSDC before commencing any training.
3.7 The Training Institute shall ensure mobilization and counselling of candidates, and shall conduct the
training program as per NSDC/SSCs standards in line with National Skills Qualification Framework
(NSQF) for the execution of Project.
3.8 The Training Institute shall collect Aadhar Cards, and other relevant personal information as
required, in accordance with the procedure laid down by law, of all the candidates enrolled for the
course and the same has to be uploaded onto the Skill India Portal or any other candidate or training
database, as required by NSDC.
3.9 The Training Institute shall include a representative of ..................... in the selection process of
trainees.
3.10 The Training Institute shall, at its own cost, ensure wide publicity around the identified locations of
..................... so as to ensure that the information and benefits of the programme reach the people
around the vicinity of ..................... establishments.
3.11 The Training Institute shall co-brand ..................... and NSDC in all Training Programme related
displays, coverage and publicities. The Training Institute will at all times comply with branding
guidelines of NSDC made available to them.
3.12 The Training Institute shall make available requisite infrastructure, qualified trainers, curriculum and
delivery systems to provide training as per NSDC/Sector Skill Council Standards in line with National
Skills Qualification Framework (NSQF) for implementation of skilling programs under the Project and
Training Programme.
3.13 The Training Institute shall ensure timely submission of reports of the Training Programmes along
with a consolidated dashboard.
3.14 The Training Institute shall keep informed the nodal officer of each location of ..................... of the
progress regarding the Training Programme.

3.15 The Training Institute shall provide NSDC and ..................... Monthly Progress Report (MPR) along
with centre contact details to facilitate involvement of .....................’s officials in obtaining first hand
feedback of selection process and conducting of the Training Programmes. These reports shall be
submitted in electronic and hard copies to NSDC and any further advice of ..................... / NSDC
thereon shall be binding upon the Training Institute.
3.16 The Training Institute shall ensure that the quality aspects, methodology of implementation of the
Project and Training Programme complies with the comprehensive training as per industry
requirement of the said region.
3.17 The Training Institute undertakes to submit additional report(s) to NSDC and / or ..................... on a
regular basis including but not limited to financial information such as utilization certificate as per
NSDC monitoring guidelines.
3.18 The Training Institute undertakes and represents that the amount disbursed by NSDC for this Project,
shall be utilized only towards the purpose as per above and for no other activity and that the Training
Institute shall alone be responsible for any irregularity in selection of trainees, organizing the
programmes, maintenance of records, placement of trainees etc.
3.19 The Training Institute undertakes that it shall ensure that important events like selection process,
conducting of training programmes etc. shall be photographed for record and ..................... / NSDC
representatives shall be at the liberty to join such ceremonies. During the implementation of any
activity, the expenditure on photographs and videography and for other related material to the
Project and Training Programme shall be borne by the Training Institute.
3.20 The Training Institute shall be responsible for preparing all training material including occupational
and training standards for the Project and Training Programme as per the terms of this SLA.
3.21 The Training Institute shall submit a comprehensive completion report of the Training being carried
out by it under the Project to NSDC within 1 (one) month of completion of the training programme
under the SLA. The said report should clearly state the activities undertaken, details of the number
of beneficiaries under the Training Programme.
3.22 In the course of the Training Programme, the Training Institute shall ensure that adequate slot(s) are
made available to ..................... and NSDC in the training module to enable them to share their views
with the trainees.
3.23 The Training Institute shall be solely and exclusively responsible for all acts and omissions of its staff
and any persons, associations, institutions engaged by it whether or not in the course of
implementing the Training Programme under the Project and for the health, safety and security of
such persons or entities and their property.
3.24 ..................... and NSDC shall have the absolute joint and several right to monitor the progress of the
Training Programme undertaken by the Training Institute under the Project to ensure that the
activities are being undertaken under the Project completely as per the agreed terms between the
parties.
3.25 The Parties acknowledge and agree that the payment shall be made by ..................... to NSDC through
NSDF in terms of the Project, and thereafter by NSDC to the Training Institute in the form and manner
as provided under Annexure III to this SLA. Notwithstanding anything contained in SLA, any Annexure

or any other document, the Training Institute hereby agrees unconditionally that this SLA and any
obligation of NSDC is subject to disbursement of funds to NSDC by NSDF / ......................
3.26 NSDC shall coordinate Project monitoring and reporting, and make available resources for project
coordination and reporting during the performance of Training Programme under the Project.
3.27 The Training Institute shall ensure that the training/skilling and other activities under the Training
Programme is strictly completed within the budget ascribed for the Training Programme.
3.28 The Training Institute undertakes to implement the Training Programme and discharge its obligations
under the present SLA as per the applicable laws.
3.29 The Training Institute shall ensure that at least 70% of the successful trainees shall be placed either
on wage-employment or self-employment.
3.30 In case of self-employment, Training Institute is required to provide a self-declaration letter issued
by the candidate on a stamp paper. In addition, the centre must provide a proof that candidates have
been employed gainfully in livelihood enhancement occupations, which may include Trade license,
Proof of enterprise set up, Proof authenticating that the candidate is part of the producer group,
Proof of additional earnings (bank statement), Proof of the Mudra Loan availed, any other suitable
and verifiable document.
3.31 In case of wage employment, offer letters issued by employers/companies would be accepted as
proofs against achievement of the same.

4. Accounts, Records and Audit

4.1 The Training Institute agrees and undertake that the amount disbursed by NSDC shall be utilized only
towards the purpose as said above and for no other activity and that the Training Institute shall alone
be responsible for any irregularity in selection of trainees, organizing the training programmes,
maintenance of records, placement of trainees, etc.
4.2 The Training Institute shall maintain all accounting records and documents for smooth and successful
completion of the Training Programme under the Project. The Training Institute shall maintain and
provide records showing the expenditure incurred, utilization of the drawdowns, and such records
shall be open to examination and audit by ..................... and NSDC through their authorized
representatives at any time during and after expiry / termination of SLA.
4.3 The Training Institute shall submit quarterly utilization certificate duly certified by the Chartered
Accountant to NSDC, for the amounts released by NSDC as per Annexure III before the release of
subsequent tranche. A consolidated utilization certificate, duly certified by the Chartered Accountant
will also be submitted at the completion of the Project
4.4 ..................... and NSDC shall be entitled to monitor the various centres and their authorized
representative may undertake planned / surprise visit to inspect the progress of the Training
Programme under the Project and ensure proper implementation of the same.
4.5 NSDC shall be entitled to seek clarifications/information whatsoever from the Training Institute with
respect to the Training Programme under the Project. Any such clarifications/information sought by
NSDC shall be responded by the Training Institute within 10 (ten) working days.

4.6 ..................... and NSDC may, at their discretion, undertake inspection/evaluation of the
impact/progress of the Project. Such inspection may be carried out anytime during or after the
tenure of the Project. The Training Institute shall, as and when required, provide ..................... and
NSDC representative(s) reasonable cooperation and access to their records for such inspection
carried out in connection with the MOU and this SLA.
4.7 The Training Institute shall upon receipt of notice from NSDC/ ....................., permit and make
suitable arrangements for the representatives of ..................... / NSDC and their representative, at
such intervals as ..................... / NSDC may determine:
(i) to visit and inspect the site where the training is being imparted by the Training Institute under
the Project / Training Programme, the skill development training assets to carry out technical,
financial and legal inspections; and
(ii) to examine the Training Institute’s books of records, account and documents relating to the
Project / Training Programme; to make copies there from; at all times during and after the
completion of Project / Training Programme.

5. Representations
5.1 NSDC confirms that all information provided to Training Institute or its representatives, in connection
with the Project and Training Programme, whether before or after the execution of this SLA, by or
on behalf of NSDC is true, correct and complete in all respects on the date thereof, and is not false
or misleading in any respect nor incomplete by omitting to state any fact necessary to make such
information not misleading in any respect.
5.2 The Training Institute confirms that all information provided to NSDC and ..................... or their
respective representatives, in connection with the Training Programme to be conducted under the
Project, whether before or after the execution of this SLA, by or on behalf of Training Institute is true,
correct and complete in all respects on the date thereof, and is not false or misleading in any respect
nor incomplete by omitting to state any fact necessary to make such information not misleading in
any respect. The Training Institute also represents, confirms and affirms that it is in compliance of all
applicable laws and possesses all statutory approvals and compliances for the execution of this SLA
and for implementation of the Training Programme.

6. Performance Standards

6.1 The Training Institute undertakes to perform the service with highest standard of professional and
ethical competency and integrity. The Training Institute shall promptly replace any employee or
person assigned under this SLA whose performance is considered unsatisfactory by the monitoring
team or for any other reason. The Training Institute shall be responsible for quality of modules /
material of training as per standards specified by the Industry standards/ Sector Skill Councils.

7. Conflict of Interest

7.1 Neither the Training Institute, nor its personnel shall engage in any personal business or professional
activities, either during the course of this SLA, which conflicts with or could potentially conflict with
the object of the Project and Training Programme.
7.2 Subject to clause 7.1 above, Training Institute shall immediately inform NSDC of any such conflict and
suggest/ take immediate remedial measures to ensure that the Training Programme under the
Project is completed as per the terms and conditions agreed upon.

8. Disclosure of information & Publicity

8.1 The Training Institute and its personnel shall not, during or after the expiry / termination of the SLA,
disclose to any third party, any provision of the SLA or any confidential information arising from the
SLA, other than as required for the proper performance of its respective duties hereunder or as may
be required by a court or arbitral tribunal of competent jurisdiction except as per the applicable laws.
8.2 The Training Institute shall appropriately publicize about the training programme and its schedule
etc. by ways of pamphlets/banners in the location where the Training Programmes are to be
conducted to ensure maximum turnout of beneficiaries.
8.3 NSDC and.....................’s signage shall be placed in bold letters on the pamphlets and banners (in the
language understood by majority of the population) used during the Training Programmes, without
any liability / cost overheads to ……………… or NSDC on this account.
8.4 Wherever possible, the Training Institute shall consider giving wide publicity to the assistance
provided by ..................... under .....................'s Corporate Social Responsibility programme not only
in their own internal publications, news-letters, but also in local dailies / any other mass
communication channel etc. without any liability/ cost overheads to ……………… or NSDC on this
account.

9 Force Majeure:

9.1 If the performance of this SLA by either party is delayed, hindered or prevented or is otherwise
frustrated by reason of “Force Majeure”, which shall mean war/ hostilities, riot or civil commotion,
fire, flood or earthquake, tempest, lightening or other natural physical disaster(s); restrictions
imposed by the government or other statutory bodies which prevents or delays the execution of the
Project, any event beyond the control of the parties to this SLA, then the party so affected shall
promptly notify the other party in writing specifying the nature of the Force Majeure and of the
anticipated delay in the performance of the SLA. From the date of the notification, NSDC may
terminate the SLA forthwith or suspend the performance of the SLA for a period not exceeding 6 (six)
months.
9.2 If at the expiry of the second period of suspension, the reasons for the suspension still remain, the
parties shall treat the MOU as terminated due to Force Majeure.

10. Termination

10.1 In case of non-adherence to provisions of SLA by the Training Institute, NSDC may serve a written
notice of 30 (thirty) days period to rectify the non-adherence to the provisions of SLA by Training
Institute. In case of continuing unsatisfactory performance beyond 30 (thirty) days of notice period,
NSDC shall have the right to terminate the SLA without any further notice or liability. In this
eventuality, the Training Institute shall be liable to refund all the payments made to it on the date of
termination.
10.2 NSDC may terminate the SLA in the event, the Training Institute is found involved in any manner or
form in corrupt practices or misappropriating the funds/misutilization of funds, which have been
marked for the Project.
10.3 Notwithstanding anything contained in this SLA or any other document, NSDC may terminate this
SLA any time by giving 30 days written notice to Training Institute.

11. Settlement of Disputes

11.1 Parties shall endeavour to amicably resolve any dispute arising from this SLA. In the event the Parties
are unable to amicably resolve the dispute arising out of the SLA, the dispute shall be referred to
arbitration by a Sole Arbitrator to be conducted in accordance with the Arbitration and Conciliation
Act, 1996. The seat of arbitration shall be Delhi. The conduct of arbitration proceedings shall be in
English and the award passed by the sole arbitrator shall be binding on all parties.
11.2 Subject to 11.1 above, all disputes arising between the parties shall be subject to the jurisdiction of
the Courts in Delhi only.

12. Confidentiality:

12.1 The Training Institute shall not during the term of this SLA or after the expiration, thereof, disclose
any proprietary or confidential information relating to this SLA or the business or operations of the
SLA to the other parties.

13. General Conditions:

13.1 Nothing contained in this SLA shall be construed or have effect as constituting a relationship of
employer and employee or principal and agent or trustee and agent amongst ....................., NSDF,
NSDC and Training Institute.
13.2 The Training Institute shall indemnify and hold harmless ..................... and NSDC from any loss
suffered by them on account of breach of this SLA by the Training Institute or any claim/action
initiated by a third party, including any claim/damage to the beneficiaries arising out of the training
or placement provided under the Training Programme or during the execution of Project. The
indemnity protection available to ..................... and NSDC under this SLA is independent of and in
addition to such other rights and remedies as ..................... and NSDC may have at law or in equity
or otherwise, including the rights to seek specific performance or other injunctive relief, none of
which rights or remedies shall be affected or diminished thereby.
13.3 Notices:

13.3.1 Any notice or request to be given or made by a party to the other shall be in writing and posted,
delivered personally or sent by courier, registered or certified mail. Such notice or request shall be
deemed to have been duly received by the party to whom it is addressed if it is given or made at such
party’s address specified below:

13.4 Without prejudice to the other provisions of this SLA, in the event the implementation of the Training
Programme under Project is not as per the scope of work and targets, ..................... / NSDC shall
reserve the right to withhold or reduce the amount/instalment amount or stop further
disbursements of instalments, and release of the further instalment amount shall be made upon
remedying of the unsatisfactory work and on resolution of the outstanding queries by .....................
/ NSDC to the satisfaction of ..................... / NSDC. In the event the Training Institute fails to remedy
the unsatisfactory work or resolve the outstanding queries, NSDC shall be entitled to seek recovery
of the amounts already disbursed to the Training Institute under the SLA.
13.5 The Annexures attached to this SLA shall be deemed to be part of this SLA as if the provisions thereof
were set out herein in extension. No modification or amendment of this SLA and no waiver of any of
the terms or conditions hereof shall be valid or binding unless made in writing and duly executed and
mutually accepted by the parties. The amendments shall be documented and shall ipso facto become
the integral part of this SLA.
13.6 This SLA may be executed in one or more counterparts each of which shall constitute an original, but
all of which when taken together shall constitute but one instrument.
