Road, Marine Drive, Mumbai - 400 002 {hereinafter referred as Batot Hydro} represented by Shri Chetan Mehra, Director of the first part AND Jala Shakti Limited. a company incorporated under the Companies Act, 1956 and having its registered office at Park Plaza (N), 71 Park Street, Kolkata - 700 016 (hereinafter referred as Jala Shakti) represented by Shri Y. Auditya, Managing Director of the second part AND Belij Hydro Power Limited. a company incorporated under the Companies Act, 1956 and having its registered office at Door no 13-2-64, 1 Lane, Gunturi vari thota, Guntur, Andhra Pradesh - 522001 (hereinafter referred as Belij Hydro) represented by Shri A.G. Road, Marine Drive, Mumbai ~ 400 002 (hereinafter referred as Brahi Hydro} represented by Shri Chetan Mehra, Authorized Signatory of the fifth part AND Gehra Hydro Power Limited, a company incorporated under the Companies Act, 1956 and having its registered office at Door no 132-64, Is* Lane, Gunturi vari thota, Guntur, Andhra Pradesh - 522001 (hereinafter referred as Gehra Hydro) represented by Shri A.G.Mohan Kumar, Authorized Signatory of the sixth part WHEREAS @] —_Batot Hydro is in the process of executing a.3.5 MW Small Hydro Electric Power Project at Balij-ka-Nala-II in Chamba district, Himachal Pradesh. b) Jala Shakti is in the process of execution of a 5 MW Small Hydro Electric Power Project at Dunali just opposite to the stream on which Balij-ka-nala-II exist. ©) Belij Hydro is in the process of execution of a 5 MW Belij-ka-Nala-I Hydro Electric Power Project in Chamba district, Himachal Pradesh, which is downstream of Balij-ka-nala-I @) —_ Almi Hydro is an associate of Batot Hydro and is developing a small hydro power project of capacity 3 MW at Balij-ka-Nala-IIl in Chamba district, Himachal Pradesh. ] Brahi Hydro is an associate of Batot Hydro and is developing a small hydro power project of capacity 2 MW at Baleni-ka-Nala in Chamba district, Himachal Pradesh. 4) Gehra Hydro is an Associate of Belij Hydro is developing a small hydro Page 2 of 21 ‘The above referred Small Hydro Electric Power Projects in clause [a], [4] and le] aggregating to 8.5 MW are with respect to Batot Hydro and their Associates; projects in clause [c] and {f] aggregating 7 MW are with respect to Belij Hydro and their Associates and Project in clause [c] of 5 MW is with respect to Jala Shakti. Thus the aggregating capacity of the projects referred hereinabove is 20.5 MW. All the above referred projects are hereinafter collectively referred to as ‘Parties’ and individually as Party: unless otherwise specified. All the Parties are interested in évacuating the power from their respective projects to Jarangla sub-station and a bay each has been allotted by the Himachal Pradesh State Electricity Board (HPSEB) to the respective parties as follows: | HPSEB Letter ref. Company HPSEB/CE(SP)/DB-W-42/2004-5760-63 Batot Hydro and dated 01.10.2004 associates HPSEB /CE(SP)/DB-W-42/2004-5764-67 | Jala Shakti dated 01.10.2004 HPSEB /CE(SPj /DB-W-42/2004-5318-20 Bel Hydro and dated 17.03.2008 associates, Representatives of the Partics had detailed discussions and decided that instead of each of the party constructing their own evacuation system and thus incurring multiple costs for the same purpose of evacuating power, they should join hands to construct the transmission lines collectively considering the economy of costs and in line with the HPERC regulations. ‘The Parties hereto have agreed that Batot Hydro would take the lead under the control, supervision and guidance of the Joint Committee, in constructing the 33 KV transmission lines up to Jarangla sub-station from Balij-ka-Nala-II power house, cost of bays and other miscellaneous expenses, expenses in connection with procurement of land, costs for obtaining approvals, related overheads (hereinafter collectively referred to as “Common Evacuation System”) (a sketch is enclosed as Annexre-1) that are incurred or have to be incurred by Batot Hydro would be shared on a ) y In Himachal Pradesh such Common Evacuation Systems require approval of HPERC and The Himachal Pradesh Electricity Regulatory Commission (Power Procurement from Renewable Sources and Co-generation by Distribution Licensee) Regulations, 2007 (hereinafter referred as “the Regulations”) vide sub-regulation (3) of Regulation 3, facilitates power producers to enter into a suitable arrangement for joint project lines for two or more projects and inject power into the grid through the joint evacuation system where there are right of way problems or space limitations at the sub-stations of the licensee or where the generators opt on their own, with the approval of the HPERC. Batot Hydro represents to have procured the requisite land and obtained necessary approval / permissions from the appropriate authorities including the forest department for constructing the common evacuation system. Accordingly, Batot Hydro and Jala Shakti had already entered into a MoU on 28.12.05 (the “MoU*) for transmitting power through a common transmission line (‘Common Evacuation System’) for evacuating power from their respective projects to the Sub-Station based on which they filed a petition with HPERC for approving the line as a “dedicated transmission line” and HPERC had granted its approval for the Common Evacuation System vide Order dated 04.08.07. Belij Hydro desired to join the Common, Evacuation System with a view to achieve further economies of cost. After detailed deliberations Belij Hydro accepted the proposal and agreed to join Batot Hydro and Jal Shakti to built and operate & maintain the common evacuation system. This MOU will supersede the above MOU dt 28.12.05 upon same being approved by HPERC. Batot Hydro has been allotted 18.025 Ha. of forest land by forest authorities vide their approval ref. File No.9-HPC/948/2006-CHA/4708-12 dated 15.05.2007 for utilizing the said land for evacuation of power from their project to Jarangala substation, p) As all the parties have agreed to construct the transmission lines jointly, Batot Hydro has agreed to share the forest land allotted for the purpose of ‘common evacuation system. All Parties agree that the Common Evacuation System, including the land and the right of way for land thereto shall be under the joint ownership of all the Parties and such joint ownership shall be in the ratio of the capacity of their respective project in MW. Batot Hydro has already incurred certain expenses up to October 2008 as ‘administrative overheads in the process of obtaining allotment of forest land and carrying out preliminary activities of developing transmission system from their project to Jarangala substation, All parties agree that the aforesaid costs incurred by Batot Hydro shall be shared by the parties in the ratio of capacity of their project after the said expenses have been prima facie scrutinized and approved by the Joint Committee . Almi Hydro, Brahi Hydro and Gehra Hydro have expressed that their projects being at preliminary. stages of development, though they are committed to evacuate power through the evacuation system, they shall make their contribution to the common evacuation system at the stage when their projects reach the power evacuation stage. In view of Almi Hydro and Brahi Hydro, Associates of Batot Hydro and Gehra Hydro an Associate of Belij Hydro have expressed their commitment to evacuate power from their respective project through the common evacuation’ system at a later stage when construction of their respective projects would reach the power evacuation stage, and since the entire construction of the common evacuation system is required to be completed for evacuating power from Batot Hydro, Jala Shakti and Belij Hydro for computing the share of costs of the entire evacuation system, for the purpose of share of cost of the entire evacuation system, for Batot Hydro, the aggregate capacity would be considered as 8.5 MW including that of capacity would be considered as 7 MW including that of Gehra Hydro and for Jala Shakti the capacity would be 5 MW. tr] Almi Hydro and Brahi Hydro as and when are ready to evacuate power from their respective projects through common evacuation system shall contribute their share of costs for common evacuation system to Batot Hydro and shall have no obligations for arranging payments to Jala Shakti and Belij Hydro, both of whom shall not have any objection in Almi Hydro and Brahi Hydro sharing the common evacuation system, Similarly Gehra Hydro as and when is ready to evacuate power from their project through common evacuation system shall contribute their share of costs for common evacuation system to Belij Hydro and shall have no obligations for arranging payments to Batot Hydro and Jal Shakti both of whom shall not have any objection in Gehra Hydro participating in the common evacuation system. s| The cost of setting up the Individual Interconnection Points up to the Common Evacuation System for Almi Hydro, Brahi Hydro and Gehra Hydro shall be borne by the respective parties. 1] All the Parties desire to reduce into writing the terms and conditions of joint development of the Common Evacuation System, being these presents; ‘Now it is hereby agreed and confirmed by the Parties hereto as follows: 1, DEFINITIONS In the MOU, except as otherwise provided, capitalized terms shall have the meaning assigned to them here below: Page 6 of 21 ‘Common Evacuation System’: the common power evacuation network including the Common Pooling Station ("CPS"), to be developed by the Parties, as per scope of work detailed in Annexure-2, for the evacuation of power generated by each of the power projects to the 33 kV Jarangla substation and subsequently to the proposed 132 kV Karian substation when itis set up. ‘Common Pooling Station’ refers to convergence points of transmission lines being laid down from Batot Hydro, Belij Hydro and Jal Shakti at Dunali switchyard. ‘HPSEB’; Himachal Pradesh State Electricity Board. ‘HPERC’: Himachal Pradesh Electricity Regulatory Commission. ‘Individual Interconnection Points’ means the power line from individual power generation station to the common evacuation system. ‘Joint Committee’: means committee of three individuals formed by Batot Hydro, Jala shakti Hydro and Belij Hydro each of them nominating one representative to exercise control on all matters relating to the common evacuation system, ‘Master Budget’: The statement reflecting the total estimated cost of the Common Evacuation System based on the scope of work given in Annexure-3 hereto and reckoned on the basis of various clements like cost of land acquisition, obtaining surface rights, fabrication, erection, construction, stringing of transmission lines, including other developmental, administrative and revenue expenditure and statutory payments to’be incurred from time to time and duly approved by the Joint Committee. ‘Metering Points’ means the equipment to be installed to measure the electricity exported by the respective individual meters at the common. 2) 3) 4 . HPERC approval Responsibility of Development of Common Evacuation System ‘The development of common evacuation system including acquisition of private land if required and forest land, laying of transmission lines from Common Pooling Station to Jarangla sub-station, cost of bay and other related items shall be completed by Batot Hydro under the control, “supervision and guidance of the Joint Committee. The additional land required for joining lines. from Gehra to common evacuation system via Balij-I, and Dunali to common evacuation system, and Baleni to common evacuation system needs to be acquired by Belij Hydro, Jala Shakti and Batot Hydro respectively. HPERCs approval vide order dated August 4, 2007 pertains to joint evacuation of power from respective projects of Batot Hydro, Almi Hydro, Brahi Hydro and Jala Shakti and does not include proposed power evacuation from Belij Hydro and Gehra Hydro. HPERC/HPSEB approval will ‘be required for the inclusion of Belij Hydro and Gehra Hydro. A Joint petition shall be made and pursued with HPERC / HPSEB to obtain the necessary approvals or orders for the revised scheme of including the projects of Belij Hydro and Ghera Hydro in the joint evacuation system already approved by HPERC on 04.08.2007. The cost, if any, in relation to obtaining the approval as above shall be exclusively to the account of Belij Hydro. Batot Hydro and Jala Shakti shall provide necessary assistance and furnish all requisite documentation to Belij Hydro to facilitate obtaining the approval expeditiously. Cost Estimate for Common Evacuation System Cost estimated for Commmon Evacuation System should be approved by the Joint Committee. Based on the Master Budget approved by the Joint Committee, all the Parties hereby agrees and confirm that they shall remit their share of cost on monthly basis to the designated bank account established by Batot Hydro on or before 7% day of each month to enable Batot to make payments to authorities, contractors, suppliers, etc. Batot Hydro shall furnish the details of payments made for each month to the other parties along with’ the running bills approved by the Joint Committee. This process is a prerequisite to claim budgeted monthly allocation for the ensuing month as per Master Budget. Batot Hydro confirms that they have received sanction of financial assistance from State Bank of Patiala (SBP). While effecting disbursement by SBP, the bank may desire to make out payments directly in favour of the supplier / contractor / authorities as per the terms of financing documents. In such cases, Batot Hydro confirms and undertakes to provide documentary proof of ‘remittances effected to supplier / contractor / authorities either directly from their Lenders SBP or from the designated account proposed to be opened in State Bank of India to Jal Shakti and Belij Page 10 of 21 5.5) 5.6) 5.7) All parties hereby confirm and undertake that they shall not delay the remittance of their share of costs and shall ensure that the payments are remitted to the designated bank account as detailed above. In the event the payments are deiayed beyond 30 days from receipt of intimation for payment from Batot Hydro, the partics agree. to make the payment or balance payment as the case may be along with additional share of their contribution computed @ 15% p.a on the delayed payment. All parties further agree and undertake that if the payments are delayed beyond three months from the receipt of intimation, they shall forfeit their right to continue to participate in the common evacuation system and the amounts paid by them till the expiry of said three months from the receipt of intimation shall stand forfeited. All parties shall endeavour that the cost of the project shall remain minimum and within the budgeted limits and shall provide suggestions to one another for construction of the common evacuation system economically. Post completion of the common evacuation system and connection of all projects to the system, transmission losses, if any, shall be shared amongst the parties on the basis of proportion of energy exported from their respective projects by the parties. The transmission losses will be measured as the difference between the HPSEB metering system at Jarangala substation and the aggregate of energy recorded by the three separate meters of the respective parties installed at common pooling station. In the event of the’ non approval of joint application made by the Parties, for revised evacuation scheme, to HPERC / HPSEB for inclusion of Belij Hydro for evacuation of power from their projects through the Common Evacuation System then Batot Hydro and Jala Shakti hereby confirm and undertake that they shall forthwith refund the amount contributed by Belij Hydro, till such date, for the Common Evacuation System. Belij Hydro shall have an exclusive lien and charge on the Common Evacuation System till receipt of 6) 8) 8.1) 8.2) Future participants in the Evacuation System Almi Hydro and Brahi Hydro as and when they are ready to evacuate power shall contribute their share of costs as may be mutually agreed with Batot Hydro to Batot Hydro. Similarly Gera Hydro as and when they are ready to evacuate power shall contribute their costs as may be mutually agreed with Belij Hydro to Belij Hydro, All parties agree that as and when any additional projects / capacities are to be accommodated in the common power evacuation system by any party subject to the availability of capacity the same: shall be approved by the other parties and proportionate share of the common evacuation system will be made by the new projects to be reimbursed to the existing parties in proportion to their investment in the common evacuation system. Metering & Billing & Load Shedding Metering, Billing, and Load shedding issues shall be decided mutually in term of HPERC approval for the Common Evacuation System. A detailed operating and maintenance procedure shaill be finalized in writing later. Undertakings and Covenants Batot Hydro shall provide a statement of account of cost of the common evacuation system along with copy of the bills / receipts from contractors, suppliers, Government authorities, copy of designated bank account to Jal Shakti and Belij Hydro on a fortnightly basis to enable Jala Shakti and Belij Hydro to scrutinize the same and appropriately account their share in their books of accounts for claiming depreciation under the fiscal laws. After construction of the common evacuation system Batot Hydro shall make out a detailed account of expenses incurred and share of expenses contributed by each of the parties and thereafter excess or shortfall, if any, shall be adjusted amongst the parties. 8.3) ) 10) 11) Sirice all commercial documents like tender, billing, forest land approval, ete are and will be in the name of Batot Hydro, in the unfortunate event of any dispute with Contractors, Suppliers, Authorities or any other parties in connection with development of common evacuation system, Jala Shakti and Belij Hydro hereby confirm and undertake that it shall be the joint responsibility and obligations of all the parties to resolve such disputes and costs, if any, incurred in respect of the same shalll be shared by all the three parties as per sharing pattern detailed in clause 5 above. Operation & Maintenance of Common Evacuation System Post completion of the common evacuation system, all the parties to the ‘MOU agree and confirm that Batot Hydro under the guidance & supervision of the Joint Committee shall continue to maintain the transmission lines and shall maintain record of maintenance expenses incurred and on a monthly basis, a statement of expenses on maintenance along with share of cost shall be forwarded to the respective parties so that the said parties reimburse to Batot Hydro their share of cost within seven days of receipt of statement of expenses. Joint Ownership / Rights All parties agree that the Common Evacuation System, including the land and right of way thereto shall for all intents and purposes construe to be jointly owned by all the parties and such joint ownership shall be in the ratio of the capacity of their respective projects in MW. Monitoring the construction and maintenance of the Evacuation system 11.1) The Joint Committee shall decide on all matters connected with construction, operation and maintenance of common evacuation system. Batot Hydro shall provide monthly progress report to the Joint Committee on or before the 7% day of cach month to enable the committee to review the Page 13 of 21 11.2) ‘The Parties shall have the right to change their nominees as they desire and intimate other the Parties in writing. 11.3) The Joint Committee shall periodically meet in person or conduct meetings 12) 13) 14) 18) through conference calls / video conference and the Minutes of the Meeting shall be compiled by the committee member representing Batot Hydro and the said minutes shall be circulated to all the parties. ‘Time Schedule ‘The construction of the Common Evacuation System shall commence in the first week of June 2009 and be completed by February 2010 and all parties shall endeavour to achieve this target. The detailed activities schedule shall be prepared by Batot Hydro under control, guidance and supervision of Joint Committee and such schedule shall be adhered to irrespective of the progress of completion of respective power projects of the parties. Amendments ‘This MOU shall not be amended, altered or modified in any way except by an instrument in writing expressly referring to this MOU and signed by Persons authorized in this behalf. Entire Agreement ‘This MOU contains the entire agreement of the Parties hereto with respect to the transactions envisaged in this MOU, superseding all negotiations, prior discussions, preliminary agreements, memoranda or heads of agreements made prior to the date hereof, Parties ‘This'MOU shall inure to the benefit of and binding upon the parties and shall include their respective successors and assigns subject to the rights and restrictions on the parties being equally applicable on the successors Page 14 of 21 16) 17) 18) 19) Severability If any provision of this MOU or the application thereof to any Person or circumstance shall be invalid or unenforceable to any extent, the remainder of this MOU and the application of such provision to persons or circumstances other than those as to which it is held invalid or unenforceable shall not be affected thereby, and each provision of this MOU shall be valid and enforceable to the fullest extent permitted by law. Any invalid or unenforceable provision of this MOU shall be replaced with a provision, which is valid and enforceable and most nearly reflects the original intent of the unenforceable provision. Waiver ‘The failure of a Party hereto to exercise or enforce any right under this MOU shall not be deemed to be a waiver thereof nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter. Assignment None of the Parties may assign or transfer this MOU or any of its rights and /or liabilities under this MOU to any other party unless and until the party agrees to adhere to the rights and obligation under this MOU in writing to other Parties. Indemnity Each party (hereinafter referred to as “indemnifying party”) shall indemnify the other parties to the MOU (hereinafter referred to as “the indemnified parties") against any action, or losses incurred or suffered by any of the other parties arising out of or resulting from. (@) any breach by the indemnifying party of any of the terms and conditions of this MOU; Page 15 of 21 20) (b} any pending or threatened claims against the indemnified party or any claims which may be made against the indemnified party and which relate to or arise out of actign or inaction of the indemnifying party ; () any and all costs and expenses incurred by the indemnified party in respect of a claim under this Indemnity; An Indemnified Party shall be entitled, in their absolute discretion, to take such action as they may deem necessary to avoid, dispute, deny, resist, appeal, compromise or contest or settle any such claim (including without limitation, making claims or counterclaims against third parties). ‘Termination All parties to this MOU agree and confirm that they shall not terminate this MOU and in the event any of the parties desires to exit from this MOU, they shall provide notice of 60 days to the other parties in writing. However, any share of costs already paid / reimbursed by the party or have already accrued to be paid by the party exiting from this MOU shall be paid and the amounts paid shall stand forfeited and credit for same shall be given to the remaining parties in the ratio of sharing’of the cost as stipulated herein above. All parties hereby agree and confirm that the forfeiture of amounts already paid shall stand valid even if the party’s exiting from the MOU is on account of voluntary or compulsory liquidation of the party, the party declaring insolvency on the party compromising with their Lenders / Creditors. Page 16 of 21 21) 21.1) 21.2) 21.3) 21.4) 21.5) 22) _Saglusive jurisdiction of the courts at Chamba, Himachal Pradesh, Indi Arbitration Any and all disputes or differences and / or claims {including for breach of covenants, representations, warranties and / or indemnities herein contained) between the Parties arising out of or in connection with this MOU or its performance or in connection with any matters and things in respect of this MOU thereof shall, so far as it is possible, be settled amicably among the Parties. If after 15 days of consultation, the Parties have failed to reach an amicable settlement, any and all disputes or differences arising out of or in connection with this MOU or its performance, such disputes or differences shall be submitted to arbitration at the request of either Party upon written notice to that effect to the other party and such arbitration shall be conducted in accordance with the Indian Arbitration and Conciliation Act, 1996 (the ‘Arbitration Act) by a panel consisting of three (3) arbitrators. While submitting the dispute or difference to arbitration in accordance with sub-clause (21.2) above, the Party so submitting shall, in its notices, specify the name of one arbitrator appointed by it. Within 15 days of the receipt of notice, the other Parties shall also appoint an arbitrator each. ‘The fourth arbitrator (who will act as the Chairman) shall be nominated by the three arbitrators appointed as aforesaid or, failing such nomination within 15 days of the appointment of the arbitrators, shall be appointed in accordance with the provisions of the Arbitration Act. ‘The language of the arbitration shall be English. The venue of the Arbitration shall be at Chamba, Himachal Pradesh, India. The parties agree that the award of the arbitrators shall be final and binding upon the Parties. Governing Law and Jurisdiction ‘This MOU shall be governed by the laws of India and shall be subject to the Page 17 of 21 23) 24) 28) Authority ‘The signatories to this MOU hereby confirm that they have been authorized by the respective companies to execute this MOU on their behalf and bind their companies for their respective obligations detailed under this MOU. Common pooling substation equipments complete with ring bus arrangement, SF6 circuit breakers, Isolators, instrument Transformers, lightning arrestors, lightning protection, earthing system, all type fabricated structures metering, instrumentation, control and protection relays (C&R Panels) and DC system complete in all respect. 4. Two numbers incoming bay and inter connection arrangement with the existing system including modification as required at Jarangla sub station complete with SF6 circuit breakers, Isolators, instrument transformers, bus bar arrangement, tic breakers, lightning arrestors, lightning protection, earthing system, Fabricated structures, metering system; instrumentation, control and protection relays (C&R Panels) and DC system complete in all respect. 5. Construction of 33 kV, Double Cirenit Transmission line with ACSR conductor from Jarangla sub station to the proposed 33/132/220 kV Karian substation. 6. Two numbers 33 KV incoming bays with all equipments required to complete inter connection arrangement with 33/132/220 kV Karian Substation including SF6 circuit breakers, Isolators, instrument transformers, bus bar, lightning arrestors, lightning protection , earthing system, Fabricated structures and metering and instrumentation, control and protection relays (C&R Panels) and DC system complete in all respect. 7. The scope shall include establishing of all required facility and system which may not be specifically stated or defined herein but which may be required as. an integral part of the system/ facility necessary for completion of ion system in all respect as per HPSEB Page 20 of 21 Annexure ~ 3 Master Budget (to be incorporated) Page 21 of 21
