Brief Introduction to the Companies
Registry Trading Fund
The Registry was established as an independent government department
on 1 May 1993 and became a trading fund on 1 August 1993 upon the
passage of a resolution by the Legislative Council. In accordance with
the Trading Funds Ordinance (Cap. 430), the Registry operates on a self-
financing basis under commercial principles. The Registry is required to
achieve a reasonable return on the average net fixed assets employed
and meet expenses incurred in the provision of services out of its income.

管 理 委員會 Management Board

管 理 委 員 會 ( 下 稱「委 員 會」) 由 公 司 註 冊 處
處 長 ( 下 稱「處 長」) 擔 任 主 席，成 員 包 括 本
處 全 體 首長 級 人 員，是 本 處 企 業 管 治 綱 領
的 核 心 。 委 員會 負 責 訂 定 策 略 方 向，制 訂
政 策 及 管 理 本 處 的 業 務 ，目的 是 實 踐 本 處
的 理 想 和 達 成 本 處 的 使 命 。 委 員會 每月定
期 及 在 有 需 要 時 召開 會 議，以 討 論、 檢 討
並 監 察 本 處 的 運 作、工作 表 現 和 新 措 施 實
施 的 情 況。
The Management Board (“the Board”), chaired by the Registrar of
Companies (“the Registrar”) and consisted of all directorate officers
of the Registry, is the core of the Registry’s corporate governance
framework. The Board is responsible for setting strategic directions,
formulating policies and managing the Registry’s business affairs
with the aim of achieving its vision and mission. The Board meets
regularly on a monthly basis, and whenever necessary, to discuss,
review and monitor the operation, performance and new initiatives
of the Registry.

本 處 竭 力 維 持 高 水平 的 企 業 管 治 。它是 提
高 本 處 的 運 作 效 率 及可持 續 性、保 障 相 關
持 份 者 的 權 益，以 及 保 持 公 眾 對 本 處 的 企
業管 治能力及誠 信的 信心和 信任的關 鍵
因 素 。 公司 註 冊處 企 業 管 治 政 策 聲 明 載 列
了企 業 管 治 綱 領，為 本 處 應 用管 治 原 則 提
供 指 引，本 處 於二 零 一二 年 五 月 頒 布 該 聲
明。
The Registry is fully devoted to maintaining a high standard of
corporate governance as a key factor to enhance operational
efficiency and sustainability, safeguard the interests of its
stakeholders and uphold the confidence and trust of the public in
the Registry’s capability and integrity. The Corporate Governance
Framework of the Registry, which serves as a guidance on the
application of governance principles, was laid down in the Corporate
Governance Statement promulgated in May 2012.

The Registry is committed to maintaining the highest ethical
standards in the conduct of its business and caring for the
community, the environment as well as the well-being of its
staff members. To this end, the Corporate Social Responsibility
Policy Statement adopted by the Registry since September 2010
provides the framework for the Registry to fulfil its corporate social
