INTERNATIONAL CHARTER FLIGHT AGREEMENT

The following terms and conditions represent the voluntary agreement between HELIDOSA AVIATION
GROUP, S.A. (hereinafter “The Carrier”) and the client, whose particulars are at the end of this document
(the “Customer”) in attention to the International Charter Flight (the “Flight”) offered by HELIDOSA at the
Client’s request.

The headings inserted herein are included for reference and not for limitation or to affect the terms
agreed.

I. PRICE: The price of the Flight is set forth in the attached quote (the “Price”). Additional charges may
apply as a result of changes in the itinerary, VIP terminal, flight phone or Wi-Fi usage, hangar and deicing
during inclement weather, special catering and any other additional services. These charges will be
applied to the Client separately from the Flight’s original Price. All payments are expressed in US dollars,
any payments due to be paid are to be made without deduction or withholding for United States or foreign
taxes.

II. PAYMENT METHOD: The payment is due at signing of this document either by wire transfer or credit
card. If payment is made through international bank wire transfers and the Flight is booked: (i) 24 hours
before departure; (ii) before the weekend; or, (iii) on a holiday in Dominican Republic; the Client must
provide a credit card for the Carrier to authorize and put on hold until the wired payment is received.

Therefore, the Client must complete and sign the Credit Card Charge Authorization Form enclosed to this
document and will provide the Carrier with a copy of the said credit card. If after 5 days of the wiring the
payment is not received and confirmed by the Carrier, HELIDOSA is herein granted the right to charge
the credit card provided by the Client.

III. CHANGES IN THE FLIGHT: The times shown in the attached flight itinerary may be modified by the
Operator upon the occurrence of a force majeure event as defined in Article VI. For the safety of all
passengers and the crew, the aircraft and its cargo, the Pilot In Command shall have complete authority
and discretion concerning the Flight, preparation of the load carried, its distribution, including whether the
Flight shall be undertaken or abandoned once undertaken, whether deviation from the proposed route(s)
occurs, where landing shall be made, and all such other matters relating to the operation of the aircraft.

The Client understands and acknowledges that safety and compliance with all applicable regulations is
most important to the Carrier, and therefore, if Carrier shall find that landing facilities at any point on the
itinerary of the charter flight are, in its opinion, not adequate for safe use on the charter flight at such
point, or if landing is prohibited or restricted by law, regulation, weather or operating conditions, the
Carrier may substitute in place thereof the nearest point at which, in its judgment, suitable facilities are
available and landing can be made. Charterer agrees to accept all such decisions as final and binding,
and waives all and any liability claims against Carrier related to such decisions.

Carrier may in its discretion, upon the occurrence of any force majeure event as defined by Article VI,
substitute the aircraft specified in the Flight quote, and such substitute aircraft shall be comparable to the
originally designated aircraft, within the means and possibilities of the Operator.

IV. CANCELLATION POLICY: In the event of any cancellations performed by the Client, the following
fees will be charge

1. After the booking and more than 72 hours prior to departure: 30% of the Price;
2. 72 hours prior to the Flight’s departure: 50% of the Price;
3. 24 hours prior to departure: 100% of the total Price of the Flight;
4. If the Flight is already in motion for the purpose of relocating the aircraft to the Client’s

embarkation airport: up to 100% of the total cost of the Flight; y,

On the Flight’s date and time, the Carrier will wait on the Client one (1) hour maximum after the scheduled
time of the Flight. Once the waiting time is due, the Carrier reserves the right to cancel the Flight and
charge the Client with the corresponding cancellation fees.

V. DECLARATIONS AND COMMITMENTS: The Client declares, acknowledges and commits to the
following:

1. Provide the Carrier, at least 48 hours before the Flight or in the time specified by the Carrier in
order to comply in a timely manner with the regulations of the country of departure or destination
of the Flight, with a legible copy of their passport and visa – including that of its companion, if
applicable – and any other information related to the Flight, the passengers or the Client, that
may be required by the Carrier or any governmental authority by means of the Carrier.
In the event of default by the Client, the Carrier shall not be liable for Flight delays, and shall be
able to cancel the Flight applying the penalties described in this agreement;
2. Any passenger travelling to or from United States must have a valid U.S. visa;
3. Prior to all flight departure, complete a passenger form (manifest) for each flight, understanding
that any mistakes or inconsistencies in the information provided can delay the Flight’s departure
without liability to Carrier;
4. That the information and documents provided to the Carrier are completely valid, up to date and
duly issued by the corresponding government authorities of the country of departure and arrival;
5. The Client will perform all statements regarding any monetary sums, value, organic products, or
any other items or goods carried on the Flight, that should be declared in accordance with all
customs and immigration authorities;
6. The Client will comply with, and ensure that all passengers accompanying and owners of the
cargo, observe and comply with all applicable laws, regulations, orders, decrees, directions,
permits, licenses, and authorizations granted for the flights and/or issued by any relevant
governmental or other authority, including but not limited to, Customs, Police, Public Health, and
all other relevant regulations and authorities in jurisdictions where the aircraft originates and
lands, and that such passengers comply with all relevant requirements, whether documentary or
otherwise, in respect of themselves or their baggage and pay all taxes and dues which may be
levied in connection with their baggage or otherwise upon such passengers. Carrier accepts no
liability of any nature for cargo or baggage which may be refused entry, detained, impounded, or
confiscated by any authority, or for cargo or baggage which the Carrier may refuse to carry if its
refusal is required by any applicable law, regulation, demand, order, or requirements. Client will
indemnify Carrier against any loss, damage, or inconvenience incurred by Carrier as a result of a
breach by the Client or any such person of the aforesaid regulations or requirements.
7. The Client shall ensure that neither the cargo nor the baggage of any passenger shall contain
anything of a dangerous, hazardous, or offensive nature or of which the carriage, exportation, or
importation of which is illegal in or prohibited by any of the countries or states in which the aircraft
shall land or which it shall overfly.
8. The Client acknowledges and agrees that the aircraft will not be utilized for the carriage of illegal
air transportation, prohibited dangerous cargo, unauthorized military cargo or munitions, or
chemical or biological weapons of war.
9. The Flight requested to the Operator responds to legal objectives, and there is nothing in the
baggage that could be considered as a prohibited substance by any immigration or customs
authority or the police. The Client acknowledges and declares himself as the sole person liable of
the baggage’s content which, by protocol of the immigration and customs authority from the
country of departure and arrival, is duly inspected without the intervention of the Operator.

VI. FORCE MAJEURE: Carrier shall not be liable for any damage, loss or profit loss suffered by the
Client or any passenger due to delays, non-performance, or any modifications to the booking, caused by
force majeure. The following shall be considered causes of force majeure: imposed quarantine; aircraft
failure (AOG - Aircraft on Ground); riots, strikes; circumstances or policies imposed by the airport, delays

caused by third parties including the airport, the Fixed Based Operator of the private terminal (FBO), or
any governmental entity; accidents; wars or war threats; events of nature, including storms, floods, frost,
ice, earthquakes, epidemics, or any other natural physical disaster; and any circumstances and causes
beyond Carrier’s control.

The Carrier shall not be liable for any damages, losses or delays caused by airport authorities or
employees, or any third party unrelated to Carrier or over which Carrier has no control.

VII. APPLICABLILITY OF THE MONTREAL CONVENTION & COMPETENT JURISDICTION: This


agreement will be governed by the laws of Dominican Republic, except that pertaining to civil liability and
its limitations, which will be governed by the Convention for the Unification of Certain Rules for
International Carriage by Air, opened for Signature at Montreal on 28 May 1999. Any disputes that arise
due to, or related to, the validity, enforceability, execution or any other aspect of this agreement, will be
submitted for knowledge and solution of the Civil and Commercial Chamber of the Court of First Instance
of the National District, Dominican Republic.

VIII. FINAL PROVISIONS: The Client acknowledges and declares that all documents and information
provided to The Carrier, and herein described as well as in the documents attached, are completely
reliable, true and accurate therefore releases and discharges The Carrier from any and all claim, suit,
actions or proceedings generated by events, circumstances, commitments, actions or omissions of the
Client.
