No, 9654022088, COST AUDIT REPORT {See rule 2 and rule 6) |, Ramawatar Sunar, having been appointed as Cost Auditor under section 148(3) of the Companies Act, 2013 (18 of 2013) of M/s MRL TYRES LIMITED (Formerly Malhotra Rubbers Limited) having its registered office at 70/50A Ist Floor Rama Road, Industrial Area, Najafgarh Road, Moti Nagar, New Delhi- 110015, have audited the Cost Records maintained under section 148 of the said Act, in compliance with the cost auditing standards, in respect of the products “Rubber & Allied Products, ‘Tyres & Flaps” for the year 2019-20 maintained by the company and report, in addition to my observations and suggestions in para 2. Disclosures in the Audit Report in the light of the lockdown due to COVID-19 pandemic forms integral part of this report and is given separately. (i) Thave obtained all the information and explanations, which to the best of my knowledge and belief were necessary for the purpose of this audit, (i) Inmy opinion, proper cost records, as per rule 5 of the Companies (cost records and audit rules), 2014, have been maintained by the company in respect of good(s) /Service(s) under reference. (iii) In my opinion, proper returns adequate for the purpose of the Cost Audit have been received from the branches not visited by me. (iv) Im my opinion and to the best of my information, the said books and records give the information required by the Companies Act, 2013, in the manner so required. (v) In my opinion, information, statements in the annexure to this cost audit reports give a true & fair view of the cost of production of good(s)/rendering of service(s), cost of sales, margin and other information relating to good(s) /Service(s) under reference. (vi) In my opinion, company has adequate system of internal audit of cost records which to my opinion is commensurate to its nature and size of its business. (vii) Detailed unit-wise and product/activity-wise cost statements and schedules thereto in respect of the product(s)/service(s) under reference of the company duly audited and certified by me are kept in company. 2, Observations and suggestions, if any, of the Cost Auditor, relevant to the cost audit. ‘The company has implemented SAP Software in financial module during last year but the costing module/HR module is still to be implemented to arrive at exact cost of different products. Area, Najafgarh Road, Moti Nagar, New Delhi -110015 Disclosures in the Au Report in light of the Lockdown due to COVID19 Pandemic ‘A. Impact of COVID19 Lockdown on the Operations of the Company and Resumption of Operations post COVID19 Lockdown The Operations of the Company during the year ended 31st March 2020 were marginally affected due to Lockdown announced by the Central / State Governments in the month of March 2020 due to the outbreak of Novel Coronavirus COVID19. Due to the Lockdown announced by the Central / State Governments the operations of the company were shutdown from 22nd March, 2020. As per the relaxation offered by the respective Central / State governments and local authorities, the Company had resumed its operations at its plant situated at Noida & Surajpur, Uttar Pradesh, in a phased manner from 10th April, 2020 conforming to the guidelines of the Government. B. Comment on the Physical Visit to the Plants The nationwide Lockdown process started from 22"! March 2020 in form of a 14 Hr. ‘Janata Curfew’. A formal National Lockdown was announced by the Central Government from 24** March 2020 in successive phases. This has resulted into serious restrictions on travel. Hence there have been limitations on physical visits to the head office / units / plants / branches / offices etc. of the Company. In light of the said travel restrictions, I have not visited any of its offices situated at Noida, Surajpur, Uttar Pradesh and Delhi after 22nd March, 2020. Form CRA 3 (Form of the Cost Audit Report) requires Cost Auditor to comment on the adequacy of the data / information / returns received for the purpose of Cost Audit, from the branches not visited by me. I would like to mention that due to the Lockdown situation as mentioned above, | was not able to visit any of the branches of the Company. But I have received the relevant data / information / record / returns from the branches not visited by me. C Audit using Online Auditing Method /Techniques In light of the restrictions in physical movement and visits to the company offices, the Company has given me access to their ERP System. | was able to access the relevant data & records for my Audit purpose. Further, the company has provided all other data / information / records as required by me using e-data sharing modes. | also had continuous communication with the Audit Team & Management of the Company using various modes such as Audio / Video Conferencing, etc. (s/f & In this respect, | have followed the ‘Advisory on Auditing and Assurance assignments during the Period of Lockdown and Restrictions on Travelling’ issued by The Institute of Cost Accountants of India to the extent relevant and applicable. D. Online Verification of the Document / Records / Statements & Assurance about the accuracy and authenticity of the same Due to the phase wise Lockdown imposed by Central / State Governments and the resulting travel restrictions, it was not possible to physically visit the Company and carry out the audit function. I have carried out the Audit Process using various techniques of Online Auditing. I have verified the records / documents / statements received by us through electronic media. 1 have also received Management Representation Letters where ever necessary. Using such techniques | have ensured reasonable assurance that the information / record / statements provided to me are free from material misstatement and adhere to the relevant standards. In this respect, 1 have also followed the ‘Advisory on Auditing and Assurance assignments during the Period of Lockdown and Restrictions on ‘Travelling’ issued by The Institute of Cost Accountants of India to the extent relevant and applicable E Physical Inventory Count on a date other than the date of the Financial Statements Due to the Lockdown imposed by the Central / State Governments in wake of the COVID19 Pandemic, it was not feasible for the Company to carry out a Physical Inventory Count on the date of the Financial Statements, i.e. on 31% March 2020. The Company has decided to opt for Physical Inventory Count at a date other than the date of Financial Statements. Ihave not attended the Physical Inventory Count in person. The Company is following a system of Perpetual Inventory Count. | have followed various Roll Forward Techniques for establishing reasonable authenticity and accuracy of the Physical Inventory Count. | have relied upon the records of material movement, purchases, sales, goods receipts, scrap, etc. as made available to me by the management. | have relied on the data / information as certified by the management or certified by other independent auditors, wherever required. F. Formation / Expression of Opinion I have carried out the Audit Process using Online Mode. I have carried out the Audit Process subject to my disclosures as mentioned above. The audit evidence obtained by me is adequate to express my audit opinion. While expressing my audit opinion, | have also relied upon certifications by the management or certifications by other independent auditors, wherever required. COST ACCOUNTING POLICY: (2) briefly describe the cost accounting policy adopted by the Company and its adequacy or otherwise to Jdctermine correctly the cost of production/operation, cost of sales, sales realization and margin of the products)/service(s) under reference separately for each poducts)/service(s) The Policy shall cover, Inter alia, the following areas : rhe company maintained is financial accounting in SAP Software .The books of account and other records have been designed to facilitate compliance of the relevant provisions of the Companies Act on one hand, and meet the internal requirements of information and systems for planning, review and internal control on the other. (a) Identification of cost centres/cost objects and cost drivers Each department / activities where costis incurred directly have been identified as cost centre. The expenses have been accumulated under different cost centres classified as production cost centres, service cost centres, works overheads, administration overheads and selling & distribution overheads. Cost of service cost centres are apportioned to the respective consuming cost centres on the basis of actual usage of the service {b) Accounting for material cost including packing materials, stores and spares etc, employee cost, utlities |and other relevant cost components aw materials for manufacturing of different products viz., Rubber, Carbon Black, Cord Fabric, Solvent and other purchase materials, both indigenous and imported, are valued at weighted average basis . Cost of naterials is net of Input tax credits: GST ( wherever input tax credit is admissible). The stores and spares consumption are directly charged to cost centre as and when consumed with the particular cost centre. Employee cost is hooked cost centre wise. Cost of utilities like power & fuel are charged to the cost centres on Ithe basis of their actual usage by the respective cost centre. {c) Accounting, allocation and absorption of overheads Works overheads relating to production have been allocated to products on actual or reasonable ba: applicable.
