AGREEMENT ON PROVIDING TRAINING AND

SUPPORTING SERVICE

Duly sign agreement to provide and receive service with the following terms and conditions:
1. REQUEST FROM PARTY A
- Training module Smile_BO (include configure Smile_BO system) for accounting department
- Backup old Smile_BO database and create a new database with standard chart of account that
Party B proposed to Party A. This chart of Account has been checked by Party A as being
appropriate to Party A current request, also has been approved.

2. VALUE AND PAYMENT SCHEDULE OF AGREEMENT
- The total agreement value is: 800 USD
(In words: Eight hundreds US dollars)
- Party A will pay to Party B 50% of agreement value (400 USD) right after the service
provided and 50% remaining (400 USD) right before the 7th of May 2011 (at the same time
as the second payment of the contract software). Party A will pay to Party B by bank transfer
into Party B’s bank account. Party A shall be paid in VND with prevailing buying exchange
rates of Vietcombank at the time of payment.
3. RESPONSIBILITY OF BOTH PARTY

- Both parties agree with the defined date for 01 employee from Party B to come to Lotus Resort
during 3 days.
- Party A will provide foods, transportation, laundry, and accommodation for Party B’s staff
during the duration of training and supporting service in Party A site.

This agreement is made in 4 original ( 2 copies in Vietnamese and 2 copies in English ) copies
with the same legal value, each party will keep 2 copies ( 1 copy in Vietnamese and 1 copy in
English). In case of disputes, the Vietnamese copies shall be used. The agreement will be
effective from the signing date.
