PREAMBLE

We, the guardians, parents and teachers of Palo 19 National High School – Tampakan
Annex, Brgy. Palo 19, Tampakan, South Cotabato, imploring the aid of the Divine Providence,
in order to promote mutual understanding and cooperation for the common good and for the
educational interest of our children, do hereby bind ourselves together and promulgate this
constitution and by – laws.

ARTICLE I
TERMS OF REFERENCE

SECTION 1. MEMBERS – Shall refer to all guardians, parents, and teachers of Palo 19
National High School.

SECTION 2. KINDS OF MEMBERSHIP

a. Regular Member – can vote and be voted


b. Honorary Member – cannot vote and ineligible to any elective position, serves only in
committees.

SECTION 3. MEMBER OF GOOD STANDING – A member of good standing is one who;

a. Has complied with all the obligations and duties to the association.
b. Participates in any activities of the association

SECTION 4. ASSETS. All funds, receivables, claims, inventories and properties of the
association shall constitute its assets.

SECTION 5. MAJORITY QUORUM. When used in relation to meetings of the Board of


Directors, the term “MAJORITY” shall mean one-half (1/2) of the actual number of directors
who have already taken their Oath of Office and therefore can already sit in the board.

The term “MAJORITY” shall constitute a quorum. When used in relation to a quorum the term
“MAJORITY” shall mean one-half (1/2) plus one of the actual members present in a meeting.

ARTICLE II
NAME AND DOMICILE

SECTION 1. NAME – The name of this association shall be Palo 19 National High School –
Tampakan Annex, Palo 19 Parents – Teachers Association, hereinafter referred to as the
“association”.
SECTION 2. DOMICILE – The principal office of the association shall be located at the Palo
19 National High School, Brgy. Palo 19, Tampakan, South Cotabato.

ARTICLE III
DECLARATION OF PRINCIPLES

SECTION 1. The association shall be guided by the following principles:

A. The principle of unity and responsibility as pre-requisite for the sustained growth and
development of all students and members under the goals of the association.

B. The principle of mutual assistance as an instrument for the welfare and progress of all
concerned.

C. The principle of camaraderie and responsive cooperation as the cornerstone of


harmonious relationship and the pursuit of common interest.

D. The principle of active involvement and participation in the affairs of the association.

ARTICLE IV
OBJECTIVES

SECTION 1. Inspired by the principles cited above in the preceding article, the purposes of the
association shall be:

A. To establish an organization that will help or assist the school in whatever


undertakings for the welfare of its studentry.

B. To foster harmonious relationship of all its members.

C. To promote the enlightenment of all its members with regards to their rights and
obligations as members of the association.

D. Cooperate with other association of offices, private, government in the attainment of


goals of mutual interest and of the purposes of the association.

E. Lead and to actively participate in civic, cultural and sports activities.

F. Engage or endeavor to undertake such other activities or programs as may be


necessary for the realization of the goals and purposes of the association.
ARTICLE V
MEMBERSHIP

SECTION 1. COVERAGE – Parents, Guardians and Teachers of Brgy. Palo 19.

SECTION 2. TERMINATION OF MEMBERSHIP IN THE ASSOCIATION. The


following shall be a ground for termination of membership in the association:

A. Gross violation of this constitution and by – laws.

ARTICLE VI
RIGHTS AND OBLIGATIONS OF MEMBERS

SECTION 1. RIGHTS – Member shall have the following rights:

A. To vote and be voted upon

B. To participate in all meetings of the association

C. To examine all the records or books of the association for each member subject to
such policies and rules prescribed for the purpose

SECTION 2. OBLIGATIONS – Members shall have the following obligations:

A. To abide and protect the constitution and by – laws of the association;

B. To protect as well as to promote the interest of the association, its principles, goals
and programs;

C. To support and cooperate in the pursuit of plans, programs and projects of the
association;

D. To keep abreast of the development of the association as to be able to contribute to


each continued growth and progress;

E. To fulfill monetary obligations as prescribed by the association.

ARTICLE VII
OFFICERS ANDTHEIR DUTIES

SECTION 1. OFFICERS – The association shall have the following officers:

A. President

B. Vice President
C. Secretary

D. Treasurer

E. Auditor

F. Public Information Officers

The Board of Directors (BOD’s) shall elect from among themselves the above officers
after they (BOD’s) were elected during the general assembly.

SECTION 2. MEETING

A. Annual Meeting – The first annual meeting of the members shall be held after the
system has been in the operation and annually thereafter on a date set after the
opening of classes such as place within the service area of the association.

B. Special Meeting – A special meeting of the members may be called by a resolution


of the board, or upon a written request signed by eight (8) members of the board, by
the President or by one-third (1/3) of the general membership.

C. Notice of the General Members Meeting – Written notice stating the purpose,
place, day and hour of the meeting shall be sent out seven (7) days before the date of
the meeting by the Secretary or by the person calling the meeting.

D. Quorum – Thirty percent (30%) of the general membership constitute a quorum and
a majority of such quorum may decide any question at the meeting. In the absence of
the quorum, those present may be adjourning the meeting from time to time without
further notice.

SECTION 3. POWERS AND DUTIES. The officers shall have the following powers and
duties;

A. PRESIDENT. He shall:

1. Preside at all meetings of the association and the BOD.


2. Be the Chief Executive Officer and Chairman of the association.
3. Sign with concurrence of the Board of deeds, agreements and other instruments in
which the association may be party, or in which it may otherwise be interested.
4. Submit to the members of the association an annual report which shall include the
financial statement of the association subject to the final review of the board. The
President shall cause distribution of this annual report to the members of the
association before the end of every fiscal year.

B. VICE – PRESIDENT. He shall:

1. Take the place of the president, in case of death, absence or inability to discharge
his functions.
2. Discharge such other functions as the president may assign to him from time to
time.
C. SECRETARY. He shall:

1. Attend all the meetings of the BOD and the general membership.
2. Keep full minutes of all meetings of the BOD’s general membership and other
meetings as may be assigned to him.
3. Maintain and keep records of the association and its individual members.
4. Give or cause the notice of all meetings of the BOD’S and general assembly.
5. Discharge such functions as the president, the board and/or the vice – president
may assign to him.

D. TREASURER. He shall:

1. Have custody of and be responsible for all funds and properties of the association
and shall keep a complete and accurate record of receipts, disbursements and
other transactions in the corresponding book of accounts as well as an up-to-date
inventory of the properties of the association.
2. Deposit in the name to the credit of the association all money, funds, securities,
bonds and similar valuable effects belonging to the association which may come
under his content in such banks as may be designated by the BOD’S.
3. Signs checks and other instruments for payments jointly with the President and
Auditor if necessary.
4. Collect or otherwise cause the collection of dues or payments.
5. Prepare and present the monthly financial statement during the regular meeting of
the Board.
6. Render an annual financial report showing the financial condition of the
association and such other financial reports as the Board and/or President may
require, the same to be submitted on or before any BOD meeting on General
Assembly.

E. AUDITOR. He shall:

1. Examine and verify the books of account of the association; its committees and
projects.
2. Submit a quarterly audited financial statement to the Board.
3. Audit, examine and certify to the correctness of the financial reports submitted by
the treasurer to the Board.
4. Recommend to the Board the auditing policies and guidelines.

F. PUBLIC INFORMATION OFFICER. He shall:

1. Disseminate pertinent information among the members of the association.


2. Promote the goodwill of the association.
3. Handle all publications of the association.
4. Perform such other functions as the President assign to him.

SECTION 4. VACANCIES

A. The positions of elective officers as enumerated in Section 1 of this article, vacated


due to death, permanent incapacity, resignation, or removal of the incumbent shall be
filled thru an election from among the members of the Board by a majority vote of the
Members of the Board present at a special meeting called for the purpose; provided
that such person so appointed shall hold office only for the unexpired portion of the
term.

B. Any appointive office vacated due to death, permanent incapacity, resignation, or


removal of the incumbent shall be filled by appointment by the President, provided
such person so appointed shall hold office only for the unexpired portion of the term.

SECTION 5. HOLDOVER – Notwithstanding the provisions of the foregoing, all officers of


the association shall continue to discharge the duties and exercise the powers of their respective
offices until their successors shall have been duly elected or appointed as the case may be and
have qualified for office, provided however that an officer in hold-over capacity shall not serve
for more than ninety (90) days.

SECTION 6. REMOVAL FROM OFFIE OF ELECTIVE OFFICERS – Any elective officer


of the association of this article may be removed from this office by the Board of Directors
(BOD’S) upon having been found guilty of culpable violation of the Constitution and By – Laws
of the association.

ARTICLE VIII
COMMITTEES

SECTION 1. To ensure coordination in the transaction of the association matters and in order to
realize the objective of this constitution, different committees may be created with the approval
of the board.

ARTICLE IX
ASSOCIATION OF FUNDS AND FUND MANAGEMENT

SECTION 1. DEPOSIT OF FUNDS – The funds of the association shall be deposited in such
bank or banks as may be designated by the Board of Directors (BOD’S). The Board shall adopt
such measures and take such steps as to safeguard its deposits.

The treasurer shall see to it that the funds of the association shall be deposited intact on the day
of collection or the following banking day. The treasurer shall post a bond, the amount of which
shall be paid out of the funds of the association.

SECTION 2. BORROWINGS – At no instance funds of the association will be lent or be


borrowed by any and/or any member of the association.

ARTICLE X
GENERAL PROVISIONS

SECTION 1. THE BOARD OF DIRECTORS AS A CONSTITUENT BODY – The Board


of Directors may be empowered to sit as a constituent body for the purposes of proposing
amendments to this constitution subject to ratification by the general assembly conducted for the
purpose.
SECTION 2. OATH – Every member of the Board of Directors and Chairman of Standing
Committees and its members shall before assumption of office, take and subscribe to an oath.

SECTION 3. TERM OF OFFICE – All election and appointive members of the Board of
Directors and its officers shall have a term of office of one (1) year.

ARTICLE XI
AMENDMENT

SECTION 1. PROPOSAL FOR AMENDMENTS – Proposal to amend this constitution may


come from any member, the same will be endorsed by any member of the Board of Directors for
consideration.

SECTION 2. POWER TO AMEND – This constitution may be amended, altered, or revised in


part or in whole by majority vote of the members of the Board of Directors sitting as a
constituent body.

SECTION 3. EFFECTIVITY OF AMENDMENTS – Amendments to this constitution shall


take effect upon ratification by a majority vote of all members of the association.
ARTICLE XII
EFFECTIVITY

This Constitution and By – Laws shall take effect upon ratification by a majority vote of
the members of the association.
