This FINDER’S FEE AGREEMENT (hereafter ”Agreement”) is entered into on the 1 day of February,
2018 by and between:

(register number 850706) with its registered address at Office 907, 9/F, Kai Wong Commercial
Building, 222-226 Queen’s Rd., Central Sheung Wan, Hong Kong, SAR, PRC (hereafter "EG”); and

RECITALS:

1. WHEREAS, EG intends to establish a glass manufacturing company (hereafter “Target

Company”) in the People’s Republic of China (hereinafter “China”). The exact location, legal
form and shareholder structure of Target Company is to be decided based on discussions
with financial and strategic partners / investors; and

司”）。目标公司的具体地点，法律形式及股东架构将取决于财务及策略合作伙伴 /投

2. WHEREAS, The business scope of the Target Company is manufacturing of pharmaceutical

packaging made from high quality glass tubing; import/export service of self-produced and
distributed products and technology, except products and technology that are limited or
prohibited by the Country; and leasing self-owned real estate (based on the approval of
company registration department); and
鉴于，目标公司的经营范围是制造高品质玻璃管材用于医药包装；自产及分配产品与技
术的进口/出口服务，除了国家限制或禁止的产品和技术；出租自有不动产（根据公司
注册部门的核准）；且

3. WHEREAS, The Parties are actively and in close cooperation acquiring financial investors
for the Target Company; and

4. WHEREAS, Finder represents to EG that Finder may be able to introduce a third party or
parties who are potential qualified and capable investors (hereafter “Qualified Investors”)
interested in investing into the Target Company or in future EG offerings. This agreement is
intended to apply to EG’s current offering and to such future offerings of the Target Company
or its affiliates to the extent that EG requests the participation of Finder in any such offering.
鉴于，中间人向 EG 指出，中间人能够推荐第三方或多方，其为可能合格及有能力的投
资方（“合格的投资方”），有兴趣投资目标公司或未来的 EG 股份。这一协议适用于
EG 目前的股份及目标公司或附属公司的未来股份，在这样的范围内 EG 请中间人参与任
何此类的股份。

NOW THEREFORE, for and in consideration of the foregoing premises, the Parties hereto agree as
follows:

1. Introduction of Qualified Investors

引进合格的投资方

1.1. Finder shall have the non‐exclusive right to introduce prospective Qualified Investors to EG
who meet the minimum qualifications, are not already engaged by other Finders otherwise
engaged by EG, and who are not already known to EG. Finder shall confirm to EG in writing
that the introduction has been made within 10 days of such introduction.
中间人应有非排他性的权利为 EG 引进潜在的合格投资方,该投资方符合最低的条件,并
未与 EG 另外安排的中间人接洽过;而且不是 EG 已经知晓的。中间人应在引进合格投
资方 10 天之内书面与 EG 确认此引进。

1.2. The Finder shall engage with third parties to ascertain their potential as Qualified Investors.
The list of Qualified Investors (including affiliates and subsidiaries) for which Finder shall be
responsible and for which Finder shall coordinate the cooperation are identified in
Appendix A, which may be amended from time to time by agreement between the Parties.
中间人应与第三方确认其作为合格投资方的潜力。中间人应对清单中合格投资方负责 ,
且中间人应根据附件 A 的定义来协调合作, 附件 A 可能根据双方的协商不定时地修订.

1.3. The Qualified Investor may invest directly into the Target Company or indirectly through a
Financial Fund or Industrial Fund, the purpose of which is to aggregate investments into
the Target Company.
合格的投资方可能直接投资目标公司或间接通过财政资金或产业基金 ,目的是集合投
资注入目标公司。

1.4. In the event that a Qualified Investor listed in Appendix A, as may be amended, completes
an investment in the Target Company, Finder shall be compensated pursuant to the terms
of Clause 4 of this Agreement.
如果附件 A 清单中的合格投资方, 或有所修订,完成了对目标公司的一项投资,中间人应
根据本协议条款 4 取得补偿。

2. Legal Compliance. In connection with introduction to a Qualified Investor, Finder shall comply
with all applicable laws of its local jurisdiction. Finder understands that EG is making an
unregistered private placement offering.
法律规范.在引进合格投资方时, 中间人应遵循当地管辖区所有适用的法律。中间人知悉,EG
正在进行一项未登记的私募发行。

3. Acceptance of Qualified Investors. The decision to accept a Qualified Investor as an investor in

the Target Company is at the sole discretion of EG and is subject to all laws of the relevant
jurisdictions of Hongkong and/or China, completion of appropriate due diligence by EG, and the
terms of the offering documents.
合格投资方的接纳. 决定是否接受合格投资方作为目标公司的投资方完全取决于 EG 的考量
且受限于香港和/或中国大陆相关管辖区的所有法律，并且 EG 将完成适当的尽职调查及发
行文件中的条款。

4. Finder’s Fee 中间人佣金

4.1. In the event that a Qualified Investor is accepted by EG, and the Qualified Investor
completes an investment of at least RMB 20,000,000 (20 million Chinese Renminbi), then
EG shall pay, or shall arrange for Target Company or other affiliated entity to pay, to Finder
a fee (hereafter “Finder’s Fee”) equal to 2% of the first RMB 100,000,000 in invested
capital of the Qualified Investor, plus 1.5% of the invested capital above RMB 100,000,000.
如果 EG 接受一个合格的投资方，合格的投资方完成一项至少人民币 20,000,000 的投
资，那么 EG 需要支付，或安排目标公司或其他附属公司支付中间人佣金（“中间人
佣金”）等同于合格投资方第一笔投资资本人民币 100,000,000 的 2%，加上已投资资
本高于人民币 100,000,000 的 1.5%。

4.2. Finder’s Fee shall be paid within 15 business days following certification of the Qualified
Investor’s investment into the Target Company. In the circumstance where the investment
is made through a Financial Fund or Industrial Fund as described in clause 1.3, payment of
the Finder’s Fee will occur within 15 days following the fund investment into the Target
Company.
中间人佣金须在合格投资方注资目标公司后 15 个工作日内结清。如条款 1.3 描述,如
果透过财务资金或产业基金投资，中间人佣金将在资本投资注入目标公司后 15 天内
支付。

4.3. Net payments to Finder shall be reduced by the amount of marketing costs or down
payments advanced by EG to Finder, should there be any.
支付给中间人的净额应减去营销费用或 EG 给中间人的预付款, 若有此类费用的话。

4.4. Finder shall be entitled to earn compensation set forth above for each Qualified Investor
that may be introduced to EG directly by Finder. For the avoidance of doubt, this means
that Finder may arrange multiple Qualified Investors and receive the Finder’s Fee for each
completed investment which meets the criteria. In such circumstance, the calculation of
the Finder’s Fee as described in Clause 4.1 shall be inclusive of the aggregate value of all
such investments made by Qualified Investors provided by Finder.
中间人向 EG 直接推荐合格投资人,其有权取得每个合格投资方所对应的上述报酬. 为
免疑虑,这意味着中间人将安排多个合格投资方,并在每个符合标准的注资后取得中间
人佣金。在这种情况下,条款 4.1 所描述的中间人佣金计算须包含所有中间人提供的合
格投资方投资的总额。

4.5. Finder shall earn its commission for and in respect to affiliates of Qualified Investors, but
only if (i) such affiliates satisfy all the relevant conditions of this Agreement.
中间人可以挣取合格投资方子公司的佣金, 除非(i) 此子公司满足本协议的所有相关条
件.

5. Taxation. Unless otherwise agreed upon herein, each of the Parties shall bear respectively the
taxes regarding negotiation, execution or implementation of this Agreement or all matters that
this Agreement expects or that are relevant to this Agreement.
税款 除非另外对此约定，关于本协议的协商，签订或执行，或本协议可预期的所有事
务或与本协议相关的事务，各方应承担各自的税款。

6. Limitation of Finder’s Service:

中间人服务的限制：

6.1. This Agreement relates solely to Finder’s services rendered in providing EG with the name,
contact information, residence and citizenship of the Investor, copy of business registration
and translation of all relevant documents into English language, and source of Investor’s
funds.
本协议仅涉及中间人服务用于提供给 EG，投资方的名字，联系方式，住处和国籍，
商业注册资料副本及所有相关文件翻译成英语，投资方资金的来源。

6.2. There are no additional services that Finder is required to perform to be entitled to the
Finder’s Fee in the event an investment is completed. Finder represents and warrants that
it is, and will be, in compliance with any and all applicable laws and regulations and codes
of conduct governing its activities in finding the Qualified Investors and introducing EG to
the Qualified Investors, including but not limited to federal and state securities laws and
Securities and Exchange Commission rules and regulations.
如果投资完成，中间人无须履行额外的服务以获得佣金。中间人表示并保证，在寻找
合格投资方并推荐给 EG 的过程中将遵循任何及所有适用的法律法规与行为准则；包
括但不限于联邦和国家证券法律及证监局法律法规。

7. Other Responsibilities:
其他义务：

7.1. Finder shall not be responsible for the content of any information or documentation
supplied by EG. Finder shall be responsible for any of its own costs of marketing, travel
and overhead, except as otherwise specifically agreed upon in advance by EG and Finder.
Finder shall be responsible to compensate any third-party referral sources from the
compensation paid to Finder by EG.
中间人无须对 EG 提供的信息或文件内容负责。 中间人自行承担其营销费用,差旅费
用及间接费用,除非双方提前特别约定。中间人有责任用 EG 支付的报酬来支付任何第
三方推荐资源.

7.2. EG may, on a case by case basis, send its own staff to present at seminars, tradeshows and
meetings arranged by Finder at EG expense, which shall not affect the compensation paid
to Finder. Any disputes between Finder and other parties concerning which party has
made an introduction or earned a fee shall be decided by EG, which shall use its internal
records to determine which party first referred the prospective investor to EG in a

chronological order, however any Investors that are introduced by third party referral
sources introduced to EG by Finder, or Qualified Investors that were introduced to EG
tradeshows or events arranged by Finder are presumed to be Qualified Investors in respect
of which Finder has earned its fee.
EG 可根据实际情况,依中间人安排派遣员工参加讲座,展会和会议,费用由 EG 负责, 不影
响中间人的报酬。中间人与其他人关于谁介绍投资方或取得佣金有任何争执,结果应
由 EG 决定,EG 根据其内部记录按时间顺序决定哪一方先推荐潜在投资方。然而,中间
人通过第三方推荐资源引荐给 EG 的任何投资方,或者中间人推荐合格投资方到 EG 展
会或活动, 这种情况可以认为中间人可获得报酬。

8. Termination: This Agreement is terminable at will by any party hereto, upon 30 days written
notice to the other. However, Finder shall be paid for any Qualified Investors who was rightfully
arranged by Finder and introduced to EG prior to such termination and has thereafter invested in
the Target Company.
终止: 任何一方有权提前 30 天书面通知另一方终止本协议。然而,任何由中间人正当安排的
合格投资方,并在合约终止前引荐给 EG 及在其后投资目标公司, 中间人应取得相应报酬。

9. Rights of Creditors and Third Parties under the Agreement. This Agreement is entered into
among the Parties for the exclusive benefit of the Parties, and their successors and assignees.
The Agreement is expressly not intended for the benefit of any creditor of any party or any other
Person. Except and only to the extent provided by applicable statute, no such creditor or third
party shall have any rights under the Agreement or any agreement between the Parties with
respect to any Capital Contribution or otherwise.
债权人权利及合约中的第三方。各方签订本协议代表各方,继承人及代理人独有的利益。本
协议明确不代表任何一方或其他个人的债权人的权益。除非且只有适用的法规规定 , 此类债
权人或第三方在合约中或双方间的任何合约涉及任何资本投入或其他方面没有任何权利。

10. Currency Amounts. Unless otherwise indicated, all currency amounts in this Agreement refer to
Chinese Yuan (Renminbi, RMB, or CNY) or United States Dollar (USD).
金额 除非另外表明,本合约中的所有金额是指人民币(RMB or CNY)或美金（USD）。

11. Variation of Pronouns. All pronouns and any variation thereof shall be deemed to refer to
masculine, feminine, or neuter, singular or plural, as the identity of the person or persons may
require.
代词的变化 所有代词及任何变化应认为是指男性，女性或中性，单数或复数，作为所需
求人或人们的身份。

12. Confidentiality. With respect to all information received from EG, Finder agrees to hold all such
information confidential (and not distribute in whole or part to any other person), except in
furtherance of the execution of Finder's duties hereunder.
保密 关于从 EG 取得的所有信息，中间人同意对所有此类信息保密（并不向任何其他
人散布全部或部分信息），除非为协助履行中间人的职责。

13. Miscellaneous. 其他
13.1. This Agreement shall be governed by the substantive laws of Hongkong without regard to
conflict of law principles. This Agreement constitutes the entire understanding and
agreement between the Parties hereto and their affiliates with respect to its subject matter
and supersede all prior or contemporaneous agreements, representations, warranties and
understandings of such Parties (whether oral or written). No promise, inducement,

representation or agreement, other than as expressly set forth herein, has been made to
or by the Parties hereto.
本协议应由香港实体法管辖，不适用冲突法原则。本协议构成了完整的内容和双方的
协议以及他们子公司关于此主题，将替代所有先前或同时期的合约，陈述，保证及双
方的理解（无论口头或书面）。除了上述清楚的陈述，各方没有做出任何承诺，诱导 ，
陈述或合约。

13.2. This Agreement is entered into in the English language. For the clear understanding of the
Parties this Agreement may or may not include text translated into Chinese Mandarin
language. In case of discrepancy among the versions, the English language version shall
prevail.
本协议以英文撰写。为各方的清晰理解，本协议有可能包含翻译成中文的文本。若版
本之间有分歧，应以英文版本为主。

13.3. This Agreement may be amended only by a written agreement, signed by the Parties to be
bound by the amendment. This Agreement shall be construed according to its fair meaning
and not strictly for or against either Party. If any provision of this Agreement is held to be
invalid, the remainder of this Agreement shall not be affected thereby. This Agreement
may be executed in several counterparts, each of which shall be deemed an original, but all
of which shall constitute one Agreement binding upon the Parties hereto, notwithstanding
that all of the Parties are not signatory to the same counterpart.
本协议可能以书面协议的方式进行修订，双方签订后受修订内容约束。本协议应体现
公平,不可对一方严苛或不利。如果合约的任何条款无效,合约的余下部分不应受影响。
本合约可能以多个副本执行, 每一份应视为原件, 所有的副本应组成一份协议对各方具
有约束力, 尽管各方的签署不在同一份副本上。
