The Vendor or the TSCB shall not be liable for default or non-performance ofthe obligations nde the contract, if such default or nom-performance of the obligations under this contact js caused by any reason of circumstances or occurences beyond the contol ofthe Vendor or ~ qhe TSCB, ie: Foree Majeure. Notwithstanding above, the decision of the Bank shall be final and binding onthe Vendor. 7.38 Jurisdiction All disputes would be subject to Indian laws and jurisdiction, and settled al courts in Agartala (Tripura only. 7.36 Indemnity 7.36.1 The Vendor shall indemnify, protect and save the TSCB against all dams, losses, eos, damages, expenses, action ats and other proceedings, resulting ftom any actions of the ‘employees or sub-contractors agents ofthe Vendor.” 7.362 The Vendor shall indemnify, protect and save the TSCB sainst all claims, losses, costs, damages, expenses, action suits and other proceedings, resulting from nffingement of any law pertaining to patent, trademarks, copyrights ete. or such other statutory infFingements in respect of al hardware and sfiware used by them. 7.57 Payment Terms Schedule - A > 50% of the ATMSCDs will be paid on the Delivery of the Equipment and submission of Invoice / Delivery Challan from concemed Bank branches. > 50% of the ATMs/CDs will be paid on the successful Installation and User Acceptance Testing (UAT) ofthe Equipments.
