DeIendants adidas AG and adidas America. Inc. (collectively 'adidas¨)
respectIully move this Court to dismiss plaintiII Riedell Shoes Inc.`s ('Riedell¨)
declaratory iudgment action. or alternatively. to transIer this case to the District oI
Oregon.
As articulated more Iully in the accompanying Memorandum in Support. adidas`
pending direct trademark-inIringement action against Riedell in the District oI Oregon is
the proper Iorum in which to litigate this dispute. This Minnesota DJ Action was an
improper anticipatory Iiling. Thus. compelling circumstances warrant dismissing it or
transIerring it to Oregon. Although this Minnesota action was the Iirst-Iiled (by one day).
compelling circumstances iustiIy not Iollowing the Iirst-Iiled rule in this case. adidas
sent Riedell a letter on January 25. 2011. demanding that Riedell cease selling its
inIringing two-stripe Iootwear. adidas`s letter made clear that iI the matter was not
resolved within ten days. adidas would take legal action to enIorce its rights. Without
responding to adidas`s letter. Riedell raced to this courthouse and Iiled a preemptory

Complaint seeking a declaratory iudgment oI non-inIringement on February 2. 2011 (the
'Minnesota DJ Action¨). The next day. adidas Iiled a direct trademark-inIringement
action against Riedell in the United States District Court Ior the District oI Oregon on
February 3. 2011 (the 'Oregon Action¨).
Because Riedell (i) knew oI adidas`s intent to Iile suit and (ii) Iiled the Minnesota
DJ Action as a preemptive strike against adidas to thwart its choice. as the natural
plaintiII. oI Iorum. the Minnesota DJ Action should be dismissed or transIerred to the
District oI Oregon in the interest oI iudicial comity.
