review, subject toa satisfactory report on the merits of the projects provided by you, I am
pleased toinform you that your project is eligible for funding and we will be pleased to
arrange for your funding.

Themain terms of thefunding are detailed on the attached Term sheet, which will form the
basis of theloanagreementandarrangementsforthelendingoffers. Shouldyouneed further
clarification on these terms, or wish to discuss any changes, please let us know. This Term
Sheet is not to be construed as the legally binding agreement and any loan offer will be
subject to completion of a satisfactory review of the project to be funded, due diligence and
contract and supersedes and replaces any previous issued Term Sheet in its entirety.

As soonasyou arereadytoproceed,youmustreturnasignedcopyof theTermSheet.Youwill


then submit all the loan filling documents to be listed and an appointed fiduciary agent will
commence work on set up of the Lending SPV and document pack and will provide you with
draft loan documentation and associated agreements for your review. Proof of cash or
assets fromathird party will need to be provided prior to execution of the final Agreements.
Upon execution of the final Agreements, the process of the loan generation can commence.

Cost Budget account

Principal Repayments Principal is to be repaid in full as a lump


sum at the loan expiry. Early repayments, full
or partial, are permitted without charge or
penalty.

Interest Rate The interest rate is fixed for the term of the
Loan at 3% per annum.

The Borrower is not required to provide a


Proof of cash or assets bond
subscription. Or theBorrower is required
to
provide thirdpartyverification of cash or
assets
equal to or greater than one tenth of the
amount
of the loan
required.

The Lender requires first charge security over


some or all of theassets of theTransaction, or
at the Lender’s discretion alternative assets

As security, and may require further
security and/or guarantees.
The Loan is offered without recourse to the
Borrower unless specific
Security (Asset Collateral) guaranteesarerequired from the Borrower.
At all times the maximum Loan to Value ratio
will be 100%. There is flexibility over the
assessment of Value, including avaluation
based on future values andexpectations, an
LTV breachbasedon current asset values at
any point will therefore not
automaticallytrigger a breach of loanterms.
Any undertakings, representations and
events of default will be appropriate for a
facility of this type, including step-in rights
into the administration and management
contracts and all assets held in the
Transaction.

In the unlikely event that only part of the total


Loan has been made available tothe
Borrower and the Lender cannot lend the
remainder, the Lender will step down to a
Junior Lender position if the Borrower needs
tosource further Senior
Debt.
Fees, Charges and Commissions Introducer’s Commissions is 1.5% of the
loan amount will be payable
automatically tothe
introducers by the Lenders.
There are no Exit or Repayment fees or
Exit and Repayment Charges charges for either early repayments or
scheduled repayments.

Capital Source will take a 10% equity share


Equity Share as part of collateral for the duration of the
investment, such shares would be returned
at the termination of the loan contract.
These
shares will be explicitly identified as
collateral shares.
Statutory requirements for a borrower loan
submission, the Borrower is required to provide
an independent report that provides an
overview of the merits of the project to be
funded, commentary on the experience and
track record of the management team with a
cash flow forecast for review prior to the
Issuance of the loan terms. Upon successful

review, the Borrower isrequiredto providethe

the Lender
