by HGIEL free of cost at a single point, rest all arrangements for curing (Pump, Hessian cloth,
labour) shall be in Sub-contractor's scope.

HGIEL'S Scope:
1) Excavation for the culvert and compaction of the bed (after levelling and dressing of soil done by

within 15 Days of the issue of W0, otherwise additional 5% recovery will be made from each

Tax Invoice as per Rules and it should be duly accounted in Subcontractors books before
closure of respective tax periods.
e) Subcontractor is liable to upload details of outward supply made by him at GSTN Portal after
due confirmation of detail from HGIEL before closure of respective tax periods. If in any case
credit will not be shown at 6STN form 2A against our GSTN then Subcontractor is liable to
make the loss good (including towards interest and penalty if any) and it will be recovered
from the subsequent bill to be made.

F. STATUTORY APPROVALS, COMPLIANCES WITH LOCAL LAW, INDEMNITY & LIQUIDATED DAMAGES:
1) The Subcontractor shall comply with all applicable permits, licenses and approvals in accordance
with Applicable Laws in the performance of its obligations, duties, responsibilities or liabilities
under this Work Order. Subcontractor is also required to comply with all prevailing statutory
provisions, enforces in respect of all employees/labours on the Project such as Minimum Wages
ACt, ESI ACt, Payment of wages Act, EPF Act, Employees compensation Act, Contract labour
(regulation and abolition) Act, Payment of bonus Act, Equal remuneration Act, Maternity benefit
Act, etc. Further the subcontractor agrees to comply air, water, environmet laws and laws

2) Subcontractor confirms that in case of any breach and/or failure and/or negligernce on its partin

3) The Subcontractor shall indemnify and keep indemnified HGIEL against all losses and claims for
injuries or damages to any persons or any property what-so-ever it may arise out of or
inconsequence of the construction and maintenance of the works and against all claims demands
proceedings damaged cost charges and expenses what so ever in respect ofin relation thereto.
4) In case the Subcontractor fails to make payment either to its suppliers, labours or to any other
persons, agencies firms etc. who have done work or supplied material, services etc. to
Subcontractor for the Project, HGIEL shall have right to make payment directly to such persons,
agencies, firm etc. after verifying the amount payable and same will be recovered from the
amount payable to the Subcontractor.
5) t is agreed and understood that, as between the HGIEL and the Subcontractor, the legal
relationship is strictly on a principal to principal basis. Nothing is deemed to constitute or imply
any other legal relationship such as principal-agent, master-servant or otherwise. It is expressly
agreed that there shall be no principal-agent, master-servant or any other relationship between
the HGIEL and the Subcontractor under this Work Order and no representation toanysuch effect
would be made by the Subcontractor to anyone. The Subcontractor shall indemnify HGIEL against
any claims, expenses, liabilities and losses and for any third party claims regarding and/or arising
under or in connection with the relationship and/or misrepresentation thereby by the

entity. The Subcontractor shall at time hereinafter use any technical information or

intellectual property, in relation to this Subcontract and the Main Contract. The Subcontractor
shall not have the right to advertise or otherwise permit the dissemination of publicity
concerning this Subcontract. This Confidentiality obligation shall survive 3 years after expiry or
termination of this Work Order.

8) The Subcontractor represents, warrants and confirms to HGIEL that:


a) it is duly organized and validly existing under the Laws of India and has full power and
authority to execute and perform its obligations under this Work Order and to carry out the
transactions contemplated hereby;
b) it has taken all necessary corporate and other action under the Applicable Laws and its
constitutional documents to authorize the execution, delivery and peormance of this Work

in the breach of or constitute a default of the Subcontractor under this Work Order or which
may result in any material impairment of its ability to perform any of its obligations, duties,
responsibilities or liabilities under this Work Order;
e) It has no knowledge of any violation or default with respect to any order, writ, injunction or
decree of any court or any legally binding order of any Government or Government
Instrumentalities which may result in any material adverse effect on its ability to perform its
obligations, duties, responsibilities or liabilities under this Work Order and no fact or
circumstance exists which may give rise to such proceedings that would adversely affect the
performance of its obligations, duties, responsibilities or liabilities under this Work Order;

any fines, penalties, injunctive relief or any other civil or criminal liabilities which in the
aggregate have or may have a material adverse effect on its ability to perform its obligations,
duties, responsibilities or liabilities under this Work order.
8)No representation or warranty by the Subcontractor contained herein contain any untrue
statement of material fact or omits or will omit to state a material fact necessary to make
such representation or warranty not misleading;

G. SAFETY & INSURANCE:


1) Subcontractor shall be fully responsible for the security of its manpower, materials (contractor's
assets), material (issued by HGIEL), equipment's and entry in or around the project site.
Subcontractor also responsible to provide accommodation, food and other required amenities at
its cost its manpower, if required. Subcontractor shall arrange water, electricity etc. as required
executing the work from its source.
2) Insurance of personnel and material of the Subcontractor shall be taken by the Subcontractor at
its own cost. Subcontractor's labours should be responsible for work with maintaining safety of
his own, of other HGIEL Staff as well as of other Road users while working at site. Any Damages
occurred due to Accident while working at Site by Subcontractor, same should be
compensated/repaired/ restored by Subcontractor at their risk & cost.
3) PPE's will be provide by the Subcontractor to it's all the staff and used by them by while working
at site.
4) In-case the Subcontractor fail to provide PPE's the same will be provide by the HGIEL and cost
plus 10%will be deduct from the Subcontractor. HGIEL Supply rate PPE's are as followS:
Helmet for workers Rs. 71 per Nos.
b) Jacket- Rs. 110 per Nos.

c)Safety Belt/Full Body Harness-Rs. 1200 per Nos.


5) If any safety violation has to be found by HGIEL or our client, penalty will be imposing which shall
beRs.5000/- per occurrence: and in that case HGIEL supply PPE's and cost will be deducted as
above.
a) Step 1- Warning Memo (2 Times).
b) Step 2 Rs. 5000/- per occurrence.
c)Step 3-1% Bill deduct ofthat day

H. DISPUTE RESOLUTION:
1) All disputes arising between the parties as to the interpretation, operation, onffect of any clause
in this work order or any other difference arising between the partieswhichcannot be mutually
resolved, shall be referred to the arbitration. The arbitrator shall be spahbitratgr as nominated
by Chairman/Managing Director of HGIEL, The decision of such an arbator shaibe binding on
the parties.

2) If the Concession Agreement between Authority and Concessionaire will terminate, the HGIEL
shall terminate this Work Order by giving 10 (ten) days Termination Notice to the Subcontractor.
If Subcontractor fails to fulfil its obligations stipulated in this Work Order, in that case the HGIEL
shall be free to terminate this Work Order by giving 10 (ten) days termination notice to the
Subcontractor.
3) This Work Order is subjected Indian Laws and Jaipur (Rajasthan) Jurisdiction.

This Work Order is issued in two copies of equal status and strength. Please return one copy duly
signed at your end in token of your acceptance.
