鉴于甲方开具境外 MT103 的方式投资,乙方福州嘉信房地产有限公司名下的

广西省平南县六社金矿 51%股权做质押，由乙方银行办理抵押贷款，为此双方
达成协议如下：
As Party A will issue an available oversea SWIFT MT 103 for and
by the pledge of 51% stake of Liushe Gold in Pingnan County, Guangxi
Province, which belongs to Fuzhou real estate Co., Ltd , and it will help
Party B get a mortgage loan from the bank, for which both parties
agree as follows.

一、 合作方式：
甲方负责开 MT 103 投资的方式，乙方用福州嘉信房地产有限公司名下的广西省
平南县六社金矿的勘探权（勘探权许可证编号：T45120081202019199 ）的
51%股权做质押担保的方式进行合作。甲方分批从境外开出永不撤销的面额 5 亿
美元的 MT 103 供乙方运营项目抵押贷款使用，乙方根据甲方开出的 MT 103 备
用信用证上的实际面额在接证银行贷出款后(备注：按接证银行放款当天的美元
兑人民币汇率),和甲方各自使用 50%的金额，另外接证银行贷款的通道费及其
他费用共需总额的 25% 。甲乙双方需各自承担支付 12.5%的费用。到期还款时，
乙方因只使用 50%贷款，，所以只需按乙方接证银行实际接收 MT 103 面额的
50%还款。甲方承诺可供乙方在中国或其他国家运营项目循环使用 3 年，在此期
间甲方不干预乙方对项目资金的投资运作。
，如甲方没有开足 5 亿美元面额的 MT 103，则以乙方接证银行实际确认到账的
MT 103 面额为准按比例划分部份股权作抵押担保。
I. Cooperation mode:  
Party A is responsible for the Swift MT 103 mode of investment, and
Party B cooperates with Party A by the pledge of 51% stake of the
exploration right (exploration license number:T45120081202019199 )
Liushe Gold in Pingnan County, Guangxi Province, which belongs to
Fuzhou real estate Co., Ltd. Party A will invest partially bill USD $500
million’s Swift MT 103 from overseas with never withdraw .It can be
used by Party B to operate project mortgage loans. After Party B gets
loan from the receiving bank according to the actual amount of party
A’s Swift MT 103 (Remarks: the exchange rate of the United States
Dollar against the RMB is in the day of the bank loan),each side will use
50% of the amount, and In addition. And the total amount of access
fees of receiving bank and other charges is 25%, so each side need to
pay 12.5% fee. When the payment date arrives, Party B only
uses 50% of loans, so it need to pay 50% of the denomination of Swift
MT 103 the Bank actually receives. Party A promises it can be used to
operate project in China or other countries by Party B for 3 years in
cycle /automatic roll over (ARO). During that time, Party A will not to
interfere Party B for the project fund’s investment and operation. If
Party A doesn’t bill Swift MT 103 USD $500 million in full, It will
receive partial stake according to the proportion of the actual Swift
MT 103 amount received by the receiving bank of Party B.

二、 票据概述：

States Dollar.（ 500，000，000.00 United States Dollar）. Party A will
partially operate in turn. The amount of Swift MT 103) from party A
accepted by Party B should be according to the actual amount received
by the issuing bank of Party B.

3 使用期限：3 年

出。

三、 双方责任和业务：
III. Responsibilities and duties of both parties:

甲方： 1. 甲方依次分批操作开出境外永不撤销的由 SWIFT 开出来的 MT

103 供乙方抵押贷款用。
1. Party A: Party A partial will issue never withdraw from
overseas with by the TELEX TRANSFERRED (TT) to prescribe
Swift MT 103. for Party B operation project mortgage loan.

2. 甲方开出的 MT 103 是符合乙方指定贷款银行确定的有效版本。

2. Party A issues a Swift MT 103, which should be ensured
that the verbiage is the valid version provided by Party B’s
appointed bank for the mortgage loan

3. 甲方开出的 MT 103 必须由接证银行确认无误可用于担保贷款。

3. Swift MT 103 issued by Party A should be confirmed by the
receiving bank that this Swift MT 103 is able to be applied for the
mortgage loan.

4. 乙方所提供的银行信息必须是准确。
4. The bank information provided by Party B must be accurate.
5. 乙方用广西省平南县六社金矿 51%的股权为甲方 MT 103 开出 5
亿美金做质押担保
5.Party B Will use liushe Gold,in pingnan County,Guangxi
province,as 51% equity pledge guarantee for USD $500 Millions Swift
MT 103 of Party A
6. 甲方提供如下文件： （1）营业执照；（2）法定代表人护照

(4) The route and the coordinates of the receiving bank (5)
Passport of the enterprise owner.

四、付款方式
1.甲方开出经由 SWIFT 发过来的 MT 103 必须由接证银行确认无误可用于担保贷
款，乙方根据甲方开出 MT 103 的实际面额在银行贷出款后，和甲方各自使用
50%的金额，另外接证银行贷款的通道费及其他费用共需总额的 25% 。甲乙双方
需各自承担支付 12.5%的费用。乙方根据甲方提供的账号将属于甲方的金额（扣
除银行通道费后）一次性付清给甲方。
IV. Payment method
1.Swift MT 103 issued by Party A must be verified by receiving
bank that it is correct and available as the pledge for the mortgage
loan. After Party B gets loan from the receiving bank according to the
actual amount of Party A’s Swift MT 103. Each side will use 50% of the
amount, In addition, the total amount of access fees of receiving bank
and other charges is 25%, so each side needs to pay 12.5% fee. Party
B shall pay Party A a one-time payment which belongs to it in
accordance with the account provided by Party A.

五、还款金额：
到期还款时，乙方因只使用 50%贷款，，所以只需按乙方接证银行实际接
收 MT 103 面额的 50%还款。
V. When the payment date dues, Party B only uses 50% of
loans, so it need to pay 50% only of the denomination of Swift MT 103
the Bank actually receives.

六、操作流程及时间：
VI. Procedures and time:

1. 甲方确认乙方提供的接证银行的有效 MT 103 版本。

1. Party A should confirm the verbiage is the valid version provided by
Party B’s appointed receiving bank for the mortgage loan

2. 甲乙双方在签订合同之日起，甲方承诺在签订合同之日起陆续分批开出面额
500,000，000.00 美元的 MT 103。其中第一笔 75,000,000.OO 美元（ 7 仟 5 佰万
美元）在 7 个工作日内签发到达乙方指定银行并由乙方进行确认，剩余的
425，000，000.00 美元（4 亿 2 仟 5 佰万美元）MT 103 备用信用证，每一笔到
账面额经由乙方指定的接证银行确认为准，并全部操作完毕。
2. Party A commits to practically make a Swift MT 103.of USD
500,000,000.00 after signing the contract. The first USD 75,000,000.00
(USD$75,000,000.00) will be issued and arrive at the seller's nominated
bank within 7 banking days and should be confirmed by Party B, when
the remaining Swift MT 103.of USD425,000,000.00
(USD$425,000,000.00) is issued every account should be confirmed by
the receiving bank appointed by Party B, and all the operation will be
completed.
3. 该 MT 103 一年期满时，乙方如需延期，乙方必须提前向甲方申请延期。
3. When the valuing period of the Swift MT 103 comes to the end,
if Party B desires further extension, Party B must apply an extension
from Party A beforehand.

七. 甲方保证用于办理委托贷款的资金来源合法，且该资金用于办理委托贷款
不

违反任何国家和地区法律的规定。
7. Party A promised the source of capital is legal without violating any
national and regional laws and regulations.

八. 双方同意按每批交易时程来进行操作一直到完成为止。
8. Transaction to continue as per mutually agreed tranche
schedule. Procedures are to repeat until contract, collateral or fund
become exhausted.

九. 借款方应确保在债务清偿前，所有质押权利持续合法有效、质押手续合
法有效。
9. The borrowers shall make sure that all the pledge right and
procedure are valid until the debt is paid of

十. 保密 confidentiality
10.1 本合同各方在履行合同过程中，从对方所获得的有关对方的商业秘密，
未经对方同意，不得向任何第三方披露。但是双方聘请的律师、会计师、审计师、
评估师或根据法律规定要求提供的除外。
10.1 On the performance of the contract, without the consent of the
other party, the parties to this contract shall not disclose the
commercial secret to any third party, except the lawyer, accountant,
auditor, appraiser or others required by law.
十一. 在争议解决期间，若该争议不影响本合同其他条款的履行，则该其他条
款应继续履行。
11. In the settlement of dispute, if the dispute does not affect the
performance of the other terms of the contract, the other terms
shall continue to perform.

十二、 此处的所有签名者都确认他们已读懂了前述协议，并用他们姓名的首字
母签字，他们代表各自的签字方，拥有执行文件的完全、完整权力。
12. All Signatures here to acknowledge that they have read the
foregoing Agreement and by their initials and signature that they have
full and complete authority to execute the document for and in the
name of the party for which they have given their signatures.

十三　法律适用及争议解决 Legal application and dispute settlement

13.1 本合同适用中华人民共和国香港特别行政区法律。
13.1 This contract shall apply to the law of the Hongkong Special
Administrative Region of the People's Republic of China.

十四.　通知条款 Notice Clause

若甲、乙任何一方在本合同履行过程中变更本合同所记载的联系方式，应当
及时以书面方式通知对方。否则，甲、乙任何一方按对方变更前的地址、经办人
等向对方发出的通知适用本条第一款的规定。
14. In the course of the performance of the contract, If any party
change the contact information of the contract, it shall be notified in
writing to the other party timely. Otherwise, any notice given to any
party in accordance with the contact information listed in the contract,
is suitable to the provisions of the first paragraph of this article.

十五. 本合同各方就本合同给对方的任何通知（包括法院诉讼文书等），均应
按本合同所记载的联系方式送达对方。若为电子邮件方式，于发出之日即
视为已送达对方；若为信函，于投邮之日起第三日即视为已送达对方。
15. Any notice (including the court proceedings, etc.) shall be
delivered to the other party in accordance with the contact
information of the contract. If by email, on the day of issuing is
deemed to have been served on the other side. If by letters, on the
third day after posting, is deemed to have been served on the
other side.

十六. 未尽事宜 Matters not covered

16.1 本合同未尽事宜，由本合同各方按有关法律协商解决。
16.1 Matters not covered in this contract shall be settled by the
relevant law.

十七. 本合同在履约过程中，各方可以根据本合同的安排另行签订具体协议，
具体协议为促成本合同交易的顺利实施而设置，若具体协议约定和本合同约定
不符的，以本合同该约定为准。
17. In the course of the performance of the contract, the parties may
enter into a specific agreement according to the arrangement of the
contract. The specific agreement shall be set up for the smooth
implementation of the contract. If the agreement is not in conformity
with the contract, the contract shall prevail.

十八. 合同的生效 Effectiveness of the Contract

18.1 本合同生效条件为：甲、乙方授权代表签字并加盖公章。

seal made by the authorized representatives of Party A and B.

十九 . 甲乙双方在网上签署本协议（视同正式签约），一经签字盖章即产生法
律效力。
19. Both parties sign this agreement through internet (it to be
considered as formal agreement signing), and it will become legally
bound once it is signed.

二十　合同文本 contract
20. 本合同正本壹式两份，甲方执壹份，乙方执壹份，具有同等法律效力。
20. This contract is done in TWO copies, Party A holds ONE copy and
Party B holds ONE copy. with the same legal effect.
