5. A partner assigned (sold) all his interests in the partnership.

By that alone, is the

partnership dissolved? Reason out your answer. What then are the rights by law, of the
assignee in the management of the business of the partnership?
 According to state laws and as provided by the general provisions, they would
view the original partnership as dissolved when a partner sold all his interest in
the partnership and it made changes to the business. Then, by the rights of the
law, the assignee in the management of the business can decide whether they
would continue the partnership with the remaining partners and the new ones or
not.
6. A managing partner engaged in fish trading purchases blocks of ice at twice the
prevailing price through fraud in conspiracy with the ice plant owner. Decide on whether
the purchase contract is valid, voidable, unenforceable or void. Give the legal basis of
your answer.
 According to Article 1818, every partner is an agent of the partnership for the
purpose of its business when authorized by other partners unless they enter into
a compromise concerning a partnership claim or liability. Therefore, it is voidable.
It can happen because it is a part of their business transaction but can be
contradicted by other partners as it compromises the partnership.
