Introduction. Azerconnect LLC provides wide range of services in line with international standards in
the areas of telecommunication, information and communication technologies and high technology since
2013.

Project. RFP 20-043 for tires purchase

General conditions of RFP. By replying to this Request for Proposal (RFP) bidders acknowledge that
this RFP is not a contract and bidder responses to this RFP do not commit Azerconnect to any course of
action resulting from its receipt. Azerconnect is committed to transparent selection and feedback process
but reserves the right to cancel this RFP at any time. All costs of preparing and submitting the bid
proposal are borne by bidders. The language of this RFP and bidder responses is English and the Metric
system shall be utilized for all weights and measures.

Sourcing platform. Azerconnect uses Promena eSourcing platform that allows bidders to safely submit
proposals locked until the deadline time has passed (digitally closed envelopes). For transparency,
bidders are requested to send all questions and files through Promena – sending by email or other means
may lead to bidder disqualification.

Non-Disclosure Agreement. As this RFP contains confidential information, we request bidders to sign
and send us back the attached Non-Disclosure Agreement. If you already sign an NDA with us, please
attach a copy.

Technical proposal. The attached RFP requirements and SOW should help you construct your technical
proposal. Please ensure you provide responses to all requirements. We appreciate all information you can
provide - if you want to provide additional information not requested in this RFP please include it as
separate annexes clearly marked as “supplementary information”. For the avoidance of doubt, such
information should not substitute the requirements of this RFP.

In case if you have any questions related to Technical Requirements, please, submit them in the
Questions-Answers Form attached below within the timelines indicated.

Please describe if you are planning to assign any portion of the work to other partners / subcontractors.
Please also include references from at least 3 previous customers.

Commercial proposal. We promote and reward transparency. Your commercial proposal should be as
detailed as possible, describe all your costs to deliver the scope of this RFP and comply with our contract
terms. Specifically, our payment terms are 30 calendar days from receipt of invoice and supporting (end
user accepted) delivery acts and other relevant payment documents. Take into consideration that
deviations from our standard payment terms may lead to bidder disqualification. For provision of
Commercial proposal, please, use Price Book attached. Commercial Proposal shall be provided in separate
file in excel format.

Contract. Azerconnect is planning to use the attached contract template with the winning bidder. By
submitting your bid proposal, you agree to the terms of this template contract. Please note that any
deviations from our standard contract terms and conditions may lead to bidder disqualification.

Vendor profile. We welcome all new companies that are ready to work with us. Bidders who have not
yet worked with Azerconnect are requested to fill out attached Bidder profile and send together with their
technical proposal. Please note there is a legal requirement for local vendors that Company’s charter,
TIN (Tax Identification Number), extract from the State Register of the legal entities - all these
documents should be confirmed and stamped by state notary, copy of order / or decision on company’s
director appointment, should be stamped and signed by company’s directors or HOD HR, or Chief
accountant. For foreign vendors we request to submit Certificate of Incorporation, Articles of
Association, Memorandum of Association and / or Good standing certificate, Certificate of Insurance.

Bidder shall immediately disclose to Azerconnect the information about existence of its
business representation or activity directly or through the affiliated or sister companies,
branch or representation offices, partnership or joint activity in the territory of the Republic
of Armenia and/or Nagorno Karabakh region of the Republic of Azerbaijan. Azerconnect
reserves the right to quit the participation of the bidder in this RFP or terminate the
subsequent contract with such bidder at any stage immediately without notice in case if
Azerconnect becomes aware of such facts, provided that the bidder failed to make the
disclosure earlier, as required in this RFP.

RFP timeline. Please note Azerconnect needs time to answer your queries, ensure to send them
sufficiently before the RFP deadline. We would appreciate your early confirmation that you will participate
or a notice that you won’t participate. Below is the timeline we ask you to abide by:

The above timeline provides you with the opportunity to ask questions, time for Azerconnect to answer
them, and time for you to incorporate the answers into your final response. Please, send final response
sufficiently in advance of RFP closing – Promena keeps proposals automatically locked from anyone until
the RFP closing time.

RFP results. We are looking forward to receiving your best bid proposal. If your bid proposal is not the
best, Azerconnect LLC, in its absolute discretion, but without being under any obligation to do so, may
offer a debrief meeting to explain the rationale behind our selection (without disclosing any commercial
information) and provide our feedback.
