 Terms of Sale & Warranty
The prices of the goods are those established in the price list in force on the date of drawing up this contract
and which the Buyer declares that he knows and approves the price list in force and cancels and nullifies all
previous ones. Beninca Automations Private Limited (Supplier) reserves the right to alter the price list at
any time, notifying the Buyer accordingly. Purchase orders shall be sent in writing, via e-mail or fax by the
Buyer and the Supplier will acknowledge the same. The purchase order is considered accepted by the
Supplier only when the Buyer confirms it in writing. The Supplier shall use all their best endeavours to
execute the orders confirmed. Transportation delays, strikes without prior warning, interruptions of transport
& communications, scarcity of power supply whatsoever may not give grounds for claims for damage or for
cancellation or reduction of the purchase order by the Buyer. The goods despatched are at the Buyers own
risk, even when transportation is paid. No claims are acceptable after 7 days from the receipt of goods. In no
way can the Buyer give grounds for the cancellation or reduction of the order nor for the payment of any
indemnity for damages. Any return of goods for credit must be authorised before hand by the Supplier and
the goods must be sent transportation paid. The warranty offered by the Supplier has duration of 12 months
from the date of Invoice and is limited exclusively to the repair or replacement, free of charge, of any part
acknowledged by the manufacturer as faulty due to the lack of essential qualities in the materials or to errors
in workmanship. The warranty does not cover any damage or fault due to external agents, insufficient
maintenance, over loading, manual wear, choice of the incorrect type, errors in assembly or other causes
which cannot be attributed to the Supplier. Accidents or any damage suffered by any person or thing, of any
kind whatsoever caused by the products cannot be attributed to the Supplier. It is agreed that the Products
delivered remain the sole property of the Supplier until full payment is received from the Buyer. The Buyer
shall pay the Supplier the total amount outstanding on due date or whichever may be the terms previously
agreed. Failure to pay shall directly involve the discontinuation of deliveries. In any case it is understood that
any delay in payment in respect of the due dates shall involve the Buyers obligation to pay the interests
accrued, at the official interest rate. All costs covering the installation and assembly of the equipment
ordered shall be exclusively borne by the Buyer. The supplier shall not be held responsible for the
installation and assembly work made with their equipment. In any case, the warranty covers exclusively the
defects of materials of production & shall in no case involve the Supplier’s obligation to refund any direct,
indirect or consequential damage suffered by the Buyer or by third parties and shall not entitle the Buyer to
interrupt or postpone payments. The warranty shall be valid and effective only if the Buyer’s payments are
regular. For any disputes that may arise, the disputes shall be brought before the court in Bangalore (India)
which is the only place of jurisdiction, therefore excluding absolutely any other court, whichever may be the
place where the contract is executed.
