E£QAQ' SOTO’ SISKE AMENDED BY-LAWS. OF PHILIPPINE ATHLETICS TRACK AND FIELD ASSOCIATION (PATAFA), INC, (FORMERLY: PHILIPPINE AMATEUR TRACK AND FIELD ASSOCIATION, INC.) (As amended on February 10, 2015) ‘Name of Corporation ARTICLE 1 NAME AND NATURE OF THE ORGANIZATION Section 1. Name of the Corporation. The name of the Corporation shall be the PHILIPPINE ATHLETICS TRACK AND FIELD ASSOCIATION, INC,, hereinafter referred to as “PATAFA,” In accordance with the IAAF Constitution, athletics is defined to include track end Meld, road running, race walking, erass country running and mountain running. Reference therefore to track and field means reference to athletics a defined by'the ti. The words “tracks and field” and “athletics” shall be used herein interchangeably. : ae PATAFA is afflated with the IAAF and with the Asian Athletics Association through the IAAF. PATAFA recognizes, accepts, applies, observes and abides by the Current Constitution, Rules and Regulations of the IAAF and the Asian athletics ‘Assocation and any future amendments thereof. Section 3. Functions. PATAFA shall promote, supervise and guide the conduct and development of athlaties throughout the Philippines and shall: Bo ere SUCH powers granted to National Sports Associations under Section 13 of Republic Act No, 6847, such as: at to adopt a Constitution and by laws not inconsistent with the Constitution and by laws of the Philippine Olympic Committee; 2.2 to raise funds by donations, benefits and other means for PATAFA’s Durposes; 2.3 to purchase, sell, lease or otherwise encumber property, real or Personal, for the accomplishment of PATAFA’s purposes; 1 vama’ SAT’ B29S6E 2-4 to conduct competitions for the promotion of the athletics; 2.5 to appoint its representative to the Philippine Olympic Committee; 6 to decide all questions on the amateur status and discipline of the athletes and officials connected with PATAFA as well as the members thereof and all disputes between members; 2.7 to adopt, in coordination with the Philippine Olympic Committee, 2” training program for the development of the athletes and their Preparation for international competitions; 2.8 to select the athletes, coaches and other officials for PATAFA’s National teams taking into consideration not only their athletic abilities but also their cisciptine, moral character, aptitude and attitude; 3.9 to keep accurate records of all officials marks, scores and results attained by the athletes in the associations in all competitions, as well 38 all results of sports competitions, recognize and confirm the same ‘and furnish copies thereof to the Philippine Olympic Committee; 2.10 to qualify and license referees, umpires and other game officials who shail officiate in competitions in athletics; and i 2.11 to perform such other acts as may be necessdry for the proper ‘accomplishment of PATAFA’s purposes. b. cause the entry of all track and field athletes in international competitions except for 10C-related competitions in which case, IOC accreditation shall be obtained; © on cmdinate and cooperate with the POC at all time regarding Philippine Participation in the Olympic, Asian, and Southeast Asian Games and other International tournaments under the umbrella of the IOC: g. collaborate and coordinate with the IAAF, the Asian Athletics Bpsocation (AAA) and the Southeast Asian Athletic Association at all times regard ng Philippine participation in all IAAF, AAA and Southeast Asian Athletics Association Competitions and accredit all participating athletes in all such competitions, © accredit coaches and officials to ensure that IAAF standards are met; f. comply with IAAF tournament practices, rules and protocols; 9. ne hiepare of Four-Year Plan for the development of track and field to be monitored periodically and to be reviewed and adjusted over a four year Planning eycle; 2 w @ ul 9 a a e a w @ a H. generate resources and sui Fon government sources to funds for track and field; ipport in whatever form and manner from Supplement assistance from government to augment i, __ establish an academy for athletes, coaches, event organizers,, managers and administrators to im inal aspects; trainers, technical officials, Iprove athletics at all levels and Bpnake official cognizance of any record in athletics events only if such record is attained under the official supervision by the duly authorized representative of PATAFA; k __ Feview any advertising contracts entered into by an individual athlete OF club that capitalizes on the talent or involvement of the athlete or club in track and field; |. __ promote Athletics’ ethical values and its positive impact on character formation and nation building; m, encourage participation in Athletics by all socio-economic classes Fegardless of age, talent, gender, race and capability; fn. ensure that no form of discrimination will be allowed to exist or be allowed to develop; os 9 uumMte fair play in sport by playing an active role in combating doping in Athletics and to maintain programs of detection, deterrence and education aimed at elimination doping within Athletics and ‘Sport in general; 6. Support all initiatives to promote sustainable development and environmental preservation; and Q. undertake any activity that will promote, , Protect and enhance the sport Of track and field and its stakehol Iders. (As arnended on February 10, 2015.) ARTICLE DEFINITIONS Sections 1. All references to the masculine gender shall also include references to the feminine gender and all references to the singular shall, also include references to the plural. Section 2, All references to the masculine gender shall also include references {@ athletics and all other events/aiscipiines under athletics as contemplated in Artie 3 9000 SOTO’ B9SKE 2, “Definitions” of the IAAF Constitution as amended and approved by the 49 TAAF Congress in Moscow, Russia. (As amended on February 10, 2015,) ARTICLE TI OFFICES Section 1. Principal Office. The principal office of PATAFA is at the PATAFA Office, Rizal Memorial Sports Complex, M. Adriatico St, Malate, Manila Section 2, Other Offices, PATAFA may establish other offices and/or branches in addition to its principal office in such other places that the Board of Trustees may determine. (As amended on February 10, 2015.) ARTICLE IV MEMBERSHIP Section 1. Membership in PATAFA shall be open to any individual, sports Association, sports club, private or public school and local government unit with Similar objectives, as approved by the majority of the Board of Trustees upon the recommendation of the Membership Committee of PATAFA. Section 2. An individual member of PATAFA must be 2 Filipino citizen, of legal age, of good moral character and possess all the qualifications and none of the Gisqualifcations as may be promulgated by the Board of Trustees.” x Section 3. For the purpose of membership in PATAFA, however, a member association maybe represented in PATAFA by the association's President or duly authorized representative. In case the member association is represented by its President, said President shall have the right to vote and be voted upon. In case the member association is represented by its duly authorized representative, said authorized representative shall have the right to vote but cannot be vated upon. Section 4. Sport associations, sports clubs, or schools applying for membership in PATAFA shall furnish the committee on membership, copies of the following: @. By-Laws of the association or club clearly indication that 60% of its members are Filipino citizens; b. A member of PATAFA may be classified as inactive for failure to Paved Carly dues to PATAFA. A delisted member of PATAFA may file a petition or appeal for re-acquisition of membership wiih the Membership Committee, but only after a General Assembly is held whee, pembers of the Board of Trustees are elected. The recommendation of the Membership Committee on such a petition or appeal shall be approved and/or ‘denied by the Board of Trustees Section 7. Honorary Membership may be awarded to an individual or entity not otherwise qualified to become reguiar member but by reason of hist ‘special interest and qualifications, is deemed to be assets to PATAFA. Such Honorary Membership may only be grented by the Board of Trustees upon recommendation of the Membership Committee. Such Honorary Member shall enjoy the rights and Privileges of regular members except the right to vote and be vated upon. Section 8. PATAFA will, as much as practicable, aporove the membership applications from as wide a geographical sector and professional representation in the Philippines, taking into consideration the voluntery nature of service to the Corporation by all officers and members and other practical constraints Section 9. Any member may withdraw hisjits Membership at any time Provided PATAFA’s Secretary General Is provided notice on writing six (6) months Section 10, Rights of Members ~ A member shall have the following rights: 2 To participate in all deliberations/meetings of PATAFA; b. To avail of all the facilities of PATAFA; and < To examine all the records or books of PATAFA during business hours, Section 11, Duties and Responsibilities of the Members — A member shall have the following duties and responsibilities: gaea’ SOTa S8S6E &, 10 Obey and comply with the by-laws, rules and regulations that may be promutgated by PATAFA from time to time; 5. To attend all meetings that may be called by the Board of Trustees © Te pay membership dues and other assessments of PATAFA. Section 12. Suspension, Expuision and Termination of Membership — Suspension, expulsion and termination of membership, shall be in accordance with the rules and regulations of PATAFA. Any member of PATAFA may file charges against a member by fling a written complaint with the Secretary of PATAFA. The Board of Trustees shall call @ special meeting of the members to consider the charges. The affirmative vote of 1/3 of all the members of PATAFA shall be necessary to Suspend a member, provided that where the penalty is expulsion, the affirmative vote of 2/3 of all the members shall be necessary to expel a member. (As amended on February 10, 2015.) ARTICLE V MEETINGS OF MEMBERS Section 1. All meetings of the members shall be held at the principal office of PATAFA unless the written notice of such meeting shall fix ‘anather place for the Conduct of such meeting, i Section 2. The General Assembly ‘or the members shall hold:its annual meeting for the transaction of business on 21 day of November and, when scheduled, the election of trustees every three years on 21° day, of November. if the election if trustees shall not be held on the day designated for the annual meeting or any adjoummment of such meeting, the Board of Trustees shall cause the election to be held at a special meeting as ‘soon’ thereafter 2s the same may be conveniently held. 5 Section 3. Special meeting of the members may be called at any time by {Eeolution of the Board oF Trustees, or by order of the Chairman of the Board, or by the President, or upon written request of at least 2 majorty of all the members in goad standing of PATAFA. Such request shall state the purpose or purposes of the proposed meeting. Section 4. Except as otherwise provided by law, written or printed notice of all anfual and special meetings of members, stating the place and time of the meeting, and if necessary, the general nature of the business to be considered, shall be transmitted by either personal delivery, mail, facsimile or emall to each member of record entitled to vote thereat at his/its address last known to the Secretary of PATAFA, at least fifteen (15) days before the date of the meeting in case of an Gaae’ Sate’ B9scGE annual General Assembly meeting, or at least seven (7) days before the date of the meeting in case of special meeting. Section 5. At each meeting of the members, a majority of all the members of PATAFA in good standing and having voting powers, who are present, shall Constitute a quorum for the transaction of business. Section 6. At every meeting of the General Assembly. The Chairman, or in the absence of the Chairman, the President, or in the absence of the President, the Executive Vice President or in the absence of the Executive Vice President, a chairman chosen by a majority of the members in good standing present ind entitied to vote shall act as Chairman. “Section 7. Only individuals qualfed to vote and those mentioned under Fection 3, Article IV hereof, shall be enttled to vote and be voted upon in any meeting pf the members of PATAFA. At every meeting of the members of PATAFA, ach member in aood standing shall be entitled to one vate in person. Section 9. Members shall be entitled to one vote, and they may vote either in Person or by proxy, which shail be in writing and flied with the Secretary of PATAFA before the Scheduled meeting. (As amended on February 10, 2015.) -* . ARTICLE VI, GENERAL ASSEMBLY Section 2. The General Assembly shall have the following duties and functions: . 2, promulgate, revise, modify or amend the Articles of Incoporation and By-Laws; 5. Approve the plans and programs of the Board of Trustees; Elect the members of the Board of Trustees; etae sete’ S9ske d. > Approve the Treasurer's report; ¢ Ratify the actions or resolutions of the Board of Trustees; f. Appoint PATAFA's external auditor; and One eS Any other power necessary to achieve the purposes of PATAFA. (As amended on February 10, 2015.) ARTICLE vir ORGANIZATION AND ADMINISTRATION Section 1. The affairs of PATAFA shall be governed by a Board of Trustees which shall be composed of not more than sevent 17) Trustees elected by the Members qualified to vote. All corporate powers shall be exercised, all business Conclucted and all property of PATAFA shall be controlled and managed by the Bosra of Trustees. (As Amended on November 24, 2016) Section 2.
