DOMESTIC AD HOC ARBITRATION CLAUSE

“Any dispute arising from or in connection with this agreement and any subsequent
amendments of this contract, including, without limitation, its formation, validity, binding
effect, interpretation, performance, breach or termination as well as noncontractual
claims, shall if required by either party by giving written notice to that effect to the other
party, be finally resolved by arbitration, in accordance with the arbitration laws for the time
being in force in the Republic of the Philippines. The appointing authority shall be
International Chamber of Commerce acting in accordance with the rules adopted by the
International Chamber of Commerce for this purpose. The arbitral tribunal shall consist of
three arbitrators and one sole arbitrator. The place of the arbitration shall be in Manila,
Philippines. The language to be used in the arbitration proceeding shall be English. The
hearing of the arbitration shall be in camera. Save to the extent strictly necessary for the
purposes of the arbitration or for any court proceedings related therefrom, neither party
shall disclose or permit to be disclosed to any person anu information concern in the
arbitration and all process, communications, documents or evidence submitted or made
available in connection therewith”.
