1. DEFINITION OF CONFIDENTIAL INFORMATION

Confidential Information means any information disclosed by Metrohm to Recipient


relating directly or indirectly to „tiamoTM knowledge base“ or displayed after login at
http://tiamo.metrohm.com/support/kb/login.html either orally, in writing or
electronically.

2. EXCLUSIONS

The following Information shall not be considered Confidential Information:

 any Information which was in the public domain prior to its delivery by the Disclosing
Party to the Recipient or which becomes, thereafter part of the public domain
otherwise than as a consequence of a breach by the Recipient of its contractual
obligation, or
 any Information already known to the Recipient prior to its delivery by the
Information Supplier, as evidenced by documentation possessed by the Recipient
prior to such receipt, or
 any Information received by the Recipient from a third person legally able to disclose
it without infringing the title of the Disclosing Party, or
 any Information developed on behalf of the Recipient by persons to whom a
disclosure has been made with the prior consent of the Disclosing Party

Information about business practices of either party remain in any case Proprietary
Information.

3. ACCESS TO CONFIDENTIAL INFORMATION

The access to Confidential Information by login at

http://tiamo.metrohm.com/support/kb/login.html

is personal for the Recipient only and not transferable to any other person or third party.
It is only valid for the time the Recipient is employed by Company. Any changes have
immediately to be reported to Metrohm by the Recipient or by the Company.

4. NON-DISCLOSURE

Recipient must keep the Confidential Information in confidence. Recipient may only
disclose the Confidential Information to its employees, directors, officers, agents and
consultants who have a need-to-know the Confidential Information for the Permitted
Purpose, provided that they are advised of the confidential nature of the Confidential
Information and are under an obligation to maintain its confidentiality. Recipient must
not otherwise disclose Confidential Information to any person or third party without the
prior written approval of Metrohm.

5. STANDARD OF CARE

Recipient must use at least the same standard of care in protecting the confidentiality of
the Confidential Information as it uses in protecting its own information of a similar
nature and, in any event, no less than a reasonable standard of care. Recipient must
notify Metrohm promptly upon discovery that any Confidential Information has been
accessed or otherwise acquired by or disclosed to an unauthorized person.

6. RETURN OF CONFIDENTIAL INFORMATION

If requested in writing by Metrohm, Recipient must cease using, return to Metrohm


and/or destroy/delete all Confidential Information and any copies of Confidential
Information in its possession or control. Recipient may retain one archival copy of such
Confidential Information for the sole purpose of establishing the extent of the disclosure
of such Confidential Information, provided that such information is not used by Recipient
for any other purpose and is subject to the confidentiality requirements set out in this
Agreement.

7. NO LICENCE OR OTHER RIGHTS

All Confidential Information remains the property of Metrohm and no licence or any other
rights to the Confidential Information is granted to Recipient under this Agreement. This
Agreement does not obligate Metrohm to make any disclosure of Confidential Information
to the Recipient or require the parties to enter into any business relationship or further
agreement.

8. DISPUTE
Any dispute, controversy or claim arising out of or in relation to this contract, including
the validity, invalidity, breach or termination thereof, shall be submitted to mediation in
accordance with the Swiss Rules of Commercial Mediation of the Swiss Chambers of
Commerce in force on the date when the request for mediation was submitted in
accordance with these Rules.
The seat of the mediation shall be Herisau, the mediation proceedings shall be conducted
in German.
This agreement is made in original copies, each party having one in their files.
