CONFIDENTIALITY AGREEMENT

Your current position will involve you in work which may be extremely confidential and sensitive. Any
disclosure of confidential information regarding current business plans could jeopardize their realization
and therefore undermine the future success of Amercian Axle Manufacturing, or its customers.

In recognition of your role and responsibilities and the access you have to information, it is considered
prudent to re-confirm the confidentiality you have with the Company.

By signing this agreement you undertake not to disclose any sensitive information which is of a
confidential nature to American Axle Manufacturing or customers thereof, other than
to authorized personnel. Information of a confidential nature includes, but is not limited to, the contents
of company or customer plans or processes and any knowledge and information relating to the
formulation of the plans or processes. Any unauthorized disclosure of confidential information would be
considered as an act of gross misconduct.

This agreement should not restrict you in carrying out your normal duties and responsibilities to the
Company. If you are in any doubt with regard to the release of information covered by this agreement
then you should discuss with your supervisor before taking any action.

To indicate your acknowledgement of this confidentiality agreement please sign the attached copy and
return to the undersigned retaining the original for your information.
