PLEASE READ AND FULLY UNDERSTAND THE SOFTWARE LICENSE AGREEMENT

BELOW BEFORE USING THE DR-ID 300CL. BY USING THE DR-ID 300CL, YOU AGREE

TO BE BOUND BY THE TERMS AND CONDITIONS CONTAINED IN THE SOFTWARE

LICENSE AGREEMENT IF YOU DO NOT AGREE TO THESE TERMS, YOU WILL NOT

BE AUTHORIZED TO USE THE SOFTWARE. IN THAT EVENT, PLEASE PROMPTLY

RETURN THE DR-ID 300CL.

SOFTWARE LICENSE AGREEMENT

FUJIFILM Corporation (hereinafter referred to as “Fuji”) and you, the “Customer”, enter into

an agreement with respect to the use of software for “DR-ID 300CL”, the medical image

processing device, provided to Customer by Fuji. In the event software provided by any

other enterprise bearing a separate license agreement is used, provisions specified in the

said license agreement shall supersede this Agreement.

1. Definitions.

(1) “Equipment” shall mean the medical image processing device, “DR-ID 300CL”,

provided to Customer by Fuji.

(2) “Software” shall mean the “DR-ID 300CL Software” installed in the Equipment

provided to Customer by Fuji.

(3) “Relevant Documentation” shall mean and collectively refer to the Operation Manual
for the Software and other documentation concerning the Software provided to

Customer by Fuji.

2. Grant of License.
Fuji grants Customer a non-exclusive and non-transferable right to use the “AS IS”

Software, which is pre-installed in the Equipment by either Fuji or Fuji’s affiliates.

3 . Copyright and Other Intellectual Property Rights.

The copyright and other intellectual property rights concerning the Software and the

Relevant Documentation shall belong to Fuji or the right-holder (hereinafter referred

to as “Licensor”) specified in the Relevant Documentation who has granted Fuji the

right of use and redistribution rights. Unless otherwise permitted in this Agreement,

whether express or implied, no rights shall be assigned or granted to Customer.

4 . Restrictions.

(1) Customer may not assign or lend the Software, or sublicense to any third party any

of the rights granted by Fuji.

(2) Customer may not copy, replicate, modify, or alter the Software or the Relevant
Documentation, or remove any copyright or other proprietary notices that appear on

or in the Software or the Relevant Documentation.

(3) Customer may not reverse engineer, decompile, disassemble, or otherwise attempt
to discover the source code of the Software.

(4) Customer may not disclose the results of any benchmark tests of the Software to

any third party without Licensor's prior written approval.

(5) Customer may not publish the Software for any third party to copy or replicate.

(6) Customer may not use the Software in any way that could result in avoiding

technical restrictions of the Software.

5 . Warranties and Disclaimers.

(1) The Software is provided “AS IS”, without warranty of any kind. In no event, unless
otherwise required by law, shall Fuji be liable for implementability of the Software

functions, the presence of bugs, non-infringement of third party rights, or other

matters with respect to the Software’s performance and quality.

(2) In no event, unless otherwise required by law, shall either Fuji or Fuji’s affiliates be
liable for any damages whatsoever (including, without limitation, lost profits,

incidental, special or consequential damages) arising in any way out of the use of or

inability to use the Software.

(3) In no event, shall Licensor be liable for any damages whatsoever (including, without

limitation, lost profits, incidental, special or consequential damages) arising in any

way out of the use of or inability to use the Software.

6 . Compliance with Export Laws and Regulations.

Customer may not, whether directly or indirectly, export the Software and the
Relevant Documentation in violation of the Foreign Exchange and Foreign Trade Act,

other relevant export laws and regulations . This clause shall survive the termination
of this Agreement.

7. Termination.
In the event that Customer commits any breach of this Agreement or other

agreement executed on the Equipment between either Fuji or Fuji’s affiliates and

Customer, Fuji may forthwith terminate this Agreement without any notification. Once

this Agreement is terminated, Customer shall no longer be authorized to use the

Software.

8 . Obligations on Termination.

Upon termination of this Agreement, Customer shall take responsibility to either


return to Fuji the Software and the Relevant Documentation, or delete or destroy as

instructed by Fuji.
