DEED OF SALE WITH ASSUMPTION OF MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed in Muntinlupa City, Philippines, by and between:

ROGELIO JOAQUIN NICOLAS, of legal age, Filipino Citizen and with residence and postal address at Unit 1005Q, Solano
Hills Condominium, Villongco Street, Sucat, Muntinlupa City 1770, hereinafter called the VENDEE.

– and –

JULIUS XENO CIPRIAN B. JABALLA, of legal age, Filipino Citizen, and with residence and postal address at Unit 1001D,
Solano Hills Condominium, Villongco Street, Sucat, Muntinlupa City 1770, hereinafter called the VENDOR.,

WITNESSETH: THAT-

WHEREAS, the VENDOR is the second owner of a condominium unit with all the improvements existing thereon, situated
at Bldg 8 Unit 804D Solano Hills Condominium, Villongco Street, Sucat, Muntinlupa City, Metro Manila, specifically
described as follows:

TCT No. 014-2019000021

WHEREAS, the above-described properties are presently mortgaged to PAGIBIG and FIRST OWNER to secure the
payment of two loans: the first thru PAGIBIG MUTUAL FUND with remaining obligation amounting to P1,001,266.91 and
the second thru the FIRST OWNER with balance amounting to P588,000 contracted by the VENDOR from the
aforenamed mortgagee under the terms and conditions set forth in two instruments of mortgage, the first one with Pag-
ibig Loan No. 316297677371 and the second one paid directly to the first owner RAFAEL CIVIL.

WHEREAS, the VENDOR has offered to sell and the VENDEE has agreed to buy the above-described parcels of land with
all the improvements thereon for the total price of P2,300,000.00 payable in the manner and form set forth
hereinbelow:

THAT the total remaining amount (total price less the two loans) of Php710,733.09 shall be paid to the VENDOR as
following the terms below:

- Php150,000 as initial payment payable on or before ______________ 2022.


- Php350,000 payable on or before _____________ 2022.
- Php210,733.09 shall be paid on or before February 2023.

NOW, THEREFORE, for and in consideration of the sum of P2,300,000.00, Philippine currency, the said VENDOR does
hereby sell, transfer and convey, in a manner absolute and irrevocable, unto the VENDEE, her heirs and assigns the real
property above described together with all the improvements existing thereon, free and clear of all liens and
encumbrances excepting the mortgagee as may be subsisting in favor of PAGIBIG MUTUAL FUND and FIRST OWNER; and

The VENDEE does hereby accept this sale and binds himself to assume as he hereby assumes the payment of the unpaid
balance of the mortgage in indebtedness of the VENDOR amounting to P1,010,266.91 for the PAGIBIG loan from
February 2022 onwards for Php9,100/month every 12th of the month and P588,000 from February 2022 onwards for
Php14,000/month every 18th of the month for the FIRST OWNER as of this date in favor of the aforenamed mortgagee
and does hereby further agree to be bound by the precise terms and conditions therein contained.
The SELLER shall secure the approval of the Mortgagee to the assumption by the BUYER of the mortgages over the
subject property.

ONCE the Php588,000 from first owner and amount to be paid to the VENDOR with total of Php710,733.09 has been
settled by the VENDEE, VENDEE can start the process of assuming the loan from PAG-IBIG without need of any demand.

Real estate taxes, withholding taxes, insurance and other utilities should be paid by the VENDEE.

Upon violation of any violation of the Terms and Conditions on this agreement, such as being unable to pay the monthly
payments in Pagibig and First owner, the VENDOR may declare the VENDEE in default. In case VENDEE will be declared
in default, the VENDOR may exercise, in addition to any other remedies as may be prescribed by law, the following
rights:

A. To terminate this agreement and forfeit in its favor all payment made. All payment made are non-
refundable.

B. To repossess the property without the necessity of instituting any court or judicial action. In this regard, the
VENDEE hereby grants the VENDOR full power and authority to take possession of the entire property.
