 Itis a senior position in a private sector
company or public sector organisation.
 He includes any individual possessing the
prescribed qualification and appointed
to the duties which may be performed
by a secretary under the companies Act
2013.
A secretary is a vital and able
subordinate to the boss.
Who is company
secretary ?
 Company secretary who is
responsible for ensuring the
smooth administration of the
company.
 Heis responsible for the
arrangement of BOARD MEETINGS.
 Ensuring
the security of the
COMPANY’S LEGAL DOCUMENTS.
Qualification of a Company
Secretary:
➢According to sec 2(45) under companies act 2013,a
company secretary must possess the qualifications
prescribed by the Central government.
➢Companies having a paid up share capital of Rs 5000000
or more : it is obligatory that every company having a
paid up capital of not less than 50 lakhs or more must
employ a full time SECRETARY.
➢Knowledge in company law.
➢The company secretary should be having
knowledge in Indian Contract Act ,Sale of
goods act, Negotiable instrument Act , Indian
partnership Act.
➢He should have general knowledge and should
update himself with the current affairs and
changes taking place in the business
environment.
➢The person should also be a member of the
institute of chartered secretaries of London
and should be eligible for appointment as
secretary of such a company.
➢A degree relevant to this post granted by any
university.
IMPORTANCE OF
COMPANY SECRETARY:
➢ He ensures the effective and efficient
implementation and execution of the management
policies decided by the board.
➢ The external role as coordinator extends to the
shareholders, government organisations and the
society.
➢ He coordinate the internal and external affairs of
the company.
Role as an
Administrator,
➢He is the backbone of the company and formulates decisions
on which the structure of the company administration is
constructed.
➢He has to ensure that the company is regularly under a
detailed analysis and there is a check on the various
functions, duties, decision making and inter-relations of the
departments and the employees to maintain a balanced
administration.
➢Since he knows every detail of the company, he has the
opportunity to know the strengths and weakness of the
functional executives and can apply them to the benefit of
the company.
➢He is the principal person to ensure corporate
governance norms are being compiled with.
➢He is a conductor of various meetings in the
company and also prepare the notice , agenda,
and minutes of meetings.
➢He acts as the advisor of to the board of
directors and provides the necessary
information to formulate plans and policies.
