DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale is executed on ___________ at

_______________ (NAME) Filipino, of legal age, with residence at

_______________ (hereinafter referred to as “VENDOR”);

_______________, Filipino, of legal age, with residence at

_______________ (hereinafter referred to as “VENDEE”);

WITNESS THAT:

WHEREAS, VENDOR is the registered owner of a real property covered

by TCT No. ________, located at _____________, consisting of more or less
____________) sq.m. (hereafter referred to as “the Property”), with the following
boundaries:

WHEREAS, VENDOR have offered to sell the Property to the VENDEE

and the latter is willing to buy said Property under the terms and conditions set
herein;

NOW THEREFORE, for and in consideration of the sum of

____________Pesos (PhP___.00) (hereafter referred to as “the Purchase Price”),
and under the terms herein set forth, VENDOR hereby SELLS, TRANSFERS and
CONVEYS her title, rights and interests in the Property unto VENDEE, free from
liens and encumbrances of any kind whatsoever.

The Parties agree that VENDEE shall pay the Purchase Price in the
manner specified below:

________________ as downpayment (earnest money paid per Contract to

________________ upon signing of this instrument.

VENDEE undertakes to pay or cause to be paid, in a timely manner as

mandated by law, the Capital Gains Tax, Documentary Stamp Tax and such
other taxes or fees involved in this transaction.

The Parties warrant that their respective representatives herein are duly
authorized to sign for and in their behalf.
