Lucky One Corporation
The undersigned incorporators, all of legal age, have voluntarily agreed to form a
(stock)corporation under the laws of the Republic of the Philippines and certify the
following:
Primary Purpose
To help the students in achieving their goals, by giving them an
amount of scholarship based on their talent and achievement in school.
Secondary Purpose
To end poverty and to continue the goal of education. Helping the
students and in exchange, the students will be given a task to complete to
continue the scholarship program.
FOURTH: That the term for which said corporation is to exist is extended for
another FIFTY (50) YEARS starting November 24, 2021;
SIXTH: That the number of directors or trustees of the corporation shall be five (7): and
the names, nationalities, and residence addresses of the directors or trustees of the
corporation are as follows:
SEVENTH: That the authorized capital of the corporation was contributed by the
incorporators and directors who are also members of the association as follows:
1. One Million and Seven Hundred (1,700,000) shares, Two Pesos (P2) each; to
be classified as Common Stock.
2. One Million (1,000,000) shares, Four Pesos (P4) each; to be classified as
Preferred Stock.
EIGHT: That no part of the income which the foundation may obtain as an incident to its
operation shall be distributed as dividends to its members, trustees or officers subject to
the provision of the Corporation Code on dissolution. Any profit obtained by the
foundation as a result of its operation, whenever necessary or proper shall be used for
the furtherance of the enumerated in Article II, subject to the provision of Title IX of the
Corporation Code of the Philippines.
NINE: That Mary Joyce V. Ortiola has been elected by the subscribers as Treasurer of
the Corporation to act as such until after the successor is duly elected and qualified in
accordance with the bylaws, that as Treasurer, authority has been given to receive in
the name and for the benefit of the corporation, all subscriptions, contributions or
donations paid or given by the subscribers or members, who certifies the information set
forth in the seventh and eighth clauses above, and that the paid-up portion of the
subscription in cash and/or property for the benefit and credit of the corporation has
been duly received.
TENTH - That the corporation expresses its willingness to alter its corporate name if
another person, firm, or entity obtains a prior right to use the firm name, or a name that
is deceptively or confusingly similar to it.
IN WITNESS WHEREOF, we have here unto signed these Articles of Incorporation, this
24th day of November, 2021 in the Municipality of Tanay, Province of Rizal, Republic of
the Philippines.
