Non-Compete & Non Solicitation Agreement

This agreement is made and entered into as of date ______________ by and between
Company Name a State Corporation, Company Address, Contact Details
and_____________________________________ referred to as “Supplier” with its place of
business at _____________________________________ and FEID#________________________.

Both the parties agree that:

1. Both Signed parties agree that during the period that both parties offer and
or provide services to the other signed party for a period of one year
thereafter shall not compete with or solicit each other’s clients or candidates
at any time during the one year agreed upon period.

2. Both parties agree that they shall not use or disclose to anyone any
confidential information regarding the clients or candidates learned during
discussions prior to such information become a matter of general knowledge.

3. It is affirmed that the responsibility of delivering of all the consultants

presented by the “Supplier” rest on the Supplier.

4. In event of violation by either party, of all or any of above mentioned clauses,

the violating company shall pay $20,000 to other party as liquidated
damages.

5. The laws of the state of California shall govern this agreement.
