You will be entitled to receive total CTC of INR 5,40,000/- (Rupees Five lakhs forty thousand only) per annum. CTC Includes all benefits like PF, Leave Encashment, Gratuity and other benefits as. per the employee -employer relation. The detail of the Salary Structure will be provided to you with your first salary slip. A. Salary shall be reviewed on an annual basis at the beginning of each financial year and you shall be notified of the amount of your salary entitlement for the succeeding year, depending upon your performance during the year. 8. Notwithstanding the provisions of clause 3.A, you acknowledge that itis the company policy to review the salary payable to its. employees. for successive financial year and such reviewed salary may be higher or lower than the salary received for the previous financial year depending upon the overall performance of the company, © Your salary shall be subject to statutory and other required deductions. The company shall, in its sole discretion, be entitled to amend, vary and modify any of the ‘terms and conditions of the policy with regard to the benefits that are offered to you and the same benefits will entirely depend upon your performance overall contribution to the {growth of the company and the financial position of the company. During the probation period, company has right to terminate you from the service without any notice/pay. The company would have the sole discretion regarding the extension of the said period of six months. You shall continue to remain as a probationer even on the completion of the said period until and unless you are ‘confirmed in writing. 5. You may be required to work on a shift basis; shift may be scheduled across 24 hours a day and 7 days a week subject to applicable laws, The shift timings may change from time to time which you will be noticed of in advance. You will be required to work for 45 hours per week. (Monday to Friday, occasionally on weekends) 6. You may be required to travel whether in India or overseas in connection with office work at short notice. 7. You will be based at our office unit at Ahmedabad. However, your services are transferable to any of the section divisions of the company, or at any place in India or abroad, as per the requirements of the Company or if so required in the subsidiary or branches or groups units of the company as per the organization may deem fit in the above capacity or any other capacity. 8. Your appointment is and shall be subject to the rules and regulations of the company in force from time to time as well as other statutory provisions under applicable status and Information Technology Act. 9. You agree and undertake that during the continuation of your employment with us: You shall not associate, in any capacity whatsoever directly or through anyone else either part time or full time, with or without remuneration or on honorary basis with any business of an Individual, company, partnership company or concern without obtaining prior written Permission of the company. The provisions of this clause shall not restrict or prejudice to other rights and remedies available to the company. 10. You are required to sign a confidentiality, non-disclosure and non-solicitation agreement, which ensured abiding by complete secrecy on your part to the affairs of the business of the company as well as non-disclosure of the information/data of the client partly or wholly at any time now or in future, to any individual/party whether internal or external by any means, 411 You shall conduct yourself with discipline and professional ethics within the company as well as Outside and shall make your best efforts to protect and further interest of the company to the maximum extent possible. Upon resigning, company can relieve you earlier than notice period, and no notice pay shall be payable to you. 13. In case you want to get relieved early without serving the notice period of 60 days, you shall pay back the notice period amount to the company which will be the gross salary for the number of days notice period not served. If the employee has not completed 1 year of service, he / she will not be entitied for leave encashment, LTC, Project bonus, extra pay or any other incentives if any. 15. During and after the term of his/her placement with VOHRA WOUND PHYSICIANS, Quest Infosoft Private Limited Employee agrees to abide by the VOHRA WOUND PHYSICIANS Policy on Treatment of Proprietary and Confidential Information. Specifically, Quest infosoft Private Limited Employee agrees to hold in strictest confidence and not to use or disclose to any person, firm, corporation, or third party, without prior written consent and authorization from an officer of VOHRA WOUND PHYSICIANS, any and all Confidential Information including, but not limited to: ‘Any confidential, proprietary and or privileged information disclosed to Quest infosoft Private Limited Employee in the course of his/her placement with VOHRA WOUND PHYSICIANS; and Any information pertaining to VOHRA WOUND PHYSICIANS technical and business practices including, without limitation: operational methods and procedures and billing practices; formulary; practice guidelines; contract terms with specialists, health plans, hospital, affiliates and ancillary services; quality ‘management programs; operational guidelines; policies and procedures; employee compensation models; vendor relationships and payment terms; utilization management strategies; information technology; audits and compliance programs; processes; development or experimental work; programs and computer systems; work in progress; business or marketing strategies; trade secrets; or any information either oral or expressed in any medium that is confidential or proprietary in nature to VOHRA WOUND PHYSICIANS ; and All work performed by Quest Infosoft Private Limited Employee is a work for hire which is the property of VOHRA WOUND PHYSICIANS. On or prior to the effective date of Termination of the Agreement, Quest Infosoft Private Limited Employee shall provide to VOHRA WOUND PHYSICIANS all programs, reports, data, flow diagrams, materials, audits, and work in process generated during the performance Of the Services. During and after the term of this Agreement, Quest infosoft Private Limited Employee agrees to hold in strictest confidence and not to use or disclose to any person, firm, corporation, or third party, without prior written consent and authorization from an officer of VOHRA WOUND PHYSICIANS , any information pertaining to VOHRA WOUND PHYSICIANS patients, technical and business practices, operational methods, procedures, billing practices, processes, guides, manuals, Buidelines, computer systems and reports, business relationships, trade secrets or any information either oral or expressed in any medium that is confidential or proprietary in nature to VOHRA WOUND PHYSICIANS (hereinafter referred to as the (“Proprietary Information”). All medical and financial records pertaining to the patients of VOHRA WOUND PHYSICIANS , including, but not limited to, charts, x-rays, medical records, fees, billings and payment of fees, and all records pertaining to compensation ‘and expenses of the Quest infosoft Private Limited Employee are deemed to be property of VOHRA WOUND PHYSICIANS, Quest Infosoft Private Limited Employee acknowledges that this provision survives termination of the Agreement and that any breach of this provision by Quest Infosoft Private Limited Employee shall constitute a breach of trust and is grounds for immediate termination Of this agreement and for appropriate legal action for damages, enforcement and/or injunction. ee (Picnic eee CIN : U72900GJ2019PTC110932 fiero) QUEST 2398 sh VOHRA PRNATE TED All records and correspondence, medical and financial records, employee work product, audit and legal files, and all records pertaining to compensation and expenses of the Quest Infosoft Private Limited Employee are the property of VOHRA WOUND PHYSICIANS. The Quest Infosoft Private Limited Employee acknowledges and agrees that all past, present and future ‘writings, works of authorship, technology, inventions, discoveries, ideas and other work product of any nature whatsoever, that are created, prepared, produced, authored, edited, amended, conceived, or reduced to practice by the Quest Infosoft Private Limited Employee individually or jointly with others during the period of Quest infosoft Private Limited Employee's employment by Quest Infosoft Private Limited (“Quest”) and relating in any way to the business or contemplated business, research, or development of VOHRA WOUND PHYSICIANS (regardless of when or where the Work Product is Prepared or whose equipment or other resources is used in preparing the same) and all printed, Physical, and electronic copies, all improvements, rights, and claims related to the foregoing, and other tangible embodiments thereof (collectively, “Work Product”), as well as any and all rights in and to copyrights, trade secrets, trademarks (and related goodwill, patents, and other intellectual property rights therein arising in any jurisdiction throughout the world and all related rights of priority under fernational conventions with respect thereto, including all pending and future applications and registrations therefor, and continuations, divisions, continuations-in-part, reissues, extensions, and renewals thereof (collectively, “intellectual Property Rights"), shall be the sole and exclusive property ‘of VOHRA WOUND PHYSICIANS. For purposes of this Agreement, Work Product includes, but is not limited to, information of VOHRA WOUND PHYSICIANS and its Affiliates, including plans, publications, research, strategies, techniques, agreements, documents, contracts, terms of agreements, negotiations, know-how, computer Programs, computer applications, software design, web design, work in process, databases, data structures, network diagrams, manuals, results, developments, reports, graphics, drawings, sketches, website content, marketing collateral, market studies, formulae, notes, communications, algorithms, product plans, product designs, styles, models, audiovisual programs, inventions, unpublished patent applications, original works of authorship, discoveries, experimental processes, experimental results, specifications, customer information, client information, customer lists, client lists, manufacturing Information, marketing information, advertising information, and sales information. Quest Infosoft Private Limited Employee acknowledges that Quest infosoft Private Limited Employee's work and services provided for VOHRA WOUND PHYSICIANS and its Affiliates and all results and Proceeds thereof, including, without limitation, the Work Produets and intellectual Property Rights therein, are works done under VOHRA WOUND PHYSICIANS’ direction and control and have been specially ordered or commissioned by VOHRA WOUND PHYSICIANS. The Quest Infosoft Private Limited Employee acknowledges that, for the forgoing reasons and by reason of being employed by Quest at the relevant times, to the extent permitted by law, all of the Work Product consisting of copyrightable subject matter is “work made for hire” as defined in the Copyright Act of 1976 (17 U.S.C. § 101), and such copyrights are therefore owned by VOHRA WOUND PHYSICIANS. To the extent that the foregoing does not apply, the Quest Infosoft Private Limited Employee hereby irrevocably assigns to VOHRA WOUND PHYSICIANS, for no additional consideration, the Quest Infosoft Private Limited Employee's entire right, title, and interest in and to all Work Product, including all works based upon, derived from, or incorporating such Work Products, and Intellectual Property Rights therein, including all income, royalties, damages, claims and payments now or hereafter due or payable with respect thereto, and the ht to sue, counterclaim, and recover for all past, present, and future infringement, misappropriation, or dilution thereof, and all rights corresponding thereto throughout the world. Nothing contained in this Agreement shall be construed to reduce or limit VOHRA WOUND PHYSICIANS * rights, title, or interest in any Work Product or intellectual Property Rights so as to be less in any respect than that VOHRA WOUND PHYSICIANS would have had in the absence of this Agreement. QUEST VOHRA Quest Infosoft Private Limited Employee shall promptly disclose to VOHRA WOUND PHYSICIANS each Work Product and intellectual Property Rights therein, and shall communicate, without cost or delay, and without publishing the same, all available information relating thereto to VOHRA WOUND PHYSICIANS. During and after Quest Infosoft Private Limited Employee’s employment, the Quest Infosoft Private Limited Employee agrees to reasonably cooperate with VOHRA WOUND PHYSICIANS at VOHRA WOUND PHYSICIANS’ expense to (i) apply for, obtain, perfect, and transfer to VOHRA WOUND PHYSICIANS the Work Product and Intellectual Property Rights in the Work Product in any jurisdiction in the world; and (ii) maintain, protect, and enforce the same, including, without limitation, executing. and delivering to VOHRA WOUND PHYSICIANS any and all applications, oaths, declarations, affidavits, ‘waivers, assignments, and other documents and instruments as shall be requested by VOHRA WOUND. PHYSICIANS. The Quest Infosoft Private Limited Employee hereby irrevocably grants VOHRA WOUND PHYSICIANS power of attorney to execute and deliver any such documents on the Quest Infosoft Private Limited Employee's behalf in Quest Infosoft Private Limited Employee’s name and to do all other lawfully permitted acts to transfer the Work Product to VOHRA WOUND PHYSICIANS and further the transfer, issuance, prosecution, and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if the Quest Infosoft Private Limited Employee does not promptly cooperate with VOHRA WOUND PHYSICIANS’ request (without limiting the rights VOHRA WOUND PHYSICIANS shall have in such circumstances by operation of law). The power of attorney is coupled with an interest ‘and shall not be impacted by the Quest infosoft Private Limited Employee's subsequent incapacity. Inthe event that, notwithstanding the assignment of all Work Products and Intellectual Property Rights therein, Quest Infosoft Private Limited Employee is deemed to own or have any Intellectual Property Rights that are used, embodied, or reflected in the Work Products, Quest Infosoft Private Limited Employee hereby grants to VOHRA WOUND PHYSICIANS, its successors and assigns, the irrevocable, perpetual, non-exclusive, worldwide, royalty-free right and license to make, have made, modify, use, sell, offer to sell, Import, execute, reproduce, publish, display, perform and otherwise exploit the Work Products and Intellectual Property Rights therein, to prepare derivative or collective works based upon or containing the Work Products and Intellectual Property Rights therein, to distribute, assign, transfer, re-license and sublicense for any purpose the Work Products and Intellectual Property Rights therein (including any derivative or collective works prepared pursuant to such authorization), and to authorize ‘others to do any or all of the foregoing. ‘Quest Infosoft Private Limited Employee represents and warrants that all Work Product that Quest Infosoft Private Limited Employee makes, works on, conceives, or reduces to practice, individually or jointly with others, in the course employment for VOHRA WOUND PHYSICIANS is (i) original or an improvement of VOHRA WOUND PHYSICIANS's prior Work Product and (li) does not include, copy, use, or infringe any Intellectual Property Rights of a third party. To the extent any copyrights are assigned under this Agreement, the Quest Infosoft Private Limited Employee hereby irrevocably waives, to the extent permitted by applicable law, any and all claims the Employee may now or hereafter have in any jurisdiction to all rights of paternity, integrity, disclosure, and withdrawal and any other rights that may be known as “moral rights" with respect to all Work Product and all Intellectual Property Rights therein. To preclude any possible uncertainty, Quest Infosoft Private Limited Employee has set forth on Exhibit A hereto a complete list of all of Quest Infosoft Private Limited Employee's prior inventions and Intellectual Property Rights, including those which are the property of a previous employer. Quest Infosoft Private Limited Employee represents and covenants that thelist is complete and thet ifno items are on the list, Quest Infosoft Private Limited Employee has no such prior inventions or Intellectual Property Rights. In accordance with the direction of the VOHRA WOUND PHYSICIANS. Compliance Committee, VOHRA WOUND PHYSICIANS has an open door policy which encourages the prompt reporting of any activities ‘that you believe may violate the VOHRA WOUND PHYSICIANS Statement of Conduct or the Healthcare Fraud and Abuse policies.
