ACCOUNTANTS AS AUDITORS OF THE COMPANY

“RESOLVED THAT pursuant to the provisions of Section 139 of the Companies Act, 2013, and
other applicable provisions if any, M/s. Ramachandra Bhat and Associates, Chartered
Accountants, Bangalore (FRN: 024671S), be and are hereby appointed as the Auditors of the
Company to fill the casual vacancy caused by the resignation of M/s. Venkatachala Raghavendra
& Co., Chartered Accountants, Bangalore and to hold the office of the Auditors of the Company
till the conclusion of the Next Annual General Meeting at a remuneration as may be decided by
the Board of Directors.

RESOLVED FURTHER THAT any of the directors be and is hereby authorized to file necessary
forms and other acts which is necessary to give effect to the above resolution.”
