(COMPANY and WORKER, when referred to together, willbe referred to as “Parties” This employment contract (the “Contract is concluded, under the terms of the General Labour Law (Law No. 7/15, of 15 June - "LGT’, of the Regulation on the Exercise of the Professional Activity of the Worker. Non- Resident Foreigner (Presidential Decree No. 43/17 of 6 March, as amended by Presidential Decree No. 79/17 of 24 Apri), other applicable legislation, and the following clauses: 1, FIXED TERM 41.1, This Agreement is concluded for a period beginning on 4 May 2022 and ending 31st July 2022 may only be renewed twice. 1.2. This Agreement is for the ALNG 2022 Turnaround only. 1.3. In the event that a residence permit is issued pending the Contract in favour of the WORKER, the Parties hereby acknowledge that the transitional needs linked to the nature of the COMPANY's business, size and ‘economic capacity, as well as the temporary nature of the WORKER'S duties in the context of the COMPANY's staff, ustiy that this Contract will be subject to the general rules of fixed-term employment contracts under Ler. 2. PROFESSIONAL CATEGORY/JOB POSITION ‘The WORKER will perform the duties of Turnaround Support. 3. WORKPLACE 3.1. The workplace will be Soyo. Within the limits of the law, COMPANY may transfer the WORKER temporarily or permanently to any other location where it operates in Angola, as far as required by ‘organizational, production, or other needs considered relevant. The WORKER undertakes to attend, in Angola, abroad and online from home training necessary to obtain professional qualifications for the full exercise of his duties, accepting to be temporarily transferred for that purpose during the period necessary for their frequency if deemed necessary by decision of the COMPANY. 3.3. Given the duties of the WORKER, helshe will be obliged to make all necessary travels and journeys inherent to the full performance of histher duties in Angola, abroad or from home, and the COMPANY shall reimburse the WORKER expenses reasonably incurred in accordance with COMPANY travel and mobilization policies. 4, WORKING HOURSIWORK SCHEDULE 4.1. The WORKER shall perform his work on an alternating time and rest time schedule as follows: (a) THE WORKER shall work 28/28 or as the company requires. (b) The normal daily working period shall be 12 hours, including one rest periods of 30 minutes, which shall be considered as working time in accordance with the working hours in force and posted at the respective work centre. (c) WORKERS ‘annual leave is counted against rest periods, in accordance with Article 104 No. 2) paragraph c) of LGT, 5, REMUNERATIONWAGES. 5.1. The Net salary day rate is $ 365.62 per day worked. 5.2. Regarding gross compensation, the COMPANY will make the necessary discounts forthe settlement of taxes, social security contributions and other legally required. 5.3. The COMPANY shall suspend the 2.5% for medical from the gross salary day rate while working from home. 6. WORK ACCIDENT INSURANCE The COMPANY will enter into a worker's contract for insurance against the risks of accidents at work and ‘occupational diseases, which will enter into force on the date of the conclusion of this Contract. 7. MEDICAL EXAMS In order to ensure the implementation of the COMPANY's occupational health and safely policies, the WORKER expressly adheres to the COMPANY's medical testing, control and screening polices for alcohol and ilct substance use and is obliged to submit, whenever and when COMPANY deems itnecessary, to tests, ‘examinations and medical inspections to prove their professional aptitude and/or control the consumption of ‘alcohol and ilicit substances in the workplace, within the limits of the Law. By signing this Agreement, the WORKER shall: (a) Attend the service with assidvity and perform their duties with loyalty, care and diligence, seeking to improve the productivity of the COMPANY, and fulfil other obligations arising from the Contract and the rules governing it (b) Request and inform the COMPANY, at least one (1) week in advance, ofthe need for absence from work ‘and the reasons therefore, as well as the expected duration of his absence. If the need to be absent from work 's unforeseen or the knowledge of the need to be absent occurs within the week prior to commencement, inform the COMPANY as soon as possible, but always before resuming work; {c) Comply with and respect all regulations, directives, work plans, orders and instructions (written or verbal) relating to procedures and operating rules already in force or to be created in the future from the COMPANY and/or their hierarchical superiors, within the scope of this Agreement; (d) Transmit the technical or scientific knowledge and teachings it possesses to Angolan workers with whom it ‘elates by virue ofthe execution of this Contract; {e) Not engage in any politcal activity while in Angola or from home; (9 Appropriately and carefully use the instruments and materials made avaiable by the COMPANY for the execution of the work; (g) Not disclose, during the term ofthis Agreement, and upon its termination, any information relating to the activiy, business or conduct of the COMPANY, any subsidiary of that or any customer or any matter known to itby virtue of the performance of their duties, including business secrets, customer iss, project knowledge, or intellectual property rights, unless expressly authorized in writing; (h) Ensure the custody of all documents, information andor equipment to which it has access, which are the property of COMPANY or its customers, giving them adequate protection compatible with their degree of confidentiality against loss, theft, reproduction or improper disclosure; {i) Not disclose or reproduce any documents or publications edited or produced by COMPANY, unless expressly authorized in wing; () Upon termination ofthis Agreement, regardless of cause or reason, WORKER shall retum to COMPANY all documents, information, records and other working instruments or property owned by COMPANY that are in its possession held or under its contol at the date of termination, nt retaining any copies or records there or without the express written consent of COMPANY; (W) To perform, on an exclusive basis, al his professional activity in the service of the COMPANY, and may ‘not perform other remunerated work, on his own behalf or on behalf of third parties, without its express written consent. 8.2. Any right derived from a work designed, developed or performed as a result of WORKER'S activity, during his or her working hours or as a result of COMPANY media andlor logistics (including software and related, [APPLUS VELOSI ANGOLA, Condémino Mantes do Talatona, Rua dos Acécias casa 813, Wanda | Tek +244222041512 Fax +244 222041532 | Website: www.cppius.com | NF: 5403117130 | LUANDA-ANGOLA VELOSI copies) shall be sole property of COMPANY, covering the consideration of the WORKER in full the corresponding transfer compensation. 8.3, At the time of the execution of this Agreement, the WORKER declares not to be subject to any duty of rnon-competiion, permanence or any other limitation or restriction to the exercise of his professional activity thal, in any way, prevents the celebration or compliance with this Agreement and/or which in any way may generate liability for COMPANY. 8. CODE OF ETHICS AND ANTICORRUPTION ‘The WORKER declares that he will comply with the internal regulations that elaborate upon it (the Code of ethics and Global Anti-Corruption Procedure), witich always apply. 40. WORKERS PERSONAL DATA The WORKER expressly authorizes that your personal data provided to the COMPANY be processed by the ‘COMPANY, namely through its collection, registration and integration in database, organization, conservation, adaptation, alteration, retrieval, consultation, use and communication by transmission, difusion or any other form of making available, with comparison or interconnection, and, as permitted by law, the respective international transfer to other companies of the COMPANY group. 11. DECLARATION The WORKER shall fully comply with the laws of Angola and shall retun to his/her country of origin upon termination of this Agreement, in accordance with his/her Commitment of Honour, attached to this Agreement as Exhibit thereto being an integral part. 12. APPLICABLE LAW This Agreement shall be governed by and construed in accordance with the laws of the Republic of Angola, 13. JURISDICTION ‘Any dispute arising out of or related to this Agreement which could not be friendly resolved willbe decided by the Luanda Provincial Court 14. FINAL PROVISIONS 14,1. This Agreement constitutes the entire agreement between COMPANY and WORKER and revokes any and al prior oral or written agreements or understandings with respect to its subject matter. 14.2. The Parties agree that if any provision of this Agreement is found to be ineffective or invalid, it shall be excluded from this clause while all other contractual provisions remain in force, which shall continue to be fully valid and effective 14.3. At the time of the execution of this Agreement, the WORKER became aware of his working hours and the internal regulations and policies in force at the COMPANY, to which he expressly adheres.
