1. NCNDA.
2. Strong LOA with mention where are the funds, bank name, branch, and owner
of the funds), ICPO, KYC & AML Issued by the Buyer + Owner of Funds.
3. IMFPA must be signed. And FCO
4. Seller issues SPA directedly with the TH, Undertaking agreement, Escrow
Agreement, for signature.
5. Buyer makes US$ 5,000,000.00 (Five Million USDOLLARS) as the refundable
deposit into JPM 3rd parry mutual managed account TIGER INTERNATIONAL
ADVISORS on JPM. Or ATV + Bank Statement signed by 2 bank officers and their
business cards
6. The Title Holder shall make US$ 5,000,000.00 (Five Million USDOLLARS) as his
deposit bank on same JP Morgan Chase Bank Account if this option is selected.
7. Verifiable SGS (SGS portal summarizes lot & Batch #’s, inspection dates etc...) + 2
to 3 random inspections.
8. Upon Random Inspection of the Goods, within 24 hours, the Buyer shall transfer
his funds to Escrow Account.
9. Full SGS & Inspections scheduled and completed.
10. Buyer’s Funds will be release to Seller and payment of IMFPA. Then Title
transferred.
11. Buyer will collect on his own charge the Goods or take the Warehouse lease on
his own name.

Keys to success

Buyer needs to have his funds ready for this transaction.


The company or Individual name on the ICPO must match the account holder name on the bank
account being used to fund the transaction OR you must include the KYC and AML from the end
buyer/financial partner whose funds will be used for the transaction (funding partner can be
shared confidentially with the TH attorney)

In case of Performance Escrow:

Both parties mutually fund the performance escrow (seller nominates a neutral escrow agent
but can be mutually agreed to). For the buyer the escrow acts as a 5 million US$ deposit who
after verifiable SGS is shared with them funds the remainder of the escrow within 4 days. If the
buyer fails to fully fund escrow after they receive verifiable SGS they forfeit their escrow
deposit. The seller forfeits their escrow deposit if they cannot provide the buyer with SGS and
inspections of the goods.
