I. THE CONTRACT

A. LUMP SUM REMUNERATION


This CONTRACT (hereinafter called the " Contract" is made the ……. day of the month and year
of 2021 between on the one hand, the Amhara Water, Irrigation & Energy Development
Bureau (BoWIED) (hereinafter called the "Client") and, on the other hand, Amhara Design and
Supervision Works Enterprise (ADSWE) (hereinafter called the "Consultant").
WHEREAS:

The client has requested the consultant to provide certain consulting services as defined in the
General Conditions of Contract attached to this Contract (hereinafter called the "services").
The consultant, having presented to the Client that they have the required professional skills, and
personnel and technical resources, have agreed to provide the services on the terms and conditions
set forth in this contract;

NOW THEREFORE the party here to agree as follows:


The following documents attached hereto shall be deemed to form an integral part of this contract:
The General Conditions of Contract;
The special conditions of contract
The following Appendices
Appendix A: Consultant's technical proposal
Appendix B: The consultant's financial proposal

The mutual rights and obligations of the client and the consultant shall be as set forth in the
contract, in particular; The Employer desirous that certain Works Should be executed, Irrigation
Project Study and Design Works for Acida Dam found at amhara Sayint Wereda, S/Wollo Zone
in the Amhara region,
The consultant shall carry out the services in accordance with the provisions of the contract: and
The client shall make payments to the consultant in accordance with the provisions of the contract
Birr 3,510,115.37 (Three Million Five Hundred Ten Thousands One Hundred Fifteen Birr
and Thirty Seven Cents) with VAT.

I. GENERAL CONDITION OF CONTRACT

A. GENERAL PROVISIONS

1. Definitions
1.1 Unless the context otherwise requires, the following terms whenever used in this Contract
have the following meanings:
“Contract” means the Agreement entered into between the Parties and includes the Contract
Documents.
“Contract Documents” means the documents listed in GCC 2.1, including all attachments,
appendices, and all documents incorporated by reference therein, and shall include any
amendments thereto.
“Contract Price” means the sum stated in the Agreement representing the maximum, total or
estimated amount payable for the provision of the Services.
“Days” are calendar days; “months” are calendar months.
“Eligible Countries” means the countries and territories eligible as listed in the SCC.
“General Conditions of Contract”, hereinafter referred to as “GCC”, means the conditions in
this section of the Contract, which shall govern the Contract, except where amended by the SCC
or Contract Agreement.
“Government” means the Government of the Federal Democratic Republic of Ethiopia.
“Lump Sum contract” means a contract under which the Services are performed for an all-
inclusive fixed total amount.
"Member", in case the Supplier consists of a joint venture of more than one entity, means any
of these entities; "Members" means any of these entities, and "Member in charge" means the
entity specified in the SCC to act on their behalf in exercising all the Suppliers’ rights and
obligations towards the Procuring Entity under this Contract.
"Party" means the Procuring Entity or Supplier, as the case may be, and "Parties" means both
of them.
“Personnel” means persons engaged by the Supplier or by any Sub-consultant as employees
and assigned to the performance of the Services or any part thereof; “Foreign Personnel” means
such persons who at the time of being so engaged had their domicile outside the Federal
Democratic Republic of Ethiopia; “Local Personnel” means such persons who at the time of

being so engaged had their domicile inside the Federal Democratic Republic of Ethiopia; and
“Key Personnel” means those Personnel that are regarded by the Supplier as essential to the
successful completion of the Services and related tasks.
“Procuring Entity” means the entity purchasing the Services, as specified in the Agreement.
Special Conditions of Contract”, hereinafter referred to as “SCC”, means the conditions
attached to the Contract Agreement, which shall govern the Contract and shall prevail over these
General Conditions of Contract.
“Services” means the consultancy services to be performed by the Supplier as described in the
contract.
“Supplier” means the natural person, private or government entity, or a combination of the
above, whose proposal to perform the Contract has been accepted by the Procuring Entity and is
named as such in the Agreement, and includes the legal successors or permitted assigns of the
Supplier.
“Sub-consultant” means any natural person, private or government entity, or a combination of
the above, including its legal successors or permitted assigns, to whom any part of the Services
to be provided is subcontracted by the Supplier.
“Time-Based contract” means a contract under which the Services are provided on the basis of
fixed fee rates and payments are made on the basis of time actually spent.

2. Corrupt Practices

2.1 It is the Government’s policy to require that Procuring Entities, as well as Bidders and Suppliers
under Government financed contracts, observe the highest standards of ethics during the
procurement and execution of such contracts. In pursuit of this policy, the Government:

a) Defines, for the purposes of this provision, the terms set forth below as follows:
i. "Corrupt practice" means the offering, giving, receiving or soliciting, directly or
indirectly, of anything of value to influence the action of a public official in the
procurement process or in contract execution;
ii. "Fraudulent practice" means a misrepresentation or omission of facts in order to
influence a procurement process or the execution of a contract;
iii. “Collusive practices” means a scheme or arrangement between two or more Bidders,
with or without the knowledge of the Procuring Entity, designed to establish prices at
artificial, non-competitive levels; and

iv. “Coercive practices” means harming or threatening to harm, directly or indirectly,


persons or their property to influence their participation in a procurement process, or
affect the execution of a contract.
b) Will debar a Bidder from participation in public procurement for a specified period of time
if it at any time determines that the firm has engaged in corrupt, fraudulent, collusive or
coercive practices in competing for, or in executing, a contract.

2.2 The Supplier shall permit the Government to inspect the Supplier’s accounts and records
relating to the performance of the Supplier and to have them audited by auditors appointed by
the Government, if so required by the Government.

2.3 In pursuit of the policy defined in GCC Clause 2.1, the Procuring Entity may terminate a
Contract in accordance with GCC Clause 16 if it at any time determines that corrupt,
fraudulent, collusive or coercive practices were engaged in by representatives of the Procuring
Entity or of a Supplier, during the procurement or the execution of that contract.

3. Contract Documents
3.1 The documents forming the Contract shall be interpreted in the following order of priority:

a) Agreement, including all appendices;


b) Special Conditions of Contract;
c) General Conditions of Contract; and
d) Any other document listed in the SCC as forming part of the Contract.

3.2 All documents forming the Contract are intended to be correlative, complementary, and
mutually explanatory.

3.3 No amendments, modification or other variation of the Contract shall be valid unless a
Modification to Contract is made in writing, is dated, expressly refers to the Contract, and is
signed by a duly authorised representative of each party thereto.

3.4 If any provision or condition of the Contract is prohibited or rendered invalid or unenforceable,
such prohibition, invalidity or unenforceability shall not affect the validity or enforceability of
any other provisions and conditions of the Contract.

3.5 Any action required or permitted to be taken, and any document required or permitted to be
executed, under the Contract by the Procuring Entity or the Supplier may be taken or executed
by the authorised representatives specified in the SCC.

3.6 The Contract constitutes the entire agreement between the Procuring Entity and the Supplier and
supersedes all communications, negotiations and agreements (whether written or oral) of
parties with respect thereto made prior to the date of Contract. No agent or representative of
either Party has authority to make, and the Parties shall not be bound by or be liable for, any
statement, representation, promise or agreement not set forth herein.

4. Law Governing the Contract

4.1 This Contract, its meaning and interpretation, and the relation between the Parties shall be
governed by the laws of the Federal Democratic Republic of Ethiopia.

5. Language

5.1 This Contract has been executed in English, which shall be the binding and controlling
language for all matters relating to the meaning or interpretation of this Contract.

6. Notices

6.1 Any notice, request, or consent made pursuant to this Contract shall be in writing and shall be
deemed to have been made when delivered to an authorized representative of the Party at the
address specified in the SCC.

7. Location
7.1 The Services shall be performed at such locations as are specified in the Terms of Reference
and, where the location of a particular task is not so specified, at such locations, whether in
the Federal Democratic Republic of Ethiopia or elsewhere, as the Procuring Entity may
approve.

8. Authorized Representatives

8.1 Any action required or permitted to be taken, and any document required or permitted to be
executed, under this Contract by the Procuring Entity or the Supplier may be taken or
executed by the authorized representatives specified in the SCC.

9. Taxes and Duties

9.1 Unless otherwise specified in the SCC, the Supplier, Sub-consultants, and their Personnel
shall pay such taxes, duties, fees, and other impositions as may be levied under the law of the
Federal Democratic Republic of Ethiopia, the amount of which is deemed to have been
included in the Contract Price.

10. Eligibility

10.1 The Supplier and its Sub-consultants shall have the nationality of an eligible country. A
Supplier or Sub-consultant shall be deemed to have the nationality of a country if it is a
citizen or constituted, incorporated, or registered, and operates in conformity with the
provisions of the laws of that country.

10.2 The Supplier and its Sub-consultants shall provide Personnel who shall be citizens of eligible
countries.

B. Commencement, Completion, Modification and Termination of Contract


11. Effectiveness of Contract
11.1 This Contract shall come into effect on the date the Contract is signed by both parties and such
other later date as may be stated in the SCC

12. Commencement of Services

12.1 The Supplier shall begin carrying out the Services thirty (30) days after the date the Contract
becomes effective, or at such other date as may be specified in the SCC

13. Expiration of Contract


13.1 Unless terminated earlier pursuant to Clause 16, this Contract shall terminate at the end of such
time period after the Effective Date as is specified in the SCC.

14. Modification

14.1 Modification of the terms and conditions of this Contract, including any modification of the
scope of the Services or of the Contract Price, may only be made by written agreement
between the Parties.

15. Force Majeure

Definition

15.1 For the purposes of this Contract, “Force Majeure” means an event which is beyond the
reasonable control of a Party and which makes a Party’s performance of its obligations under
the Contract impossible or so impractical as to be considered impossible under the
circumstances.

No Breach of Contract

15.2 The failure of a Party to fulfil any of its obligations under the contract shall not be considered
to be a breach of, or default under, this Contract insofar as such inability arises from an event
of Force Majeure, provided that the Party affected by such an event (a) has taken all
reasonable precautions, due care and reasonable alternative measures in order to carry out the
terms and conditions of this Contract, and (b) has informed the other Party as soon as possible
about the occurrence of such an event.

Extension of Time

15.3 Any period within which a Party shall, pursuant to this Contract, complete any action or task,
shall be extended for a period equal to the time during which such Party was unable to
perform such action as a result of Force Majeure.

Payments

15.4 During the period of their inability to perform the Services as a result of an event of Force
Majeure, the Supplier shall be entitled to continue to be paid under the terms of this Contract,
as well as to be reimbursed for additional costs reasonably and necessarily incurred by it
during such period for the purposes of the Services and in reactivating the Service after the
end of such period.

16. Termination

By the Procuring Entity

16.1 The Procuring Entity may terminate this Contract, by not less than thirty (30) days’ written
notice of termination to the Supplier, to be given after the occurrence of any of the events
specified in paragraphs (a) through (e) of this Clause 16.1 and sixty (60) days’ in the case of
the event referred to in (f):

a) If the Supplier does not remedy a failure in the performance of its obligations under the
Contract, within thirty (30) days after being notified or within any further period as the
Procuring Entity may have subsequently approved in writing;
b) If the Supplier become insolvent or bankrupt;
c) The Supplier fails to comply with any final decision reached as a result of dispute
settlement proceedings pursuant to GCC Clause 37;
d) The Supplier, in the judgement of the Procuring Entity, has engaged in corrupt, fraudulent,
collusive or coercive practices in competing for or in executing the Contract;
e) If, as the result of Force Majeure, the Supplier is unable to perform a material portion of
the Services for a period of not less than sixty (60) days; or
f) If the Procuring Entity, in its sole discretion, decides to terminate the Contract.

By the Supplier

16.2 The Supplier may terminate this Contract, by not less than thirty (30) days’ written notice to
the Procuring Entity, such notice to be given after the occurrence of any of the events
specified in paragraphs (a) and (b) of this Clause 16.2:

a) If the Procuring Entity fails to pay any monies due to the Supplier pursuant to this Contract an
not subject to dispute pursuant to Clause 7 within forty-five (45) days after receiving written
notice from the Supplier that such payment is overdue;
b) If the Procuring Entity is in material breach of its obligations pursuant to the Contract and has
not remedied the same within forty-five days (or such longer period as the Supplier may have
subsequently approved in writing) following the receipt by the Procuring Entity of the
Supplier’s notice specifying such breach;
c) If, as the result of Force Majeure, the Supplier is unable to perform a material portion of the
Services for a period of not less than sixty (60) days; or

d) If the Procuring Entity fails to comply with any final decision reached as a result of dispute
settlement proceedings pursuant to GCC Clause 37.

Payment upon Termination

16.3 Upon termination of this Contract pursuant to Clauses 16.1 or 16.2, the Procuring Entity shall
make the following payments to the Supplier:

a) Remuneration pursuant to Clause 31 or 32 for Services satisfactorily performed prior to the


effective date of termination;

b) Except in the case of termination pursuant to paragraphs (a) to (d) of Clause 16.1,
reimbursement of any reasonable cost incident to the prompt and orderly termination of the
contract, including the cost of the return travel of the Personnel and their eligible dependents.

C. Obligations of the Supplier


17. General

17.1 The Supplier shall perform the Services and carry out its obligations with all due diligence,
efficiency, and economy, in accordance with generally accepted professional techniques and
practices, and shall observe sound management practices, and employ appropriate advanced
technology and safe methods. The Supplier shall always act, in respect of any matter relating
to this Contract or to the Services, as a faithful adviser to the Procuring Entity, and shall at all
times support and safeguard the Procuring Entity’s legitimate interests in any dealings with
Sub-consultants or third parties.

18. Conflict of Interests

Supplier Not to Benefit from Commissions, Discounts etc.

18.1 The remuneration of the Supplier pursuant to Clause 31 or 32 shall constitute the Supplier’s
sole remuneration in connection with this Contract or the Services, and the Supplier shall not
accept for its own benefit any trade commission, discount, or similar payment in connection
with activities pursuant to this Contract or to the Services or in the discharge of its obligations
under the Contract, and the Supplier shall use its best efforts to ensure that the Personnel, any
Sub-consultants, and agents of either of them similarly shall not receive any such additional
remuneration.

Supplier and Affiliates Not to Be Otherwise Interested in Project

18.2 The Supplier agrees that, during the term of this Contract and after its termination, the Supplier
and its affiliates, as well as any Sub-consultant and any of its affiliates, shall be disqualified
from providing goods, works, or services (other than the Services and any continuation
thereof) for any project resulting from or closely related to the Services.

Prohibition of Conflicting Activities

18.3 Neither the Supplier nor its Sub-consultants nor the Personnel shall engage, either directly or
indirectly, in any of the following activities:

a) During the term of the Contract, any business or professional activities in the Federal
Democratic Republic of Ethiopia which would conflict with the activities assigned to them
under the Contract; or

b) After the termination of this contract, such other activities as may be specified in the SCC.

19. Confidentiality

19.1 The Procuring Entity and the Supplier shall keep confidential and shall not without the written
consent of the other party hereto, divulge to any third party any reports or data, or other
information furnished directly or indirectly by the other party hereto in connection with the
Contract, whether such information has been furnished prior to, during or following
completion or termination of the Contract. Notwithstanding the above, the Supplier may
furnish to its Sub-consultant such documents, data, and other information it receives from the
Procuring Entity to the extent required for the Sub-consultant to perform its work under the
Contract, in which event the Supplier shall obtain from such Sub-consultant an undertaking of
confidentiality similar to that imposed on the Supplier under the Contract.

20. Insurance to Be Taken Out by the Supplier

20.1 The Supplier shall take out and maintain, and shall cause any Sub-consultants to take out and
maintain, at its (or the Sub-consultants’, as the case may be) own cost but on terms and
conditions approved by the Procuring Entity, insurance against the risks, and for the coverage,
as shall be specified in the SCC.

20.2 The Supplier, at the Procuring Entity’s request, shall provide evidence to the Procuring Entity
showing that such insurance has been taken out and maintained and that the current premiums
have been paid.

21. Supplier’s Actions Requiring Procuring Entity’s Prior Approval

21.1 The Supplier shall obtain the Procuring Entity's prior approval in writing before taking any of
the following actions:

a) Entering into a subcontract for the performance of any part of the Services;

b) Appointing such members of the of the personnel not listed by name in the Contract; and

c) Any other action that may be specified in the SCC.

22. Reporting Obligations

22.1 The Supplier shall submit to the Procuring Entity the reports and documents specified in the
Terms of Reference in the form, in the numbers, and within the periods set forth in the said
Terms of Reference.

23. Documents Prepared by the Supplier to Be the Property of the Procuring


Entity

23.1 All plans, drawings, specifications, designs, reports, and other documents and software
submitted by the Supplier in accordance with the Contract shall become and remain the
property of the Procuring Entity, and the Supplier shall, not later than upon termination or
expiration of this Contract, deliver all such documents and software to the Procuring Entity,
together with a detailed inventory thereof. The Supplier may retain a copy of such documents
and software. Restrictions about the future use of these documents, if any, shall be specified
in the SCC.

D. Supplier’s Personnel

24. Description of Personnel


24.1 The titles, agreed job descriptions, minimum qualifications, and estimated periods of
engagement in the carrying out of the Services of the Supplier’s Key Personnel are described
in the Contract. The Key Personnel and Sub-consultants listed by title as well as by name in
Contract are hereby approved by the Procuring Entity.

25. Removal and/or Replacement of Personnel

25.1 Except as the Procuring Entity may otherwise agree, no changes shall be made in the Key
Personnel. If, for any reason beyond the reasonable control of the Supplier, it becomes
necessary to replace any of the Key Personnel, the Supplier shall provide as a replacement a
person of equivalent or better qualifications.

25.2 If the Procuring Entity finds that any of the Personnel have (i) committed serious misconduct
or have been charged with having committed a criminal action, or (ii) have reasonable cause

to be dissatisfied with the performance of any of the Personnel, then the Supplier shall, at the
Procuring Entity’s written request specifying the grounds therefor, provide as a replacement a
person with qualifications and experience acceptable to the Procuring Entity.

25.3 The Supplier shall have no claim for additional costs arising out of or incidental to any
removal and/or replacement of Personnel.

E. Obligations of the Procuring Entity

26. Assistance and Exemptions

26.1 Unless otherwise specified in the SCC, the Procuring Entity shall use its best efforts to ensure
that the Government shall:

a) Provide the Supplier, Sub-Consultants and Personnel with work permits and such other
documents as shall be necessary to enable the Supplier, Sub-Consultants or Personnel to
perform the Services.

b) Arrange for the Personnel and, if appropriate, their eligible dependents to be provided
promptly with all necessary entry and exit visas, residence permits, exchange permits and
any other documents required for their stay in the Federal Democratic Republic of Ethiopia.

c) Facilitate prompt clearance through customs of any property required for the Services and of
the personal effects of the Personnel and their eligible dependents.

d) Issue to officials, agents and representatives of the Government all such instructions as may
be necessary or appropriate for the prompt and effective implementation of the Services.

e) Exempt the Supplier and the Personnel and any Sub-Consultants employed by the Supplier
for the Services from any requirement to register or obtain any permit to practice their
profession or to establish themselves either individually or as a corporate entity in the
Federal Democratic Republic of Ethiopia.

f) Grant to the Supplier, any Sub-Consultants and the Personnel of either of them the privilege,
pursuant to the laws of the Federal Democratic Republic of Ethiopia, of bringing into the
Federal Democratic Republic of Ethiopia reasonable amounts of foreign currency for the
purposes of the Services or for the personal use of the Personnel and their dependents and of
withdrawing any such amounts as may be earned therein by the Personnel in the execution
of the Services.

g) Provide to the Supplier, Sub-Consultants and Personnel any such other assistance as may be
specified in the SCC.

27. Change in Laws

27.1 Unless otherwise specified in the SCC, if after the date of the Request for Proposals, any law,
regulation, ordinance, order or bylaw having the force of law is enacted, promulgated,
abrogated, or changed in the Federal Democratic Republic of Ethiopia (which shall be
deemed to include any change in interpretation or application by the competent authorities)
that subsequently affects the period for completion of the Services and/or the Contract Price,
then such time period and/or Contract Price shall not be correspondingly increased or
decreased.

28. Services and Facilities

28.1 The Procuring Entity shall make available to the Supplier the Services and Facilities listed in
the Contract.

F. Payments to the Supplier

29. Contract Price and Currency

29.1 The Contract Price shall be expressed as a specific amount in the Agreement representing:

a) The total amount payable for a Lump Sum contract; or

b) The estimated amount for a Time-Based contract.

29.2 Payments shall be made in Ethiopian Birr

30. Type of Contract

30.1 In consideration of the Services performed by the Supplier under the Contract, the Procuring
Entity shall make to the Supplier such payments in such manner as is provided by the
Contract.

30.2 The type of contract shall be as specified in the SCC and payment shall be in accordance with
the provisions of: GCC Clause 32, in the case of Lump Sum contracts

31 Payments in respect of Lump Sum Contracts

31.1 The Contract Price shall be a fixed total lump sum including all Personnel costs, Sub-
consultants’ costs, printing, communications, travel, accommodation, and all other costs
required to carry out the Services described in the Contract.

31.2 The Contract Price may only be increased through amendment of the Contract in accordance
with GCC Clause 14.

31.3 The price for any additional services, as may be agreed in accordance with GCC Clause 14,
shall be determined using the Breakdown of Contract Price in the Contract.

32 Payment Schedule and Advance Payment

32.1 All payments under the Contract shall be made in accordance with the payment schedule
specified in the SCC.

32.2 Unless otherwise stated in the SCC, where any payment is made in advance of any deliverables
as an advance payment, the payment shall be made against the provision by the Supplier of a
bank guarantee for the same amount, and shall be valid for the period stated in the SCC.

32.3 Should the advance payment guarantee cease to be valid and the Supplier fails to re-validate it,
a deduction equal to the amount of the advance payment may be made by the Procuring Entity
from future payments due to the Supplier under the contract.

32.4 If a Contract is terminated for any reason, the guarantee securing the advance may be invoked
in order to recover the balance of the advance still owed by the Supplier.

33 Payment Terms

33.1 Unless otherwise specified in the SCC, payments shall be made by the Procuring Entity, no
later than sixty days after submission of a request for payment by the Supplier.

33.2 The Supplier’s request for payment shall be made to the Procuring Entity in writing,
accompanied by invoices and supporting documents. The supporting documentation required
shall be as specified in the SCC.

33.3 The Procuring Entity shall notify the Supplier of the inadmissibility of a request for payment
due to an error, discrepancy, omission or any other reason so that the Parties may resolve such
error, discrepancy, omission or other fault and agree a solution to enable payment of the

corrected request for payment. The Procuring Entity shall not unreasonably withhold payment
of any undisputed portion of a request for payment. Should any discrepancy be found to exist
between actual payment made and costs authorised to be incurred by the Supplier, the
Procuring Entity may add or subtract the difference from any subsequent payments.

33.4 If the Procuring Entity has delayed payments beyond fifteen (15) days after the due date stated
in the SCC, interest shall be paid to the Supplier for each day of delay at the rate stated in the
SCC.

34 Price Adjustments

34.1 Prices charged by the Supplier for the Services performed under the Contract shall not vary
from the prices quoted in the Contract, with the exception of any price adjustments authorised
in the SCC.

G. Settlement of Disputes

35 Dispute Settlement
35.1 The Parties shall use their best efforts to settle amicably all disputes arising out of or in
connection with this Contract or its interpretation.

36 Amicable Settlement

36.2Any dispute between the Parties as to matters arising pursuant to this Contract that cannot be
settled amicably within thirty (30) days after receipt by one Party of the other Party’s request
for such amicable settlement may be submitted by either Party for settlement in accordance
with the provisions specified in the SCC.

approval of the final report. Ten percent (10%) of the Lump-Sum
amount will be up on obtaining of environmental clearance from the
respected offices responsible.
1. Payment of Laboratory Costs for Soil Survey/Agronomy, Field and
laboratory costs for Geological and Geotechnical Exploration and
material testing will be paid on measurement. (As per the breakdown
attached on the contract agreement and up on submission of each test
result and measurement of pit depth and borehole)
2. With reduction/increase of irrigable command area given by the client at
the beginning of the study; the costs of Hydraulic/Irrigation Engineer,
Senior Surveyor and Assistance surveyor will be reduced/ increased
accordingly.
3. The consultant should thoroughly examine and investigate the availability
and suitability of core and shell material from the early stages of study
and design period up to the final design. In case, the consultant feels the
core and shell materials are not sufficient for the proposed project, it
should notify immediately while working on site so to allow the client to
look for other source and technology options. If there happens scarcity of
core and shell materials during construction once it is reported as
sufficient in the study and design, the consultant should indemnify the
client for such disparities. Hence, the consultant should reimburse the
same amount with the study and design contract. However, the consultant
will not be responsible for changes occurred after the design (such as,
manmade extraction of the quarry material, major natural disaster that
results a change on natural condition etc.
4. If the client fails to comment the draft report within a month duration, the
draft design will be considered as a final design and final payment will be
paid.

We, the contracting parties have agreed that the above stated points to be
included under the contract and interpreted according to the law of the

contract and shall remain enforcing until such matters are resolved.

5. If the study and design of the Project is terminated before completion due
to Force Majeure, the expense of the Consultant for Experience Sharing and
Knowledge transfer shall be Reimbursed by the Client.

GCC 32.2 An Advance Payment Guarantee shall not be required.


GCC 33.1 Payment shall be made by the Procuring Entity within 7 days of receipt of the
request for payment [and within 15 days in the case of the final payment].
GCC 33.2 The following documentation shall be required to support requests for
payment:
GCC 33.4 Delay in the payments may lead to the payment of interest rate. The interest
rate is according to the decision of the National Bank of Ethiopia.
GCC 34.1 Prices charged by the Supplier shall not vary from the prices quoted in the
Contract.
GCC 36.1 The formal mechanism for dispute settlement shall be: by arbitration in
accordance with the applicable law.

Summary

The Bureau of Water, Irrigation & Energy of the regional government of Amhara intends to execute
the implementation of Acida Dam Small-scale irrigation scheme funded by the Government of
Ethiopia.

The region has previously partially conducted identification of schemes jointly with the consultant
and forwarded to conduct the preliminary study for further verification.

The Bureau, therefore invited the interested and qualified consultant to proceed with the feasibility
and detail design of the Acida Dam irrigation scheme.

2. Brief description of the project

Like other parts of the region the farmers in the project area are also well organized in matters
dealing with water related and other matters in the efforts made to reduce the effects of drought that
frequently affects their livelihoods.

Water is considered to be the center of the Rural Development Strategy and thus the Water,
Irrigation & Energy Development Bureau has conducted preliminary or identification level study of

3. Objectives

The main objectives of the project is to undertake feasibility study and detailed design of Acida
Dam/other modes of abstraction and their associated irrigation structures to enhance the utilization
of surface water resources for irrigation development and thus improve the livelihood of the
farmers. The specific objective of enhancing the implementation of this irrigation scheme is to
increase agricultural production per unit area (and per drop of water) and thus improve the living
standard of the local poor farmers and bring about better socio-economic conditions and ultimately

5. Detailed Scope of the Works

The work consists of furnishing engineering services complete in all respects including all field and
office works generally in accordance with standard of engineering profession, applicable guidelines
and requirements. The consultant is advised to adopt the new SSI Study and design guideline
prepared by GIRD and other national and international SSI standard guideline. The assignment
should cover, but not limited to the following major components outlined in this TOR.

5.1 General

The consultant should accomplish the works in two major phases;


o Phase I includes preparation of feasibility study and preliminary designs and
o Phase II includes the preparation of detailed designs including cost estimation, BOQ,
working drawing and operation and maintenance manuals.
The consultant should pay attention to attitudes preferences, skills and previous experiences of the
local farmers in the course of the studies and designs and to do so there should be active and full
participation of the end users of the schemes during all process.

5.1.1 Feasibility Study and Preliminary Designs

 The consultant should thoroughly review, revise, amplify and supplement by further data collection
and investigations, as required all relevant previous data and studies, analysis and findings. The
review should include but not limited to, hydrological, water quality, sediment, drainage and other
data which is appropriate for the study.
 The consultant should execute, as required and agreed with regional WR exploratory test pits at the
proposed river diversion sites and major structures, including geological and soil mechanics studies
to more accurately define foundation characteristics in terms of stability, bearing capacity
(strength), perviousness, permeability, and so on. Exact number of pits will be determined during
the execution of the study in consultation with the Bureau.
 Based on the observation of pits and collected data, log profiles at the proposed river diversion axis
and other structures have to be established. The log profiles have to indicate clearly the material
composition of the foundation materials, groundwater level (if any) and foundation level of the
structure and so on.
 The geological and geotechnical study should include the general geological features and pattern at
the river diversion site and its suitability to the construction of the proposed structure. The type,
availability, quality, volume and Location of local construction materials including water have to be
clearly indicated in a map.
 Detail topographic surveys should be carried out to provide adequate ground level data for detail
design of the headwork as well as irrigation and drainage networks.
 The consultant should determine crop water requirements and total project water requirements
based on collected agricultural and climate data and proposed irrigation methods and crops.
 The consultant should study soil chemical and physical properties and ground water conditions to
determine fertilizer, leaching drainage and other requirements for optimum production levels.
 The consultant should compute the catchment water balance that avoids conflicts between the most
upstream and tail end users considering existing irrigation at both upstream and downstream of the
river diversion axis, environmental flow and so on.
 The consultant should propose the necessary arrangements for the establishment of Irrigation Water
Users Associations (IWUA) for a proper operation and maintenance or scheme sustainability.
 The consultant should prepare operation and maintenance manual which will be used as a guide by
the farmers during operation.

 The consultant should prepare preliminary designs of various components of the project and their
cost estimates.
 The consultant is expected to consider alternative layouts and river diversion axis and other
structures to select the most optimum one in all aspects.
 The consultant should compute rough benefit cost ratio, economic and financial analysis that
indicates worthiness of constructing the scheme.

5.1.1.1 Hydrology

The consultant should examine existing data, collect additional data and analyze the climatic
conditions of the study area with the details of flow magnitude and quality analysis that include but
not limited to:
 Collection and analysis of all existing hydrological data using quality control.
 Review of all previous hydrological reports related to the project area
 Filling of all missing data using standard procedures
 Extension of existing flow data to determine long term average flow and hence assess the yield at
proposed development sites
 Appraisal of magnitude of floods of various frequencies and evaluate design of flood hydrograph
relevant to the design of river diversion
 Undertake catchment water balance computations with due consideration to most upstream and
tail end users, existing irrigation or water supply demands within the catchment and
environmental releases.
 Analyze water quality for its suitability for irrigation, domestic water supply etc.
 Accurate stream flow measurements or flood estimates, and irrigation releases should be
determined.
 The project design flood should be determined either based on the available flow data or using
universally accepted methodologies. Accurate estimation on diversion design flow and flood
flow with design rainfall return period (for weir = 50 years) using SCS method.
 Water right of both upstream and downstream users and current water users should be identified.
 Together with hydrologist the environmental flow to the downstream (minimum 25 % of the lean
flow) should be calculated and indicated with full justification in the ESIA report.

 The runoff and drainage characteristics should be determined to define drainage canal capacities.

5.1.1.2 Topographic survey and preparation of Maps

 Topographic survey of headwork and irrigable area should be conducted and a general topo-
map showing all engineering features of the project such as catchment area, command area,
access road and so on with appropriate scale should be produced. The survey will be used as a
base data for the subsequent activities and should include:
o The location of the existing structures, roads, buildings etc.
o All bench marks, stations and natural features.
o The maximum command area by gravity.
o Any other prominent features.
 The consultant should produce topographic map of the river diversion site at a scale of not
more than 1:500 and at a contour interval of not more than 0.50 m, showing all the features
upstream and downstream, right and left of the proposed site including observation pits should
be prepared. Coverage of weir site is a minimum of 50 m on all the four direction from the
axis.
 The cross-section of the river diversion site should be prepared at a scale of 1:100 both
vertical and horizontal.
 The topographic map of the irrigable area should be prepared at a scale of not more than
1:1000, with a contour interval of not more than 0.5 m. The top-graphic map of the irrigable
area should indicate all existing features, soil test pits, benchmarks, trees, buildings, roads,
water points, gullies, etc.
 Benchmarks and stations should be properly established using stable natural futures or
reinforced concrete blocks (at headwork a minimum of four benchmarks-two on each river
side should be provided). The benchmarks and stations at the topographic map should be
properly connected with the station and benchmarks of proposed river diversion site. A
location map or profile map which connects the two sites should be established. Enough
amounts of benchmarks and/or station should be established in such a way that structures
and/or canal levels can easily be controlled during construction phase of the project.

 All the required benchmarks and stations should be established using stable features and
should be properly connected with the national grid stations.
 Profile data along the main canals, secondary and tertiary canals should be collected and
cross-sectional/longitudinal profile/map should be prepared at a scale of vertical 1:100 and
horizontal 1:500 at an interval of 20 to 50m. Irrigation supply canal and /or drainage canals
should not be designed using profile data collected directly from the topographical map of the
irrigable area. First a preliminary lay out should be established using the prepared
topographical map of the irrigable area and then actual irrigation supply canals and other
canals profile should be collected at the field level.
 Topographic maps should be prepared to a scale of 1:1000 at 0.5m contour intervals for
irrigation and drainage network design. That is strip contour plan of 10 to 20m on either side
of the centerline of the canal should be surveyed and plotted at the same scale.

5.1.1.3 Water Resource

 The source of irrigation water for the scheme is river flow. The minimum (lean flow) and
maximum flow of the river at the proposed area should be determined.
 The consultant should estimate the available water for irrigation and other uses after
considering the requirement of the most upstream and downstream users; existing irrigation or
water supply demands within the catchment and environmental releases.
 Considering all estimated losses and proposed demands, the consultant should carry out
catchment water balance studies and establish an operation rule.

5.1.1.4 Geology and Geotechnical Studies

The consultant should undertake but not limited to the following,

 The proposed head work area, catchments area, command area, canal route, etc. should be
evaluated with visual observation and sub–surface geological investigation by location at test
points along the proposed weir axis, burrow areas, and other important appurtenant structures
should be carried out.
 Assess on construction material exact location, quality and quantity with a map showing the
thickness, problems encountered and their possible solution, predictions, uncertainties or
challenges should be clearly defined.
 Logging and description of soil profile of the test pits,

 Identify the geological features main canal along the canal route at specific interval at least

that determines the depth of excavation and Gebrelbility of the foundation of the head work,
canals, pond reservoirs, etc. should be prepared.
 All-important geological data should be collected from geological and hydrological maps &
related offices such as mining and energy, etc.
 Collection of disturbed and undisturbed samples should be ascertained for laboratory analysis
and the results should be interpreted; perform in-situ tests, especially permeability test in each
soil type and soil profile.

5.1.1.5 Agronomy and Soils studies

Irrigation Agronomy

The consultant should undertake but not limited to the following specific tasks:
 Collection of baseline agricultural information, input, yield, cropping system, meteorological
and other related data.
 Selection of crops, cropping pattern and most appropriate irrigation methods. In doing so he
should take in to account the consideration of high value or marketable crops which are
adaptable to the given agro-climatic & socio-economic conditions and water saving irrigation
methods which are at the same time manageable by the farmers.
 Meteorological data analysis, computation of crop water requirement and irrigation water
need, and preparation of irrigation schedule for full and supplementary irrigations.
 A survey of existing farming systems and show the existing agricultural inputs and supporting
services such as seed, fertilizer, chemicals, machinery, labour, storage & processing, transport
& marketing and credit. Existing Agriculture technology and input utilization (seeds,
chemical and organic fertilizers and others by crop type per hectare
 Previous Irrigated and rain fed yield by crop type at least five consecutive year data.
 Identification of major constraints of production and proposal of improved farming practices.
And Yield projection.
Agricultural Development plan

An agricultural development plan must be prepared addressing (jointly Bureau of agriculture and
rural development and research institute) and endorsed by beneficiaries of the respective command

o proposal for the improved irrigated farm

o Crop water requirement & irrigation schedule
o Improved agronomic practices (land preparation, planting, fertilizing, irrigating,
harvesting, etc.)
o crop protection measures
o input requirement and yield Projection
 Setting up of Farmer Research Groups (FRGs)
o Regional research institutions invitation to undertake action-oriented on-farm research in
partnership with FRGs & Extension staff
o FRGs per scheme to be established & become operational and
o Identifying active participants of the FRGs to conduct experimentation on their behalf
 Crop trial and demonstration plan (for the Introduction of New & Improved Technologies)
o New crop varieties & species
o Low-cost soil fertility management options
o Labor & time saving tools
o Intercropping & relay cropping systems

o Establishment of communal nurseries of 0.5 ha each to supply horticultural crop seedlings

Soil studies
The main objective of the soil survey is to check the suitability of soil through providing detailed
information on land and soils of the command area of the proposed project as basis for confirming
crop selections, irrigation designs, agricultural input requirements such as fertilizer applications etc.
The study also focuses on identifying the various topographic forms, soil types, present land use
assessment and evaluating the existing land use pattern and serve as a basis for assessment of land
and crop suitability for irrigation. The consultant should undertake but not limited to the following
specific tasks

o Detailed soil map at a scale of 1:10,000 shall form the bases for detailed land classification
and delineation of arable and irrigable land including maps and data on irrigable and
drainage (surface & subsurface) and for the need of other disciplines.
o The field soil survey has to be based on the results of aerial photo (if available) & satellite
image interpretation.
o The presentation of results shall be by means of standard narrative soil survey & land
evaluation report.
o Apply soil measurement techniques for soil properties at field level such as auger
observation with brief profile description, infiltration and permeability tests.
o Identification of soil mapping unit based on land form, effective soil depth, slopes &
surface features, surface soil texture & suitability and nutrient status.
o Detail soil survey, land evaluation, soil salinity and groundwater level survey.
o Command area delineation (fixation) with engineers
o Crop and irrigation suitability assessments, interpretation of the results, propose soil and
land management requirements
o Procedures as proposed in the FAO guidelines for land evaluation will be used. Land
suitability evaluation for crops in the system sustainable development of irrigated
agriculture will be performed at the FAO standard (the survey and analytical data relating

o Soil characteristics will be determined for representative soils.
o Subsurface investigations shall be conducted to produce data on hydraulic conductivity.
Hydraulic conductivity shall be measured using the best techniques.
o Study the drainage patterns in relation to the geological features.
o Together with the field geologist and soil expert, irrigation agronomist investigates
drainage parameters, like permeability and/or hydraulic conductivity of the agricultural
soil of the project area, which is required to perform the design of the drainage system of
the proposed project. Establish proper drainage modules for the project to affect the design
of the drainage system for the command area.
o Analyses of the subsurface conditions to identify the barrier zone and determine depth to
barrier and its effect on the drainage requirements shall be made by using either log of
existing wells if any or by making new holes.

Where there are acidity, salinity, and sodicity and other problems, additional determination of
salinity (soluble salts), sodicity, pH and leaching requirements should be made for reclamation
purpose. All this should be investigated and analyzed in such a way that it would enable the study to

5.1.1.6 Watershed management studies

The consultant should undertake but not limited to the following:


o Delineate Major watershed, which contributes area or hydrological unit that is bounded by a
ridge in which runoff emerges from any point within the closed boundary of ridge flows to an
outlet.
o Describe general description of the study area (area, location, elevation, and distance from
woredas town…)
o Analyze the hydrology of major watershed (flood estimation, CN, TC…)
o Assess the biophysical features of the major watershed including map (land use/land cover,
topography, drainage, morphology, soil, climate…)
o Analyze the result of land capability classification of major watershed for each land use type
o Assess the status of soil erosion and land degradation level (type and cause of soil erosion,
estimation of Annual Soil Loss using RUSLE method for those divided all micro watershed
with in major watershed)
o Assess the socio-economic situation of major watershed (population and demography,
agricultural production system (farming system, crop production, irrigation, livestock
production, existing soil and water conservation practices), land tenure system, rural energy
situation, gender issues, infrastructure development, institutional situation)
o Describe major problem related to productivities, environmental and socioeconomic problems
of watershed that are currently observed.
o Analyze the Existing opportunities in terms of bio-physical resources and socioeconomic
conditions and development policy and strategies need to be identified in order to develop
contextual watershed management options.
o Propose the development plan for major watershed to improve livelihood of people through
restore and enhance land productivity, support rehabilitation of degraded land and development
of natural resources, providing opportunities for income generating and contribute to sustainable
small-scale irrigation infrastructure services.
o Study by delineating 1 or 2 micro watershed using Arc GIS (300ha -500ha) per scheme depends
on extent of command area, the micro watershed which has to be delineated are those give
priorities on sever problem adjacent to scheme.

o Prepare the micro watershed base map for the existing feature of delineated micro watershed.
o Survey all socio-economic data (demography, farming system, and experience of existing SWC
& traditional AF practice of community, gender) of all delineated micro watershed and present
the data of analysis.
o Identify and assess in detail for delineated micro watershed problem (environmental, social,
economic, ecological) through different method (FGD, KII, Observation, interview
community)
o Prepare detail propose type of conservation measures for each land class and quantifying the
required amount of each planned activities and; summarize in table form showing the quantity,
norm, required Person Day (PD) and total cost to complete the work, and schedule of the work.
This will help the necessary materials and labor needed on time, type and amount of tools and
equipment for implementation.
o Prepare the micro watershed development plan map of all proposed measure of delineated
micro watershed plan.
o Quantify different type and amount of inputs and tools, which are necessary for rehabilitation of
watershed with required budget to undertake the proposed planned activities for each micro watershed.
o Identify development alternative options of the woreda’s office of agriculture to develop the delineated
micro watershed beyond the size of micro watershed plan to treat catchment.
o Describe Watershed Implementation, follow up and monitoring system (institutional arrangement,
watershed committee, capacity building…)

5.1.1.7 Environmental and Social Impact Assessment

The PASIDIP II Environmental and Social Management Framework (ESMF) provide guidelines for
the environmental and social impact procedures. In general, the study of the ESIA should include
but not limited to the following:

 The description of the proposed project that covers all aspects and components of the project
such as physical infrastructure, construction and operation activities, management aspects,
community participation in project identification.
 The location of the project, proximity of proposed project components to the sensitive resources
and homesteads, population density per sq.km, catchment area, population size in the catchment
area and submerged area, number of peasant association affected and population displaced, land

parameters and environmental characteristics of the study area including watershed, head work,
command and downstream areas.
o Any investments (industrial and other development projects) in the project area, and
development activities in the affected area such as drought management programs, small
farmer development programs, rural development programs, tribal development programs,
etc.
o The land use patterns, forest type, vegetation cover and status (degraded, partially degraded,
protected, etc.) in the catchment and command area.
o Ground water use pattern in the catchment, depth (max, min,) quality (potable/non-potable)
and fit for irrigation/industry/both.
o Livestock populations in the catchment and command area.
o Ecology and ecological support systems; eg. Economic activities dependent on aquatic
resources, fish breeding grounds in the river, terrestrial and avian fauna (breeding/feeding
areas, migration routes, potential wildlife sanctuaries or protected areas).
 The potential impacts such as social and ecological effects (loss of agricultural, forestry, and
grazing land, natural and critical habitats, cultural heritage, population resettlement effect on
flora and fauna), assessment of the impact of the project to downstream water users, potential
for increased incidence of water borne diseases
 The consultant should follow the report format of ESIA and the guidance is available in the
regional coordination unit.
 Annex 2-4 in the ESMF presents a checklist on key issues that the ESIA needs to cover.
 In addition to the above, the following should be considered
o The ESIA should comply with the approved ToR for the study.
o The consultants should follow the required legal process for an ESIA.
o The ESIA should indicate how the project is compatible with other relevant policies in the
country relating to environment, social, health, gender, labour, climate change etc.
o The cost-effective alternatives to project interventions (location, design, technology, etc.)
should appropriately describe and evaluate their impacts and costs.

o The poverty-environment nexus should have adequately addressed and linked to an


integrated analysis of the environmental, social, health and climate change impacts of the
project.
o The baseline section should give an overall picture of present conditions and trends
(including climate change and social predictions), and include ongoing and proposed
development activities in the study area. It should provide comments on the quality of the
data and the completeness of the database and the baseline study should adequate for
decision-making.
o The baseline data should directly relate to the analysis of impacts, and the monitoring
indicators proposed.
o The report should take into account existing risks, the degree of exposure and vulnerabilities
of the target groups and their livelihoods, current climate variability and/or the potential
future impacts of climate change. There should have inclusion of appropriate adaptation and
disaster risk reduction measures to address potential climate change impacts.
o There should have adequate consideration for building on existing capacities, such as
indigenous, community-based coping strategies and adaptive responses. The report should
explore the potential for the project to capitalize on on-going adaptation and mitigation
efforts by other development actors through partnerships.
o Mitigating measures should appear adequate to both control all significant adverse impacts
and enhance project benefits. The institutional arrangements for implementing and
monitoring the measures should be defined and the costs of implementing and monitoring all
recommendations should be adequately budgeted in the cost tables.
o In case of direct project impacts on land/property, the affected people/communities should
have been properly identified and evaluated their needs free prior and informed consent
processes conducted, and proper compensation mechanisms should have been set and
settled.
o The public consultation processes (especially with the rural poor, indigenous peoples,
women and other disadvantaged and vulnerable groups) should conduct in terms of national
ESIA laws and guidelines.
o There should have adequate documentation of community involvement (especially of the
marginalized poor, women, youth, Indigenous Peoples and other disadvantaged and
vulnerable groups), including an overview of the issues raised and their disposition. The

Assessment Procedures and relevant policies.
o The existing databases, planning studies, other ESIAs, scientific papers, etc. should be used
as information sources.
o The consultant should incorporate detail analysis report environmental procedure set for
program SECAP/ESIA/ESMP in depth for approval of the report.
A. Environmental Studies
Environmental aspects must be adequately addressed in the development process of the respective
scheme. The consultant should undertake but not limited to the following specifics tasks:
 Detail assessment of water quality (water and soil salinity)
 Studies will be conducted on the environmental management methods (forest, soil, wildlife,
conservation etc).
 Collect information on the inherent diseases in the area, public health facilities.
 Identification of major negative and positive environmental impacts of the project.
 Detail assessment of the bio-physical environment
 Detail assessment of effect of the project on downstream water users and the water requirement
for human and livestock population.
 Data collection on socio–economic environment (human and livestock population, health,
education and settlement pattern)
 Formulate mitigation measures for the identified negative impacts of the proposed project on the
environment, including detail costs and expected outcomes.
 Together with hydrologist the environmental flow to the downstream (minimum 25 % of the
lean flow) should be calculated and indicated with full justification in the ESIA report.
 The ESIA study lead environmental expert professional license of the organization/consultant
and CV of each experts participated in the ESIA document preparation should be attached in the
report

5.1.1.8 Socio–economic studies

Household socio-economic data will be collected (if not existing) by sampling a representative
number of households in each proposed scheme. The sample size will be determined based on the

number of households, the diversity of socio-economic conditions and the availability of local

The specific data and baseline survey in respect to the project area (covering both the project
beneficiaries as well as the surrounding communities separately) will include but not limited to:
Socio economic household survey: -
o Study the number of people (households) in the project area with regard to their sex & age
composition; involvement in modern, traditional & rain fed agriculture; where the chief
livelihood means is agriculture and/or involved in other economic activities (broken down by
type of economic activities).
o Acreage of farmland under modern, traditional agriculture and rain fed agriculture
o Study previous experience and future capability of the local people in irrigated agriculture and
their attitude towards change and development.
o Assess relevant social and cultural aspects such as the means of livelihood, their values, customs
and cultures, their tribe/clan characteristics, religion, religious holidays.
o Assess the demographic characteristics of the area: population size, composition and structure,
distribution, population movement, population projection and supporting capacity and the
relative demand for the other necessities in the project area
o Assess the literacy level: number of households with members attaining primary, secondary and
higher levels of education and health status: HIV/AIDS prevalence, number of cases of malaria,
bilharzia and other water-borne or water-transmitted diseases, nutrition-related maladies.
o The economy of the project area: existing income and expenditure of households from different
sources, agricultural product & productivity, land use pattern, cropping pattern, extension &
fertilizer utilization, livestock wealth, and grazing system. Crop yields per type of crop (trends
over past 10 years).
o Assess the settlement and resettlement patterns as to examine the attitude of the people towards
relocation, irrigation development and land redistribution, identify the alternative relocation
areas.
o Estimate the compensation & opportunity costs of the project & identify the alternative means
of compensation.
o Assess institutional and services in and around the project area in relation to the intended
project.

constraints, proportion of agricultural products sold in the market, actual and projected national/
regional data for the intended crops.
o Identify and quantify the market potential for project production such as own consumption,
local and/or regional markets, national markets, international /export markets.
o Survey the manner and procedure of public participation, particularly the existing and future
labor availability, involvement of women in the development project and way of maximizing
their role and active participation.
o Assessment of development projects (labor consuming) to be implemented in the near future in
the project area.
o Assessment on the availability of working or labour force in the vicinity of the project area
which will be involved during construction.
o Availability of other projects which absorbs labour force, labour competition with the proposed
project.
o Assess project cost sharing mechanisms based on farmers’ willingness and ability or
affordability.
o Assess unemployment rate and its impact around the intervention area
 Identification and prioritization of social and economic problems of the area.
 Prepare implementation plan.
 Market and credit facilities available and potential markets for agricultural produce, credit
facilities and other services.

5.1.1.9 Financial and Economic Analysis

Financial Analysis
o Study the financial and economic costs, benefits and cash flow of the proposed scheme and
prepare in tabular form.
o Determine the financial viability of the scheme: financial Net Present Value (FNPV),
financial internal rate of return (FIRR) and Benefit Cost Ratio (B/C). The EIRR and NPV
should be computed and presented for “with and without project” net cash flow for

o Assess the opportunity cost of capital, relevant price and constant price, farm get price,
treatment of transfer payment etc.
o Assess financial price of inputs and outputs estimation including prices of fertilizer, seeds,
tools, equipment and packing materials, wage for unskilled labor and cost of oxen power.
o Analyze in detail the output price of the existing and proposed crops; production and
management project cost.
o Study the full capacity utilization of irrigation land of the scheme, if the irrigable land was
not fully utilized under traditional irrigation practices before, should be (60%, 80%, 100%
respectively) in the first three consecutive years of the project lifetime.
o Prepare action plan of both physical (in quantity and weighted average) and finance using
capital budget on monthly and quarterly basis.
o Quantify the contribution of the community from the total cost of project in percentage in
terms of kind or/and labor they involve.
 Economic Analysis
o Assess the comparison between with and without project as in the case of financial analysis,
the economic analysis involves the comparison of economic outcome with project if any,
has to be foregone when the project is established, net return attributable to the project will
have to exclude such benefits without the project.
o Estimate the economic analysis opportunity cost values (real values) of all items of cost and
benefits. Transfer payments such as taxes, duties, subsides, loans, payment of interest and
repayment of principal should be excluded from the calculation of economic cost or benefit.
o Take the appropriate the economic life of the project based on the life time, for diversion 25
years should be taken as appropriate for the economic analysis.
o Determine economic crop budget, the selection of crops to be grown, optimum yield and
period, optimum level of uses of inputs at optimum yield level, pattern of uses of inputs, and
prices of outputs and inputs.
o Determine the project Cost (Economic), investment, operation and maintenance cost, replace
cost and return to project. The economic rate of return, sensitivity analysis and other
benefits, economic Net Return with and without project.

5.1.1.10 Agribusiness and Marketing

The objectives of the component is to improved access to appropriate inputs, agricultural and
financial services to the target communities, and to mitigate marketing risks, in particular for

perishable high-value crops, the consultant will undertake study but not limited to the following
specific tasks:
o Identify the list of all potential buyers before crop establishment decisions are made and the
needs of the potential buyers in terms of crop standards, quality, timing, quantity, location,
price derivation, etc. (promotion and market intelligence)
o Assess whether the volume, standards, quality, quantity, etc requirements of potential buyers
can be met by the output supply of farmers in the intervention areas.
o Study the technical and financial analysis for each proposed potential crop or agricultural
commodity both at farm and scheme levels. Make sure that the financial analysis is
participatory in the sense that farmers are aware of the crops they will be planting once the
schemes become operational and of the costs involved in producing the suggested crops.
o Conduct a detailed farm level gross marginal analysis based on all available information,
costs, productivity, timing, and prices. In particular, the total cost, as a proportion of
likely/expected/ revenue, will be calculated to determine the likely degree of risk.
o Study and propose farmers’ cooperative productivity improvements through the timely
acquisition of farm inputs, agricultural machinery, postharvest management, transportation,
etc.
o Identify the list of all potential Micro-Finance Institutions (MFIs), Rural Saving and Credit
Cooperatives (RUSACCOs) as well as commercial banks that can potentially provide
financial services to beneficiary farmers, FCs, FGs, and private enterprises in the
intervention areas and assess their willingness and capacity to provide these services to these
actors.
o Identify the possible challenges foreseen by potential financial service providers (MFIs,
RUSACCOs and banks) related to the provision of financial services (credit and savings) to
beneficiary farmers, FCs, FGs and private enterprises in the intervention areas and suggest
strategies to deal with these challenges.
o Identifying FGs, FC and private enterprises (linked to the commodities in the market chain)
who are interested to access credit.
o Assess the demand for financial services by beneficiary farmers, FCs, FGs, and private
enterprises in the intervention areas and the challenges foreseen by these in accessing the
financial services from the financial institutions, and suggest strategies to deal with these
challenges

o Assess whether the potential supply of financial services by candidate MFIs, RUSACCOs
and Banks can meet the demand for financial services by farmers, FCs, FGs, and private
enterprises in the intervention areas.
o Assess the feasibility of using Warehouse Receipt Systems (WRS) that would enable
smallholder farmers to access credit by using their output as collateral.
o Identify the Woreda capacity in facilitating and linking agro processors, traders, transporter
to access financial lending institutions
o Assess agribusiness linkages between these organized farmers and other marketing chain
stakeholders and service providers; and (c) developing linkages with financial service
providers.
o Identify existing FCs that can provide credit, input and output marketing services to farmers
in the intervention areas and assess their capacities to provide these services to farmers in
the intervention areas.
o Assess the capacities of existing FCs in record keeping, book keeping and financial
management techniques such as scheme profit and loss calculations, development of
leadership skills, cooperative governance, and communication, facilitation support to enable
them to provide inputs, access to finance and agribusiness links to produce markets.
o In the absence of FCs in the intervention areas, assess the willingness of farmers to be
organized in FCs and the potential challenges they foresee in doing so. Identify the ways
how farmers can mobilize themselves and be strengthened to form farmers’ cooperatives
and recommend contribution of FC for application and principle of irrigation as a business.
o Develop systematic approach FCs avail inputs to the farmers and helping farmers to market
their surplus produce in more organized manner.
o Identify other potential input suppliers (private) that can supply inputs to farmers in the
intervention area
o Assess the input demand of farmers (quantity, quality, timing, prices, etc…) in the
intervention area and assess the capacities of all identified potential input suppliers (private,
cooperative, etc…) to satisfy the input demand of farmers.
o Investigate the feasibility of establishing agribusiness linkages between different farmers’
cooperatives with the relevant private and public stakeholders, through Market Access
alliance (MAAs) which would be voluntary platforms, comprising membership of farmers’
cooperatives, service providers (transporters, specialist inputs providers, mechanized service

providers, primary processors and aggregators), financing institutions, as well as relevant


Woreda level public institutions.
o Survey the manner and procedure lead farmer to be represented in the IWUA, the FCs, the
FRGs and MAAs, make recommendation MAAs requirement for coordinated effort
throughout the life of the programme.
o Develop business plan in line with standard MFI or Ru-SACCO or Banks for each FG, FC
and private enterprises. Carefully check for market and financial feasibility of receiving a
loan at specified interest rate and time.
o Assess the possibility of obtaining financial services (eg credits) for the timely acquisition of
inputs and small to medium-scale capital assets, such as processing equipment, agricultural
machinery, animals for land works and transportation.
o Study how cooperatives, traders and agro-processors also need financing to aggregate
farmers’ marketable surplus in order to bridge the supply-deficit gap where irrigation
smallholder farmers and other actors in the marketing chain to access financial services
through linkages with Micro-finance Institutions (MFIs) and Ru-SACCOs.
o Identification of opportunities for young entrepreneurs of potential post-harvest and market
related activities/enterprises benefiting youth and provide skills training.

5.1.1.11 Organization and Management

 The study should identify the institutions to be involved in the development of the project. It
should identify any constraints on the proposed development as a result of current institutional
set-ups. The issue of how best to mobilize and involve farmers in the development work must be
given full consideration and concrete alternative proposal on organizational requirements and
methods should be presented.
 An irrigation water user association (s) must be established at the respective command area.
 In particular the issues of the difficulty farmers have in obtaining sufficient extension support,
credit and marketing facilities, and training should be well addressed.
 Existing national and regional government policies and strategies relevant to the proposed
development project should be reviewed and evaluated exhaustively. Constraints that such
policies impose on the envisaged project, if any, should be identified and proposals made for
modifications for the policies to enable effective project output.
 Detailed studies and recommendations on all relevant phases of the proposed development
project particularly the operational and management structures required to implement the project

should be made. Procedures of organizing an Irrigation Water Users Association and its
constitutional aspects should be presented.

5.1.1.12 Cost estimate

Detail cost estimate of an acceptable format should be prepared for all the proposed works
considered at the preliminary design level and also for the final detailed design with schedules of
expenditure.

The consultant should make ensure that:


o The cost per ha of the scheme is around 5,500 USD as a result reasonable cost cutting
options should be included while designing and estimating.
o Site specific unit rate analysis is included in the design report.
o Machine rental rates, material and labor costs should be based on most recent data.
o Provisions for contractor overhead cost and profit should be included in the estimate.

5.1.1.13 Certificates as per the Ethiopian Government criteria

As the name of the program indicates, the whole process including study and design phases should
ensure real participation of farmers. This is mainly because

1. As per the agreement between Ethiopian government and IFAD, farmers will contribute 5%
of the construction cost either in the form of labor or supplying materials; in the case of
watershed works 40% contribution in the form of material and labour

2. After the completion of construction, farmers will be handed over.

Therefore, the consultant will be responsible for arranging meetings with beneficiaries and stake
holders to ensure that farmers have accepted and agreed to work as per the program criteria. Hence,
this should be indicated during the study process and must be confirmed using legal documents.

Furthermore, the consultant must ensure active participation of all stake holders namely,

7. The Woreda Health Office


This is mainly because all stake holders have a decisive role in making the project objectives
attainable.

As a result, the consultant should make sure that (using official signatures):
o The consultant should be responsible for bringing a certificate from the respective Woreda
or regional Bureau of Health stating that, an impact assessment of the scheme on public
health has been carried out and instituted appropriate measures to protect the community
have been proposed.
o The consultant should be responsible for bringing a certificate from the respective Woreda
or regional Bureau of water resources about irrigation water permission of the scheme.
o The consultant should be responsible for bringing a certificate from the respective Woreda
administration office about acknowledgement and request made by the beneficiaries. (The
scheme initiation and identification should be carried out jointly with beneficiaries in such a
way that the beneficiaries will contribute 5% of the project cost (infrastructure cost) either in
the form of labour or supplying construction materials; in the case of watershed work 40%).
o The consultant should be responsible for bringing a certificate from the respective Woreda
Bureau of water resources about agreement made between the irrigation water user’s
association officials (all) and the Woreda administration. (A scheme implementation
agreement must be entered into between the respective IWUA and Woreda administration).
o The consultant should be responsible for bringing a certificate from the respective Woreda
or regional Bureau of agriculture and rural development stating that, all beneficiaries have
their own land holding certificates. (or Realistic arrangements must be put into place for the
issuance of land certificates to beneficiaries of the respective command area).
o The consultant should be responsible for bringing a certificate from the respective Woreda
or regional Bureau of agriculture and rural development stating that, Development Agent
(DA) is assigned on each scheme (indicating his full name)
o The consultant should be responsible for bringing a certificate from the respective Woreda
or regional Bureau of agriculture and rural development stating that, the respective
watershed has either been treated or that realistic arrangements (including finance) have
been made for its treatment.
o The consultant should be responsible for bringing a clearance (certificate) from the
respective Woreda office or Regional Bureau of Land Use Administration and

Environmental Protection stating that, the respective its expert has carried out the ESIA
screening checklist and the expected impact is insignificant & it will be protected by the
community and the woreda support.

All forms can be obtained from Regional BWR or PASSIDP-II coordination Project Offices. In
cases of some difficulties during the study and design process the Project coordination unit can help
but the consultant is solely responsible for each and every stake holder and beneficiary involvement.

5.2 Detailed Engineering Design

 Preparation of the topographic map of the command area, head work, conveyance structures,
division structures & other structures at the specified scales.
 Detailed engineering design of the head work, main irrigation system and drainage system.
(Intake structure, main, secondary, tertiary and field canals and drains and related hydraulic
structures).
 Accurate definition on type & location of Dam/, sizing, Spillway, Intake Tower, head
regulator, u/s & d/s apron
 Preparation of specifications, detail working drawings, Bill of Quantities and Cost Estimate
(it should be site specific).
 Preparation of operation and maintenance manuals
 Preparation of full study documents
 Preparation of layout clearly indicating the canal and drainage networks
 Profile of main, secondary and tertiary canals at a specified scale including the canal and
drain sections, sizing, lining type, conveyance (crossing) structures, division structures etc.
 Sizing and details of conveyance, division, regulating, measuring and protecting structures

5.2.1 Engineering Geology and Geotechnical Investigations

The consultant should undertake the engineering geology and geotechnical investigations at the
proposed sites in accordance with the references detailed below.
 Collection of geological reports and maps in general and Dam site and Reservoir are
identified by the identification studies in particular.
 Visit to the proposed Dam site of interventions and verify its suitability from geological and
geomorphologic point of view through traverse downstream and upstream of Dam site.
 On purpose to acquire a complete documentation of geological conditions at the proposed
site(s) selected detailed topographic map of scale 1:1000, or 1:2000 with 2.5 or 5 m contour

intervals is of primary importance, cross sections along axis of Dam, at 100 m d/s and u/s,
exploration of Dam site and investigations of construction materials and their suitability.
Besides, the following major services are required with regard to the engineering geology and
geotechnical investigation:
Foundation Investigation

A program of exploration will assess foundation areas of Dam by pitting/trenching in significant


areas with corresponding logging and sampling of rock or other material for laboratory tests. All
tests will be performed as per ASTM standards.
Detailed Investigation Report on the foundation investigations of different structures/components of
the project discussing the following points and additional points, if any, as relevant to the structure
should form an appendix of the Detailed Project Report. Summary of the investigations carried out,
results, treatments, recommendations etc. should be furnished under this chapter of the Detailed
Project Report.

i. Masonry/ Concrete River diversion/ intakes etc.


a) Details and location of the pits, along the river diversion axis and abutment, and in-situ tests
conducted for foundation investigations including other locations.
b) Details and location of pits excavated in the abutments.
c) Summary of the field investigations/observations, in-situ and laboratory tests data, evaluation
of the design parameters and treatment proposed.
ii. Construction Material Investigation
Detailed report on the investigations of the following materials and more, if any, as relevant to the
project, should form an appendix to the Detailed Project Report. The report should discuss the
details of the field work undertaken, logging of the pits, profile of soils, samples collected, tests
results and evaluation of the design parameters as relevant to each material.
Summary of the investigations should form this chapter of the Detailed Project Report discussing
the quantitative aspects and bringing out clearly the conclusions based on the field
observations/investigations/laboratory tests.
a) Soils/Borrow – Location(s) of different types of soils (to be used for Fill/lining) in the borrow
area – quantities, properties etc., with a map showing the thickness.
b) Sand – Location(s) of sand quarry/other source (crushed sand) quantity available, properties,
etc.

c) Rock and Aggregates – Location(s) of the quarries of different types of rocks available and
their properties, quantity available, etc.
d) Scarce Materials – Source, quantities required and procedures for procurement etc.

MATERIAL SURVEY

As far as possible the sample for testing should be collected by qualified persons from the testing
laboratory. Alternatively, sufficient quantity of samples should be collected as per procedure
prescribed in IS and in consultation with the laboratory.
 Soils
Pits/auger holes (diameter 15 to 30 cm) should be taken in the proposed borrow area on 30 to 50 m
grid depending on the uniformity of soil depth & type and representative samples collected/tested
for different types of strata/soil to determine their properties and delineate the soil zones.
The depth of the pits/auger holes should depend upon the availability of the soils and economic
exploitation. The borrow area should be located at near the river diversion site as possible.
Note: The plan and section showing the stratification of the borrow area should be included in the
appendix. The lead for different types of soils from the site(s) of work for different borrow areas
should be included in the appendix.
 Aggregate and rocks
Samples from the different approved rock quarry (ies) for different type of rocks should be collected
for laboratory tests. Lead from the site(s) of work of different quarry (ies) should be indicated. For
assessment of quantities, drill holes should be taken in consultation with geologist, if required.
 Natural/Crushed Sand
Samples from the approved quarry/source should be collected for laboratory tests. The type i.e.,
natural/crushed sand should be indicated clearly. The lead from the sources to the site(s) of work
and quantity available should be indicated.
 Cement & Steel
The source/stockyard etc. and its distance from the nearest railhead to the site(s) should be
indicated.
 Scarce Materials
The source of the scarce materials should be indicated.
 Any Other Material
Required details as indicated in the earlier items should be indicated.

5.2.2 Engineering Design

i) Head work and Appurtenant Structures

 The consultant is expected to propose a suitable type of Dam and associated structures to
divert the water and convey it to the main canal by gravity and at minimum cost.
 Detail design of Dam body and associated structures and its appurtenant should be prepared.
 Layout, profiles and cross-sections of Dam and its appurtenant structures as well as canal
and drainage networks and structures should be prepared at appropriate scales.
 Detail design of Night storage (if the discharge is not sufficient) to irrigate the available
irrigation land.
ii) Canal work (Infrastructure)

The consultant should undertake the following specific tasks:


 Preparation of canal & drain layout
 Delineation of irrigable land
 Detail design of canal & drain sections and profiles
 Detail design of protection (Revetment) works as required.
 Design canal and drain crossings (for cattle and machinery) at selected location.
 Design proper drainage system (irrigation water surplus and rainfall runoff and catchment
drain)
 Detail design of canal & drainage structures
 Detail irrigation scheduling

5.2.3 Tentative construction schedules

The consultant should prepare a tentative construction schedule to undertake the construction work
and method of construction and required type of machines.

5.2.4 Operation & Maintenance Manuals

The consultant should prepare Operation and Maintenance Manuals on river diversion (reservoir,
appurtenant Structures, canal & drainage networks, irrigation and water management practices and
so no. O&M aspects must be included in the irrigation infrastructure and agronomy reports. Thus,
the study team must prepare O&M guideline that show on how to:
o measure the flow rate to be delivered in to each field canal so as to enable the WUA ensure e
quitable water distribution among the blocks;

o ensure equitable water distribution among farmers within a block (i.e. among the tail end use
rs and those towards the head of the system);
o deliver water from field canals to the fields (i.e. there is no specification of and operational g
uideline on either of the following: spills, siphons, bank breaching, or permanent outlet struc
tures);
o enable the farmers to determine the contact time or irrigation duration per furrow
o minimize anticipated water losses during conveyance and application;
o Determine and collect fee from each user as part of the O&M budget, etc.
6.0. Project Monitoring and Evaluation

6.1 Study Organization

Regional Water Resources Bureau will designate a project coordinator. Counter parts, as required
will also be assigned to the study group mainly for capacity building and for follow up of the study:
 The consultant’s study team should be led by a study team leader who should have the
responsibility for the execution of the project activities. The consultant’s team leader is
reporting to the project coordinator.
 The consultant’s team should perform all the undertakings in all sincerity using
professionally qualified staff. The consultant should, within the limits of possibility submit
the required reports in agreed and acceptable form without delay.
 The consultant’s study team and the Bureau will evaluate the progress of the work on
monthly basis.
 The consultant will be responsible to make adjustments, if any, to the study and design
documents comments which will be forwarded by the client and another consultant or
taskforce assigned to review the designed document.

6.2 Work Schedule

6.3 The consultant should submit in its proposal a time bound work schedule with regard to:

i. Contract signing
ii. Commencement of works,
iii. Submission of inception report,
iv. Submission of design criteria,
v. Submission of feasibility study and preliminary design report and

7.0. Duration of services

The estimated time for the study and detail design of the irrigation scheme is four to six months.
The inception report should be submitted within 20 days of the commencement of the project (Table
4). It should present review findings of all previous studies, identified data gaps and constraints as
well as potential, means of filling the gaps, methodologies and detailed schedule of the remaining
activities.
8.0 Copy requirement

All reports (of all disciplines) and drawings should first be submitted in five (5) draft hard copies
and soft copy in an editable CD/DVD for review. After review and approval of the draft reports six
(6) hard copies and softcopy in an editable CD/DVD of the final reports should be submitted,
including drawings, charts, data sheets, Operation & Maintenance Manuals, etc.
9.0 Manpower Requirement

The study requires a wide range of disciplines. The study team should be composed of highly
experienced professionals. The consultant should at least provide the following key personnel for
the assignment.

10.0 Types of Reports and Reporting Schedule

General

In accordance with the implementation schedule, the consultant should submit the following reports
in person to Regional BoWIERD, all in English. Except the inception and progress reports, the draft
form of the reports should be submitted in 5 (five) hard copies and soft copy in an editable
CD/DVD for review and comments. After incorporating any required rectifications, 6 (six) copies
each in hard copy and a soft copy in an editable CD/DVD should be submitted to Regional
BoWIERD.
Inception Report

This report should be submitted within 20 days of the commencement of the project. It should
outline the consultants organizational and work plan for accomplishing the study. Co-ordination of
activities and schedules of services to be provided with a chart of activity and manning schedule
should be shown in the report. It should also include the consultant’s appreciation of the task
including an outline of methodologies on how the assignment would be approached. Review of
existing data and literature should be given and identified constraints and potentials and then the
consultants view on how to approach them clearly presented.
Progress Report

Progress reports should be submitted within five days after the end of the reporting month, and
should indicate activities carried out, problems encountered in the reporting month and proposed
remedial measures. The reports should be brief as much as possible and be presented in a chart
form. Progress against the schedule as well as schedule for the following month should be
incorporated.
Planning and Design Criteria Report

This report should outline in detail the basis on which the study intends to formulate the principal
project components. Alternative solutions should be discussed together with the technical
specifications, typical design, cost estimates and justification of the solutions selected. This report
should be submitted to the Bureau for review before the major activities are commenced.
Feasibility Study and Preliminary Design Report

This report should depict each of the formulated project alternatives in every sector of the study.
Feasibility studies on most possible project alternatives, financial projections should be included in
this report. It should also include preliminary designs and cost estimates of alternatives and

comparison and assessment of the technical, financial, social and environmental viability of the

Final Design Report

This report should be prepared following the review of the draft detailed design report with
emphasis on the technical and financial feasibility of the irrigation project. This report should
include all the detailed calculations used to arrive the preliminary and final designs, necessary
sketches, graphs, tabulations required for clarification of their application, and all supporting data
on which the design is based.
It should also include on Operation and Maintenance manual for the river diversion, canal &
drainage structures, which also specifies the water management and irrigation water scheduling of
the irrigation system. Complete sets of hard copies and soft copies in a CD form of construction
drawings should also be submitted along with the report.

11.0 Payment Schedule

Payment provisions, including amounts to be paid, schedule of payments, and payment procedures,
should be agreed upon during contract negotiations. Payments will be made as per agreed outputs.

Terms of Payment for this consultancy will be as under lump sum contracts; and this will be
payable as follows:
 Twenty percent (20%) of the lump sum amount shall be paid up on submission of inception
report.
 Thirty percent (30%) of the lump-sum amount shall be paid upon submission of the draft
final report.
 Forty percent (40%) of the lump-sum amount shall be paid upon approval of the final report.
 Ten percent (10%) of the Lump-Sum amount will be up on obtaining of environmental
clearance from the respected offices responsible.
1. Payment of Laboratory Costs for Soil Survey/Agronomy, Field and laboratory costs for
Geological and Geotechnical Exploration and material testing will be paid on
measurement. (As per the breakdown attached on the contract agreement and up on
submission of each test result and measurement of pit depth and borehole)
2. With reduction/increase of irrigable command area given by the client at the beginning
of the study; the costs of Hydraulic/Irrigation Engineer, Senior Surveyor and Assistance
surveyor will be reduced/ increased accordingly.
3. The consultant should thoroughly examine and investigate the availability and suitability
of core and shell material from the early stages of study and design period up to the final
design. In case, the consultant feels the core and shell materials are not sufficient for the
proposed project, it should notify immediately while working on site so to allow the
client to look for other source and technology options. If there happens scarcity of core
and shell materials during construction once it is reported as sufficient in the study and
design, the consultant should indemnify the client for such disparities. Hence, the
consultant should reimburse the same amount with the study and design contract.
However, the consultant will not be responsible for changes occurred after the design
(such as, manmade extraction of the quarry material, major natural disaster that results a
change on natural condition etc.
4. If the client fails to comment the draft report within a month duration, the draft design
will be considered as a final design and final payment will be paid.
5. If the study and design of the Project is terminated before completion due to Force
Majeure, the expense of the Consultant for Experience Sharing and Knowledge transfer
shall be reimbursed by the Client.

12.0 Transfer of Skill and Technology

 Practicing professionals from the region and woreda will be assigned to work as counter
parts to most of the experts of the study team. Each member of the consultant team, while
conducting the study and design work, will involve his/her counterpart in practical activities.
In due course, the expert will identify the skill gap and conduct them on the job training for
his/her counterpart. The effectiveness of the skill transfer process will be evaluated by each
expert, the team leader, over all evaluation will be made by the bureau periodically.
A sort of lecture or seminar should also be arranged towards the end of the input of each consultant
so as to present the procedures and methodologies he has followed to execute his assignments.

 The type and number of field and office equipment that would be used during planning,
investigation and design will be specified as detail as possible. During the progress of the
study, the experts should have to demonstrate the operation and handling of the equipment
to their respective counter parts.
