District agrees to contract with the Contractor and the Contractor agrees to personally perform in a ‘manner satisfactory to the District the following services: Educational Consultant to assist and advise in the areas of financial review, Reduction in Force (RIF) process, and assisting the Acting Superintendent in all appropriate means deemed necessary. Contractor retains the right to delegate or assign these duties to another individual within his or her ‘employ, but such assignment may only occur after first receiving advance approval from the District. 2. Services are to be performed on the following date(s): Effective April 4, 2022 until services are deemed no longer necessary by the District Board of Trustees Compensation: The District agrees to pay the Contractor for the above services when satisfactorily performed. Payment will be made according to the District's standard Accounts Payable schedule: a. nottoexceed fee: hourly rate $150.00 in person and $75.00 telephonic consultations b. reimburse: $8.58 per mile travel reimbursement for traveling to and from the District while on District business, Other items agreed to by District and Contractor as listed below: Must provide original receipts for lodging 4, Taxes: A W-9 tax form must be on file with the District. If you have already submitted a W-9, itis not necessary to complete another one. * Important: Contractor agrees to additional terms and conditions on page 2 and 3 of this contract. Neither this Contract nor any duties or obligations under it shall be assignable by Contractor without the prior written acknowledgment and authorization of WFISD. 6. Independent Contractor Status. Itis the intention of the parties that Contractor be an independent contractor and not an employee, agent, joint venture, or partner of WFISD. 7. Entire Agreement. This Contract consist only of this Agreement. 8. Force Majeure. The parties to this Contract may be excused from performance hereunder during the time and to the extent that they are prevented from performance due to acts of God, acts of the Government in its sovereign (and not contractual) capacity, fires, floods, epidemics, quarantine restrictions, public health emergencies, or unusually severe weather that forces road closures which SSN or Employee ID Number: RCMv052022 Page 1of 3 1104 Broad « P.O. In all such events where performance is delayed or prevented, the affected party shall nonetheless exert reasonable efforts to remove said causes and, resume performance hereunder. However, if WFISD has submitted payment under the terms of this, ‘Agreement prior to full performance of this contract, and an event or circumstances described in this paragraph delays or prevents performance of this Agreement, Contractor will refund all monies paid by WFISD if the parties cannot agree to resume performance of this Agreement at a mutually acceptable time and provided that such non-performance is not due to the fault of the non-performing, party. 9. Indemnification. Contractor hereby indemnifies and holds WFISD harmless from and against any and all loss, damage or claim against WFISD, arising from Contractor's acts or omissions in connection with the services described in this Contract. 10. Termination. Either party for any reason upon seven (7) days prior written notice may terminate this Contract without cause. 11. Changes & Amendments. During the Term of the Contract, WFISD reserves the right to make changes to the work the Contractor is required to provide pursuant to this Contract. This Contract may be amended only by the mutual agreement of the parties, in a writing to be attached to and incorporated in this Contract. All such changes shall be made in writing and agreed to by both partes. 12. Governing Law and Venue. This Contract shall be governed by and construed in accordance with the laws of the State of Texas. The mandatory and exclusive venue for the adjudication or resolution of any dispute arising out of this Contract shall be in Wichita County, Texas. 13. Invoices. Contractor is required to submit original invoices to the WFISD Business Office. The invoices can be mailed or emailed through the postal service to WFISD Business Office ATTN: WFISD CFO Attn: ‘Timothy Sherrod PO Box 97533 Wichita Falls, Texas 76307 or tsherrod@wfisd.net. Failure to send the Invoices to the Accounts Payable Office will delay payment. Contractor certifies that no work has been, performed before the effective date of this Contract. The invoices must include the list of services provided, dates of services and any reasonable business related expenses such as travel and hotel costs 14, Debarment and Suspension. Pursuant to 7 C..R. 3017, during any period in which a person is suspended, debarred, proposed for debarment, ineligible, or voluntarily excluded from eligibility for covered transactions by any Federal department or agency, that person shall be excluded from any and all work hereunder that is considered a covered transaction including, but not limited to, participation in any WFISD Program or purchase of any goods or services from WFISD. Generally, work that is expected to equal or exceed the Federal procurement small purchase threshold as defined in 7 CER. 3017.110 (currently $100,000) is considered a covered transaction. With respect to work hereunder that is considered a covered transaction, Contractor agrees to comply with any and all requirements of 7 C.F.R. 3017 including, but not limited to, obtaining and/or providing the certification and providing immediate written notice upon discovery of any errors in a certification previously obtained and/or provided, as necessary for such compliance. Contractor acknowledges that, with respect to debarment and suspension, Federal law may impose additional, more specific, and/or more restrictive requirements for certain work hereunder that is considered a covered transaction; Contractor agrees to comply with any and all such requirements. Resident Citizen. Pursuant to Sections 2252.151-.154 of the Texas Government Code, the Contractor hereby certifies that itis not a company identified on the Texas Comptroller's list of companies known to have contracts with, or provide supplies or services to, a foreign organization designated as a Forelgn Terrorist Organization by the U.S. Secretary of State under federal law. 18. Certification Regarding Boycotting of Israel. If (a) Contractor is nota sole proprietorship; (b) Contractor has ten (10) or more full-time employees; and (c) this Agreement has a value of $100,000 or more, the following certification shall apply; otherwise, this certification is not required. Pursuant to Chapter 2270 of the Texas Government Code, the Contractor hereby certifies and verifies that neither the Contractor, nor any affiliate, subsidiary, or parent company of the Contractor, if any (the “Contractor Companies”), boycotts Israel, and the Contractor agrees that the Contractor and Contractor Companies will not boycott Israel during the term of this Agreement. For purposes of this Agreement, the term “boycott” shall mean and include refusing to deal with, terminating business activities with, or otherwise taking any action that is intended to penalize, inflict economic harm on, or limit commercial relations with Israel, or with a person or entity doing business in Israel or in an Israeli- controlled territory, but does not include an action made for ordinary business purposes. 19. Certification Regarding Affiliation with Abortion Providers. Pursuant to Sections 2272.001-.005 of the ‘Texas Government Code, the Contractor hereby certifies that itis not an “abortion provider,” nor is it n “affiliate” of abortion provider, as those terms are defined in as defined in Texas Government Code Section 272,001.
