INTODUCTION

CORPORATE LAW :
Corporate law ( Droit des sociétés ) or enterprise law is the body of law
governing the right, relations and conduct of persons, companies,
organizations and businesses.
CLASSIFICATION OF COMPANIES :
Foreign companies have a choice between severel legal form to carry out
thier activities in Marocco. The different types of companies in Marocco
fall into tree main categories :
1 . Partnerships companies ( Sociétés de personne ) : general partnership
(société en non collectif ), limited partnership ( Société en commandite
simple ) and joint venture ( Société en participation ) .
2 . Capital companies : public limited company ( Société anonyme ) ,
simplified public limited company ( Société anonyme simplifiée ) and
limited partnership with shares ( Société en commandite par action ).
3 . Hybrid companies : limited liability company ( Société à responsabilité
limitée ) .
DEFINITION OF LIMITED LIABILITY COMPANY ( LLC ) :
The LLC is the legal structure usually chosen by people who are
intersested in starting a company , since it accounts for more than 97% of
the companies incorporated during the period 2010_2014 according to the
Maroccan Office of Industrial and Commercial Property ( OMPIC ) .
So, LLC is a legal entity with legal personnality . It can be incorporated
by a single shareholder or by severals shareholders . This legal for mis
generally adopted to small busniss and medium-sized enterprises.
