a) The requirements/amendments as per your request has been duly rectified / attended to;
b) The underlying transaction is valid and enforceable. The underlying transaction and the financing
and security arrangement are not in breach of any laws and are binding on the Borrower(s) /
Customer(s) and security party(ies). The Bank’s standard facilities and security documents can
be used for this matter;
c) The search results, confirmations, certificates, and undertakings set out in the schedule have
been reviewed by us and are in order;
d) The documents prepared by us have complied with all the requirements of the Bank. The above
documents have been checked and verified by us and have been found to be in order. We will
bear all responsibilities due to any reasons attributable to our acts of negligence, error, mistake,
omission or commission resulting in the Bank sustaining or suffering any loss or damage arising
thereform;
e) All the conditions precedent for drawdown/utilization specified in the Letter of Offer and loan/legal/
security documents (if any), as the case may be and/or may be advised by us have been
complied with. The Bank’s security interest have been perfected, is valid and enforceable;
f) All commercial terms and conditions reflected in the security documents and other pertinent
details are correct and in order, in accordance with the Bank’s Letter of Offer and source
documents;
g) We confirm that at the signing of the security documents, our lawyers were physically present to
attest and witness the signature of the customer/security provider and the lawyers have also
confirmed the identity of the customer/security provider by requesting the customer/security
provider) to present his or her identity card (or passport) and have verified their personal details
accordingly; and
h) that the Purchaser(s) has settled and paid to us all the legal fees, disbursements and stamp duty
pertaining to the Security Documents for the loan facility.

Based on the above and subject to the fulfilment of all condition precedent as set out in the Letter of offer,
we are of the opinion that it is in order and recommend to release the Facility(ies) as follows:-
