My name is Oliver B. Mitchell III, Founder and CEO of Urban Ground Resort, LLC,
owned and operated by Village Resorts Hospitality Group, LLC, a full service hospitality
development company. As the CEO, I am responsible for running all facets of the
business. I’m also a former U.S. Marine who has well over 30 years in corporate retail,
government, and entertainment industry experience with a proven track record having
held numerous key positions over the 30 years of my career where I have been able to
drive sales and performance measures that have exceeded growth during my tenure.
The purpose of my communication is to establish an open dialogue with the intent to
address systemic issues related to the conduct of my business in hopes of further
clarifying the usage and intent of Urban Ground Resort & Residence both individually,
jointly, and combined.

Urban Ground Resort & Residence began as Urban Ground Bar & Grill. The idea for
Urban Ground Bar & Grill were to fill a void in the Los Angeles urban and gay
demographic. Beginning sometime in 2012 many of the Los Angeles area gay
establishments that catered to the black, gay, and urban experience were closed for
various reasons. As of this date, to our knowledge, there remains no major dedicated or
regional space for the black gay urban experience in Los Angeles.
The name Urban Ground were chosen based on my target and projected clientele. Urban
Ground Resort & Residence fits my desired concept, image, infrastructure, and theme of
the establishment. The name Urban Ground Resort & Residence while fitting my desired
concept, is in no relation related to any other property known as Urban Ground.
Curated as the first of its kind aimed at the black male and urban gay male demographic
Urban Ground Resort & Residence has grown into the ultimate gay experience. Urban
Ground Resort & Residence is a dual purpose, commercial and residential property,
offering a Vegas style resort atmosphere, providing a full service, fully inclusive, luxury
gay resort and private residence offering the amenities, services, and attractions of a
premier resort destination.
Urban Ground Resort & Residence while being a dual purpose, commercial and
residential “privately owned” property owned by Village Resorts Hospitality Group,
LLC, the parent Company to Urban Ground Resort, LLC, operates as a commercial gay
resort and private residence.
While Urban Ground Resort & Residence may be a gay resort aimed at gay black men
and the gay urban demographic, Urban Ground Resort is a commercial space privately
owned by Urban Ground Resort, LLC, that will be made available to the broader LGBT
community as we are a gay established establishment, Urban Ground Resort, LLC, does
not discriminate, and discrimination will not be tolerated. Our target audience remains
that of the more urban nature aimed at the black male and urban gay male community as
it’s meant to fill a necessary void, and Urban Ground Resort, LLC, will not change the
concept, look, design, environment, or feel to fit a target audience other than what we
have already proposed, market and cater to.
Hospitality is defined as "the friendly and generous reception and entertainment of
guests, visitors, or strangers" and the Mission Statement of Urban Ground Resort, LLC
"is to provide the ultimate resort experience" and through our Mission Statement, Urban
Ground Resort, LLC, has carefully curated an environment that is stylish, upbeat, and
modern as we strive to provide an environment free of fear and oppression by offering
our Guest our version of an ultimate guest and resort experience.
The promotion of dignity, equality, self-affirmation, and visibility as opposed to shame
and social indignity is the champion that drives the “ultimate dining and social

experience” open to all guests, visitors, or strangers of Urban Ground Resort &
Residence. We champion an environment where all persons are valued and treated with
respect regardless of social categories.
As the Founder/CEO of Urban Ground Resort, LLC, despite my legal woes that have
expressly hampered my ability to carry forward the vision and mission of Urban Ground
Resort & Residence designated as a luxury male gay resort marketed towards the black
and urban gay community, I and Urban Ground Resort, LLC, remain firm and committed
to offering a venue open to all guest. As expressly indicated, Urban Ground Resort &
Residence were curated with the intent to fill a void within the black male and urban gay
male community and is history making within itself while no such other entity exist.
Urban Ground Resort, LLC, asks and expects all Guests, visitors, and strangers of all
Nationalities regardless of race, color, religion, origin, gender, and sexual orientation to
refrain from favoritism, discrimination, hostility, and aggression towards Our targeted
and marketed demographic while on venue property against them based on race, color,
religion, origin, gender, and sexual orientation, and such favoritism, discrimination,
hostility, and aggression go against Our standing policy and Mission Statement of
providing a curated environment that is stylish, upbeat, and modern as we strive to
provide an environment free of fear and oppression towards Our chosen and targeted
demographic of the black gay male and urban gay male demographic.
Urban Ground Resort is a luxury gay resort that offers its Guests access to Urban Ground
Resort’s amenities, activities, products, goods, and services. Many of the amenities are
completely situated on Urban Ground Resort Property and are deemed “privately owned
public spaces” for the purpose of defining these spaces.
Urban Ground Residence is a privately owned residence “separate from” Urban Ground
Resort aimed solely at a gay male urban demographic “first,” with the intent on creating
new and unique residential experiences. Urban Ground Residence is a life, style, and
destination that awaits with distinct luxury apartment homes, townhomes, and modern
homes with all of life’s everyday amenities. While Urban Ground Residence may be
modeled after a public town, county, or city, Urban Ground Residence is a privately
owned residence that maintains no infrastructure for schools, churches, or political
activities and any unauthorized events, speeches, or use of any flag, banner, or sign or
other material for any religious, commercial, historical, demonstration, or social
movement purposes are expressly forbidden on Urban Ground Residence property. Urban
Ground Residence is also designated as a “gun free” zone as we prohibit the carrying of
firearms while on resort and/or residential property. Our desire to limit the carrying and
transporting of any firearm are in line with our intent on curating an environment free of
fear and oppression and is both legal and binding.

A privately owned public space is a term that refers specifically to “private property”
usable by the public under zoning or similar regulatory agreements and the phrase in its
broadest term can refer to places like shopping malls, resorts, and hotel amenities and
attractions that are privately owned and open to the public even if they are not legally
required to be open to the public.
From time to time at my sole discretion Urban Ground Resort, LLC, may limit, restrict,
deny, or expand its products, goods, and services to any one person, group, or entity
based on the type of products, goods, or services in question at the time of limitation,
restriction, denial, expansion, amendment or modification per the definition of a
“privately owned public space.”
As indicated on August 24, 2021, the success of Urban Ground Resort, LLC, is measured
by my attempt to develop products, goods, and services that are aligned with my
Company's goals and strategies. From time to time, at my sole discretion Urban Ground
Resort, LLC, reserves the right to implement, modify, cancel, or change any agreement as
necessary.
To combat fraud and dishonesty in the conduct of trade and commerce, I have recently
adopted new structural defenses to address systemic issues related to the conduct of my
business. Vulnerability to fraud and dishonesty can sometimes result in unsolicited and
hostile takeover attempts, which can influence the operations of an organization and
influence corporate decision-making, hindering our success and long-term goals.
Urban Ground Resort, LLC has reasonable grounds to believe that hostile actions or an
attempt at a hostile takeover of Urban Ground Resort, LLC, to include Urban Ground
Resort & Residence or any of the Company's we may own, operate, and manage, may be
present.
The latest attacks against me, I believe, are directly related to my role and involvement in
unrelated and past incidents. The CEO, Mr. Oliver B. Mitchell III, is a former federal
employee turned whistleblower whose disclosures sparked national discourse. Despite the
legal protections afforded whistleblowers, the CEO of Urban Ground Resort, LLC,
continues to be singled out for discrimination, racism, reprisal, and excessive judicial
punishment, which has led to a disruption in our attempt to offer the ultimate resort
experience.
Unfair competition can result in dishonest and fraudulent rivalries in trade and commerce
and damage intellectual property. Unfair competition addresses circumstances where
employees and consumers can be misled or result in deceptive trade practices that can
alter or restrict a company's attempt to engage in the exchange of trade and commerce.
Acts of unfair competition are generally characterized by acts of deception, bad faith,
fraud, and oppression severe enough that the victim is thwarted or prevented from

successfully engaging in trade. Unfair competition covers many subjects; however, a
variety of the most common is trademark infringement, false advertising, unauthorized
substitution, bait and switch, the misappropriation of trade secrets, and rumor-mongering
to name a few.
The Mission Statement of Urban Ground Resort, LLC, is to deliver "the ultimate resort
experience." Through our Mission Statement, our goal and intent are to carefully curate
an environment that is stylish, upbeat, and modern as we strive to provide an environment
free of fear and oppression.
As the Founder and CEO of Urban Ground Resort, LLC, I have contributed significantly
to curating an environment that is stylish, upbeat, and modern and Urban Ground Resort,
LLC, disavows any perceived discrimination, reprisal, and retaliation against myself for
being African American, including my sexual orientation (gay) and perceived positions
regarding Urban Ground Resort, LLC, and Urban Ground Resort & Residence
operations.
Urban Ground Resort, LLC, and the Company’s we may manage, own, and operate,
reserve and retain all Intellectual Property Rights to any Content specific to Urban
Ground Resort, LLC, and the Company’s we may manage, own, and operate. From time
to time, we may submit, post, or display on or through the world wide web, websites, and
social media services and we retain all rights to all content whether they may be
incorporated audio, photos, videos, depictions, concepts, advertisements, promotions, and
marketing materials specific to Urban Ground Resort, LLC, and the Company’s we may
manage, own, and operate.
Intellectual property theft refers to the robbing of ideas, inventions, and creative
expressions (intellectual property). The most common types of Intellectual Property theft
include trade secrets, trademarks, copyrights, and patents. Intellectual Property can
include everything from proprietary products, goods, services, and parts, to movies,
music, web content, business processes, inventions, literary, artistic works, symbols,
names, images, and designs used in commerce and software that are considered
“creations of the mind.” The robbing of intellectual property can result in dishonest and
fraudulent rivalries in trade and commerce and damage intellectual property.

own, and operate, through the world wide web, websites, and social media services, may
express views and opinions expressed by Urban Ground Resort, LLC, through the
submission, posting, or displaying of content, to include images and/or images of
products, goods, services, and properties nonrelated to Urban Ground Resort, LLC, are
the views and expressions of Urban Ground Resort, LLC, depicted for the purpose or
reference made by Urban Ground Resort, LLC.

The submission, posting, or displaying of content, to include images and/or images of
properties, expressions, comments, and concepts, to include incorporated audio, photos,
videos, depictions, advertisements, promotions, and marketing materials nonrelated to
Urban Ground Resort, LLC, are the viewpoints of Urban Ground Resort, LLC, and the
Company’s we may manage, own, and operate, and do not necessarily represent, warrant,
and endorse the viewpoints of those that may be depicted for the purpose or reference
made by Urban Ground Resort, LLC.
The Digital Millennium Copyright Act (DMCA) establishes protections for copyright
infringement. In 1998, Congress passed the Digital Millennium Copyright Act (DMCA),
which amended U.S. copyright law to address important parts of the relationship
between copyright and the internet. Urban Ground Resort, LLC, and the Company’s we
may manage, own, and operate, reserve and retain all Intellectual Property Rights to any
Content specific to Urban Ground Resort, LLC, and the Company’s we may manage,
own, and operate, and does not grant any non-exclusive, royalty-free license (with the
right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit,
display and distribute Our content in any and all media or distribution methods now
known or later developed.
The impact of unfair competition goes far beyond Urban Ground Resort, LLC, and the
Company’s we may manage, own, and operate, to include our CEO, Mr. Mitchell. Unfair
competition and the effect can negatively impact our business model, severely impacting
our goals and strategies resulting in an inferior product limiting our ability to fulfill our
Mission Statement. Unfair competition and leaked information can result in a change of
control. Such a coercive tactic can negatively impact our business operations, giving our
rivals an opportunity to prepare a competitive response to the detriment of our business as
a new entrant into the field of hospitality.
Urban Ground Resort, LLC, to include Village Resorts Hospitality Group, LLC, is a
legally registered California Limited Liability Company and not a race based, religious
based, politically motivated, or social movement organization. Our operations are guided
by the rules, laws, and regulations set forth and are legal, binding, and forthright.
As expressly indicated, Urban Ground Resort & Residence were curated with the intent
to fill a void within the black male and urban gay male community and is history making
within itself while no such other entity exist and all Guests, visitors, and strangers of all
Nationalities regardless of race, color, religion, origin, gender, and sexual orientation are
to refrain from favoritism, discrimination, hostility, and aggression towards Our targeted
and marketed demographic while on venue property against them based on race, color,
religion, origin, gender, and sexual orientation, and such favoritism, discrimination,
hostility, and aggression go against Our standing policy and Mission Statement of
providing a curated environment that is stylish, upbeat, and modern as I strive to provide

an environment free of fear and oppression towards Our chosen and targeted
demographic of the black gay male and urban gay male demographic.
The Urban Ground Resort, the Urban Ground Residence, including the Urban Ground
District, the Redlight District, the Blvd and its designated roadways, walkways, and
parking areas, is private property and we reserve the right to deny admission or residency,
to prevent or require a person already admitted or residing to leave the Urban Ground
Resort & Residence or any party thereof, without refund, liability or compensation, for
failure to comply with any of these rules, for unsafe, illegal or offensive behavior, to
ensure safety, security or order, or if We consider that the circumstances otherwise so
require, in Our sole and absolute discretion in accordance with applicable law.
From time to time, at our sole discretion Urban Ground Resort, LLC, reserves the right to
implement, modify, cancel, or change any Agreement as necessary and this Agreement
and Memorandum contains the final and entire Agreement and understanding between
the Parties and is the complete and exclusive statement of its terms. This Agreement and
Memorandum supersedes all prior Agreements, Memorandums, and understandings,
whether oral or written, in connection therewith.
